Milbank London Closes Zambian and Peruvian Mining Deals
The international law firm Milbank, Tweed, Hadley & McCloy LLP announced today that it closed the $1 billion project financing for Equinox Minerals’ cooper mine in Lumwana, Zambia and the $300 million financing for the Cerro Corona gold and copper mine in Peru sponsored by Gold Fields Limited (of South Africa).

On 1st December, Milbank advised the lenders in signing a $1 billion project financing for Equinox Minerals’ copper mine at Lumwana in Zambia . The lenders provided an amalgam of 12 different credit facilities, pulling together commercial banks, export credit agencies, and development agencies.

Situated 220 km northwest of the renowned Zambian copper belt, Lumwana hosts a measured and indicated mineral resource of 269 million tones of ore grading at 0.8% copper. This represents one of the largest copper projects anywhere in the world currently advancing towards production and among the largest project financed mining deals in Africa to date.

On 14th November, the Milbank team advised the lenders in signing one of the few major Latin American deals this year. The financing was to fund the development of the $300 million Cerro Corona gold and copper mine in Peru sponsored by Gold Fields Limited (of South Africa).

Commenting on both deals and the successful past year, Partner Cathy Marsh stated: “These two projects, coming on the back of our work on behalf of a lender on the Kwale titanium mineral sands project in Kenya earlier this summer, the overall lending group on the Moma mining project in Mozambique, the lenders on the Cerro Verde copper mining deal in Peru (generally viewed as the mining deal of the year for 2005) and the lenders on the Alunorte alumina refinery in Brazil, has done much to confirm Milbank’s traditional strength as common lenders counsel in complex mining projects in the emerging markets.

King & Spalding's Chris Paci to Share Securities Law Expertise at Upcoming Conference
King & Spalding Corporate team partner Chris Paci is set to participate in the Practising Law Institute's (PLI) upcoming conference Understanding the Securities Laws 2006. The conference will take place December 11 & 12 in New York at the regional PLI Center.

The program will provide in-depth understanding of the Securities Act of 1933, the Securities Exchange Act of 1934, the Sarbanes-Oxley Act and subsequent SEC Rulemaking. As part of the seminar's second day Mr. Paci will present two separate lectures. The first, entitled Reporting Under the Exchange Act, will examine requirements for general reporting and Sarbanes-Oxley. A second presentation addressing Recent Developments in Securities Laws will provide insight into Securities Act reform and the New Executive Compensation Rules.

Paci has substantial experience representing investment banks and U.S. and foreign issuers in a broad range of capital markets transactions, including registered offerings and private placements of equity, equity linked, high yield and investment-grade debt securities, as well as exchange offers, tender offers and consent solicitations. He has worked with issuers in many industries, including aerospace/defense, chemicals, consumer/retail, farm and construction equipment, healthcare, industrial manufacturing, natural resources, technology and telecommunications, often in connection with leveraged acquisitions or recapitalizations. Kenyon & Kenyon Names Three New Partners, A Director of Professional Development and Special Counsel, and Two New Counsel
Kenyon & Kenyon LLP, one of the largest intellectual property law firms in the world, announced today the election of three partners and two counsel in the firm's New York and Washington, DC offices.

The firm elected Linda Shudy Lecomte, Neil M. McCarthy and Michael M. Shen to the partnership and Dr. Joseph A. Coppola and Dr. Carmella L. Stephens to counsel positions.

Former Federal Prosecutor Joins Gibbons Criminal Defense Department Ricardo Solano joins firm, will focus on white collar criminal matters
A former federal prosecutor who handled several high profile cases while serving in the U.S. Attorney’s Office, including the prosecution of former New Jersey State Senator John A. Lynch, has joined Gibbons. Ricardo Solano Jr., has become the newest addition to the firm’s Criminal Defense Department, where he will serve as a Director in the Newark office.

Mr. Solano concentrates his practice on white-collar criminal, complex civil, and appellate litigation, and is an experienced trial and appellate attorney, having handled a wide variety of criminal and civil matters. During his time at the U.S. Attorney’s Office, Mr. Solano served in the Terrorism Unit, which handles investigations and prosecutions involving allegations of international and domestic terrorism; the Special Prosecutions Division, which handles political corruption cases at all levels of government; and the Appeals Division, which handles all criminal appeals to the United States Court of Appeals for the Third Circuit.

While in the Terrorism Unit, Mr. Solano participated in investigations involving export control law violations, pharmaceutical and other product diversion schemes, and tax and other business frauds. Mr. Solano also successfully tried one of the first prosecutions under the Animal Enterprise Protection Act -- United States v. Stop Huntingdon Animal Cruelty Inc., et al. -- which charged an animal rights extremist group and six of its leaders with terrorizing an animal testing laboratory as well as several pharmaceutical, financial, and insurance companies that did business with it. While in the Special Prosecutions Division, Mr. Solano successfully prosecuted several cases involving mail and wire fraud, the federal anti-corruption statutes, and tax evasion, including United States v. Raymond O’Grady (bribery and extortion trial of former mayor) and United States v. John Lynch (bribery and tax evasion conviction of former New Jersey state senator). As a member of the Appeals Division, Mr. Solano handled over fifty appeals and argued more than a dozen cases before the Third Circuit, including United States v. Irizarry, 341 F.3d 273 (3d Cir. 2003) (RICO prosecution).

Mr. Solano was an associate at Gibbons prior to joining the U.S. Attorney’s Office. During that time, he handled a broad range of civil and criminal matters for the firm’s individual and corporate clients, including advising a special litigation committee appointed to review shareholder derivative claims.

Mr. Solano currently serves as an Adjunct Professor at Seton Hall University School of Law, where he teaches a seminar on criminal sentencing. He has also lectured on federal appellate practice for the N.J. Institute for Continuing Legal Education, and has spoken before biomedical research trade groups on the topics of cyberstalking and the First Amendment.

Mr. Solano received his J.D. summa cum laude from Seton Hall University and his B.A. from New York University. Upon graduation from law school, he served as a law clerk to the Honorable Deborah T. Poritz, Chief Justice of the New Jersey Supreme Court and then to the Honorable Maryanne Trump Barry, United States Court of Appeals for the Third Circuit. Mr. Solano is a member of the New Jersey and New York bars and is admitted to practice before the United States District Court for the District of New Jersey. He is also a member of both the New Jersey State Bar Association and the Hispanic Bar Association of New Jersey.
