Acomb and Broders Co-Author Chapter in Business and Commercial Litigation in Federal Courts – Second Edition
New Orleans partners, Robert B. Acomb, Jr. and John J. Broders, have co-authored a chapter on Admiralty in Business and Commercial Litigation in Federal Courts—Second Edition published by Thomsen West. Acomb and Broders wrote the original chapter on admiralty published in the first edition in 1998.

Bryan Presents at 2006 Bank Counsel Conference
On November 17, 2006, Boyd Bryan, Special Counsel in environmental law, presented "Selected Environmental Issues- The New Requirements for Environmental Assessments; Wetlands Regulation and Mitigation; and Related Issues," at the 2006 Bank Counsel Conference in New Orleans. Robert Scheffy, a Real Estate partner, was also involved in preparations for the seminar and noted in the brochure with Bryan. The seminar was sponsored by the Louisiana Banker's Association and was attended by bank officers and counsel from Louisiana, Mississippi, and other states.

Hurley Elected to Board of Directors of The Foundation of East Jefferson General Hospital
New Orleans partner Grady S. Hurley was recently elected to the Board of Directors for The Foundation of East Jefferson General Hospital. Hurley will serve a two year term running from January 2007 through December 2009. The Foundation, founded in 1969 and governed by a volunteer board of directors made up of community leaders, is a non-profit organization raising public awareness about the needs and services of East Jefferson General Hospital. The Foundation accepts monetary gifts to purchase equipment and fund specific programs.

Rosenblum Profiled in Lawdragon
Jones Walker partner Carl Rosenblum was profiled in Volume 1, Issue 4 of Lawdragon. The article, “Lawdragon 500,” states, “Freeport McMoRan and other top oil and gas players ask him to monetize their claims in energy bankruptcy proceedings.”

Jenner & Block Women Partners Recognized for Service to Community
A recent article featured in the Chicago Daily Law Bulletin “Women in Law” special supplement recognized four Jenner & Block women partners – Debbie L. Berman, Gail H. Morse, Elizabeth Abbene Coleman and Molly Moran – for fully embracing their professional commitment to public service.

“It’s my belief that a main purpose in life is to make this world a better place to live,” said Ms. Berman in the article, who was honored for her service on the board of the Jewish United Fund/Jewish Federation of Metropolitan Chicago, which provides humanitarian aid to aid to millions of people world-wide. As part of the JUF’s Operation Promise, Ms. Berman recently traveled to Ethiopia to help over 100 Jewish Ethiopians emigrate to Israel.

The article noted that Ms. Berman, a sufferer of Crohn’s Disease, also serves on the Illinois Crohn’s and Colitis Foundation’s major gifts committee and co-chairs the Foundation’s Public Relations Subcommittee.

A legal career that provides the special advocacy skills and connections needed to get things done also uniquely positions women attorneys to “give something back to the community and make it a better place for everyone to live in,” added Ms. Morse. Ms. Morse was recognized in the special supplement for her service on the board of the Illinois Women’s Institute for Leadership and as vice chair of the Women’s Treatment Center board.

The article also discussed Ms. Morse’s roles as a Commissioner for the Cook County Commission on Women’s Issues and a board member of Vital Bridges, a nonprofit dedicated to improving the health and independence of individuals affected by HIV and AIDS through a variety of nutrition, housing and prevention programs.

The article recognized Ms. Coleman for her service on the Women’s Board of Northwestern Memorial Hospital and as a member of the Neurosciences Advisory Council at Northwestern. This summer, the article noted, Ms. Coleman helped raise $150,000 for Northwestern Memorial Hospital as co-chair of the institution’s annual “Boogie Ball” fundraising event.

Ms. Coleman was also recognized for her work on the Latin School Parents Council and service as legal advisor to her daughter’s Park West Cooperative Nursery School.

Ms. Moran was featured for her role in helping the Firm, its attorneys and staff to raise the funds needed to buy computers more than 30 classrooms at Fairfield Academy elementary school on Chicago’s far Southside. “These are basic, but necessary learning tools that students in other parts of the Chicagoland region may take for granted,” Ms. Moran told the Law Bulletin.

The article also noted Ms. Moran’s efforts to help coordinate the “Chicago 5K Lung Run” in Lincoln Park, which hopes to recruit nearly 1,500 participants for Women Against Lung Cancer and fund cancer research at Presbyterian-St. Luke’s Hospital.

Weil Gotshal Advises Premier Foods PLC on Recommended Offer for RHM PLC
International law firm, Weil, Gotshal & Manges, is advising Premier Foods plc (Premier) on the recommended offer announced by Premier to acquire the entire issued and to-be-issued share capital of RHM plc (RHM). It is intended that the offer be implemented by way of a scheme of arrangement under section 425 of the Companies Act 1985.

Under the terms of the offer, RHM shareholders will receive for each RHM share, one new Premier share and 83.2 pence in cash, valuing each RHM Share at 352.45 pence (based on Premier's closing share price on December 1st) and valuing the entire issued and to-be-issued ordinary share capital of RHM at approximately £1,227 million, which represents an enterprise value for RHM of approximately £2 billion. Following the acquisition, Premier will be the largest food producer in the UK.

The Weil Gotshal team is led by Corporate partners Mike Francies and Ian Hamilton, assisted by associates John Newton, Oliver Williams, Simon Burrows and Penny Hewitt. Corporate partner Andrew McLean is providing advice on the commercial aspects of the transaction. Finance advice is being provided by Finance partner Richard Ginsburg, assisted by associate Akhil Sharma. Competition advice is being provided by partner Doug Nave, with senior associate Jane Scobie providing tax advice. Partner Barry Fishley is advising on IP issues with of counsel Joanne Etherton on pensions and associate Peter Van Keulen on employment matters.

RHM is advised by Ashurst (lead partner Richard Gubbins). Slaughter and May (lead partner Roland Turnill) act for Rothschild as sponsor and financial adviser to Premier.

Partner Ian Hamilton commented, "Premier has been particularly active in the M&A market in 2005 and 2006 and we are delighted to continue our relationship by working with them on their first bid for a public company. Our involvement in helping to create what will be the largest UK food company, coming so soon after the Riverdeep/Houghton Mifflin transaction, one of the largest cross-border acquisitions by an Irish company, highlights the M&A expertise of Weil Gotshal's London office.
