$2.4bn offering for Petroplus Holdings
Petroplus Holdings AG, the Swiss headquartered European oil refiner, today completed the fourth largest European IPO in 2006 with its successful share offering of 46 million ordinary shares (including the over-allotment option) at a price of CHF 63 per share. The shares were listed on the SWX and offered throughout Europe and in the US. The share price rose 11 per cent on its debut to close at CHF 69.95, resulting in a market cap of CHF 4.08bn.

Prior to the IPO, Petroplus spun off its natural gas assets into 4Gas and sold off other non-refining assets so that it is now a "pure play" oil refiner. The sale of half the shares sold in the offering, separation of non-refining assets and a one-time dividend have provided existing shareholders, including private equity investors Carlyle and Riverstone, a significant return on their investment in a short period of time.

International law firm Freshfields Bruckhaus Deringer advised Petroplus on the IPO and the reorganisation, along with Swiss firm Barr and Karrer. The IPO team was led by head of the US corporate group, Sarah Murphy, with US corporate associates, Todd Foy and Diane Marciniak. The reorganisation team was led by corporate partner Simon Witty, with corporate associates Mark Austin and Quirijn Biesheuvel.

Daniel T. O’Connor has joined the law firm of Fowler White Boggs Banker as an associate.

Mr. O’Connor will practice in the firm’s Commercial Litigation Practice Group where he will concentrate his practice in the area of general commercial litigation practice, with emphasis in creditors’ rights, contract disputes, bankruptcy, real estate litigation, and shareholder and partnership disputes. Mr. O’Connor received his bachelor’s degree from the University of Minnesota and his law degree from Washington University School of Law.

Fenwick & West Represents Sand Hill Group in Acquisition of its Software 2007 Conference by CMP Technology
Fenwick & West LLP represented Sand Hill Group LLC in the acquisition of its Software 2007 conference by CMP Technology, a marketing solutions company producing industry-defining events such as Web 2.0 Summit, Interop and VoiceCon. Software 2007 was founded by Madhavan "M.R." Rangaswami and is the fourth annual conference built upon the success of its 10-year old sister Enterprise series that serves the top 200 software CEOs and executives. Financial terms of the transaction were not disclosed.

United Way Recognizes Baker & Daniels as 2006 Breakthrough Campaign
Baker & Daniels LLP employees responded with a "breakthrough" United Way campaign this year.

The United Way of Central Indiana recognized the Indianapolis-based law firm as one of the "2006 Breakthrough Campaigns." The distinction goes to companies and organizations raising $30,000 or more or raising 30 percent more than the previous year. Baker & Daniels, which also had a "Breakthrough Campaign" last year, received a "Company that Cares" Award for the fourth straight year.

"We set an aggressive goal, and we reached it," Dan Lechleiter and Katie Wiley, attorneys at Baker & Daniels and co-chairs of the firm's campaign, said in a joint announcement. "United Way is the best way to help the whole community. With co-workers' support and generosity, Baker & Daniels can make a lasting impact on the lives of many people. Every gift was important."

With more than 250 employees in two Indianapolis offices pledging contributions to the United Way of Central Indiana, Baker & Daniels increased its percentage of individual participation again this year. More than 50 employees qualified for the Key Club, which requires a gift of $1,000 or more.

Partners, associates, management and administrative staff pledged $165,000 in Baker & Daniels' two Indianapolis offices. The total is expected to improve on being the 40th largest campaign among more than 1,200 Central Indiana companies and organizations that ran a campaign in 2005. Baker & Daniels' summer associates also contributed to the United Way campaign, raising $5,680 for the Boys and Girls Clubs of Indianapolis during a field day competition with summer associates at three other law firms.

Baker & Daniels employees in the firm's Fort Wayne, South Bend and Elkhart offices also conduct United Way campaigns.

With some companies in the final stages of their campaign, the United Way of Central Indiana is closing in on its goal to raise $37.5 million. A Lilly Endowment grant covers most of the United Way's operating costs, allowing at least 92 percent of all contributions to go directly to helping people in Boone, Hamilton, Hancock, Hendricks, Marion and Morgan counties.

John Neighbours, a partner with Baker & Daniels, serves as chair of the Board of Directors for the United Way of Central Indiana, which assists more than 100 human service agencies in providing life-changing opportunities for adults, families and children. From neighborhoods to cities and kids to seniors, United Way uses funds where the needs are greatest – in both addressing today's and reducing tomorrow's.

Manatt Named "Children's Defender Of The Year" By The National Center For Refugee & Immigrant Children And Honored For Its Pro Bono Service
Manatt, Phelps & Phillips, LLP, the national law and consulting firm, announced today that the National Center for Refugee & Immigrant Children designated Manatt as its "Children's Defender of the Year." The Center will publish an electronic newsletter that is distributed to over 1,200 attorneys, and government staff and will feature Manatt's special achievements. The honor will include a web site banner listing Manatt as "Children's Defender of the Year." for all of 2007.

On Monday Dec. 4, 2006 The Daily Journal published a special report honoring twelve pro bono projects in California in 2006. The projects were selected on the basis of making a strong impact, offering innovative solutions to problems, requiring dedication by private law firms, helping the neediest, supporting the work of non-profit organizations and helping to bring us closer to the goal of equal justice for all.

One Manatt project honored by The Daily Journal involved Manatt's providing volunteer lawyers, paralegals and notaries to a special Bet Tzedek-The House of Justice clinic that helped 318 Holocaust survivors file more than 1220 claims for reparations for family members who were killed or became forced laborers as the result of Hungary's actions during the Holocaust. Among the many people from Manatt who volunteered for this project, the Daily Journal noted Manatt attorneys Daniel Gryczman, Doreen Shenfeld, Ron Turovsky, Harold McDougall and Cristin Zeisler our National Director of Pro Bono for special recognition.

The other Manatt project honored by the Daily Journal involved Manatt's preparing a legal manual for The California Women's Law Center to be distributed to 110 battered women's shelters in California. The manual covers tax, zoning and employment matters and involved the work of many Manatt lawyers. Noted for special recognition by the Daily Journal was Manatt lawyer Ellen Berkowitz, a member of The California Women's Law Center Board of Directors who coordinated Manatt's efforts.

King and Cepler Named Empire State Counsel Honorees
Alison King, counsel in the Corporate and Finance Department, and Craig M. Cepler, associate in the Business Reorganization and Creditors' Rights Department, were named Empire State Counsel Honorees by the New York State Bar Association. This is the first year that the Association has held these honors through its new Empire State Counsel Program. Ms. King and Mr. Cepler were honored for delivering 50 hours of free legal services to the poor in 2006. The list of honorees was published in the New York State Bar Association Pro Bono News for Fall/Winter 2006.

Another Asylum Victory for Kaye Scholer Pro Bono Team
Kaye Scholer successfully represented two young brothers from Guinea in their applications for asylum and withholding of removal. On December 5, 2006, the U.S. Bureau of Citizenship and Immigration recommended approval of the Kaye Scholer pro bono clients' application for asylum. The boys' father, who was a member of a major opposition party in Guinea, was arrested, tortured and detained for almost a year for his political activities and accused of plotting to bring rebels into the country to overthrow the current president, Lansana Conté. The father was also accused of sending his sons abroad with confidential documents, which supposedly detailed the abuses of the current regime, to obtain support to overthrow the government. It was believed that the brothers would be arrested and tortured immediately upon their return to the country. In addition to compiling the required documentation to support the brothers' asylum applications, the Kaye Scholer team was also successful in addressing the additional barrier of the brothers' failure to seek asylum within one year of their arrival in the United States, as immigration law requires. Kaye Scholer attorneys were able to establish extraordinary circumstances to overcome this failure.
