Paris Office Assists Thales SA in €1.7 Billion Satellite Acquisition
On December 1, Willkie client Thales SA signed an agreement to purchase Alcatel SA's satellite, transport signalling and critical infrastructure protection activities in a €1.7 billion ($2.3 billion) share-and-cash deal. The deal provides for Alcatel to relinquish a 67% interest in Alcatel Alenia Space, a satellite-maker joint venture with Italy's Finmeccanica SpA; 33% of Telespazio, a satellie-services group also operated with Finmeccanica; and a train-signalling operation. In return, Thales has promised to issue Alcatel shares worth about €966 million and pay €673 million in cash. Thales is acquiring businesses with annual sales of about €2 billion and about 11,000 employees located mainly in France, Germany, Italy and Canada. Thales is a leading international electronics and systems group, serving defense, aerospace and security markets worldwide, supported by a comprehensive services offering. Segments of the deal will close in January and May 2007. The transaction was handled by partners Daniel Hurstel, Annette Péron, Jacques-Philippe Gunther and Marie-Hélène Raffin.

White & Case Lawyer Named "Role Model for Women Lawyers in India and Abroad"
Nipun Gupta, Counsel in White & Case's London office, has received a prestigious Law Day award from the Indian Prime Minister, Dr. Manmohan Singh, to acknowledge her position as a "role model for women lawyers in India and abroad". The National Law Day Awards of the Indian Council of Jurists, which took place in New Delhi at the end of November, are given in recognition of outstanding contributions in the field of law.

Nipun is "a driving force behind the [White & Case] India practice," according to Chambers Global 2005/6. Nipun is also a member of the India Business Group and the Infrastructure and Finance Committee at the Indian High Commission, as well as sitting on the Asian Business Panel at The Bank of England.

"This award recognises Nipun's impact on the legal profession, particularly in India, through her dedication to her work, her extraordinary energy and her community contributions. She thoroughly deserves this accolade," commented Doug Peel, global head of White & Case's India practice. "We are proud to have professionals of this calibre in our India practice, which is going from strength to strength."

Other recipients of the Law Day awards included: Dr. Hansraj Bhardwaj, the Union Minister of Law and Justice in India; Mr. Milon K. Banerji, Attorney General of India; and Mr. M. Prasannam, General Counsel of the Aditya Birla Group. The award winners were selected by a high profile jury chaired by former Supreme Court Chief Justice P.N. Bhagwati.

White & Case's involvement in India-related business reaches back several decades, but in the past several years India's economic renaissance has significantly increased the flow of capital markets, inbound and outbound M&A, alternative investment fund, business process outsourcing, project finance and other work to the Firm.

Dutch Fund Gilde Acquires Novasep
White & Case acted for the Dutch fund Gilde Buy Out Partners (Gilde) on its acquisition of French company Groupe Novasep, a leading provider of synthesis and purification solutions to the life science industries, for an enterprise value of €425 million.

The completion of the acquisition, which is still subject to approval by the relevant competition authorities, is expected to take place before the end of this year. Groupe Novasep, which is currently 78.6 percent owned by Rockwood Holding Inc., a global producer of specialty chemicals and advanced materials, and 21.4 percent owned by its management, will be controlled by an investor group led by Gilde and including Banexi Capital Partenaires, and by its management, who will hold approximately 28 percent of the equity in the firm.

Groupe Novasep merged with Dynamic Synthesis, a custom chemicals producer, at the end of 2004. Dynamic Synthesis had been acquired by Rockwood from Dynamit Nobel earlier that year. Groupe Novasep, with 1,300 employees at nine production sites worldwide, had a turnover of €280 million in 2005.

The White & Case team acting for Gilde was led by partner François Leloup, working closely with associates Nathalie Nègre and Guilain Hippolyte. It also included partner Raphaël Richard and associate Samir Berlat, advising on the finance aspects of the transaction, and partner Jean-Patrice de La Laurencie and associates Charles-Henri Calla and Jeremy de Douhet, providing counsel on competition issues.

Stradley Ronon Chairman Named William Penn Award Recipient
The Greater Philadelphia Chamber of Commerce announces that William R. Sasso, Esq., Chairman of Stradley Ronon Stevens & Young LLP, will receive the 2006 William Penn Award and will be honored at a gala event sponsored by Wachovia.

The William Penn Award is the highest honor bestowed upon a business person in Greater Philadelphia. Awarded annually since 1949, recipients are chosen for their outstanding contributions toward the betterment of the region, their professional accomplishments, and their commitment to charity as well as to the community. The selection committee is comprised of past honorees.

Mr. Sasso will be honored at the William Penn Award Gala on Friday, April 20, 2007 at the Park Hyatt Philadelphia at the Bellevue.

Mr. Sasso has been chairman since 1994 of one of the region’s most influential law firms with six offices in the Greater Philadelphia region, Harrisburg, and Washington, D.C. In addition, he is widely recognized for his civic accomplishments. A former chairman of the Chamber’s board of directors, he currently is a member of the Philadelphia Convention & Visitors Bureau board and executive committee, and a trustee of his alma mater LaSalle University, among many other commitments.

“Most meaningful to me is that The William Penn Award is given to leaders in the business community, and lawyers are not often thought of as recipients of this award,” said Mr. Sasso. “The fact that I am recognized by the business leaders as one of their peers is very meaningful to me.”

Mark S. Schweiker, President & CEO, Greater Philadelphia Chamber of Commerce, said Mr. Sasso is the “consummate ambassador” for the region. “In addition to his considerable legal responsibilities, Bill Sasso consistently makes himself available to advance projects to improve this region. He is a long-time counselor to many in the business community and the non-profit world. As a former Chairman of the Chamber Board and current Executive Committee member, his leadership helps guide the Chamber’s efforts. He truly exemplifies the spirit of the William Penn Award.”

During his 30-plus years of legal experience, Mr. Sasso has broadened his practice areas significantly. He counsels private and public companies and religious and nonprofit organizations in various matters, including general corporate and securities law, mergers and acquisitions, health care, tax and real estate.

Mr. Sasso was recently honored with the American Jewish Committee’s Judge Learned Hand Award, presented each year to a member of the Philadelphia Bar. He was also included in the 2007 edition of The Best Lawyers in America, regarded as a definitive guide to legal excellence in the United States.

He also serves on the Chamber’s Paradigm Award committee, which honors the outstanding business woman of the year. He is a member of the CEO Council for Growth, which oversees the business marketing initiative, Select Greater Philadelphia.

Mr. Sasso has served as chairman, board of trustees of Holy Redeemer Health System; trustee, Leo Niessen, Jr. Charitable Foundation, which benefits health care, inner-city youth and working women in need; and chairman of the board of directors, the World Affairs Council of Philadelphia.

Born and raised in Philadelphia, Mr. Sasso is a graduate of La Salle University in 1969 and Harvard University Law School in 1972. After graduation, Mr. Sasso noted, he came home.

“I love this city and that’s why I am involved in a number of endeavors that hopefully will enhance its reputation on a nationwide basis,” Mr. Sasso said. “None of these efforts touch directly my practice of law but they relate to making Greater Philadelphia a better place to live, to work and to raise a family.”

Mr. Sasso joins an impressive list of past William Penn Award recipients including Nick DeBenedictis, chairman and president of Aqua America Inc.; Rev.
