Covington Advises Washington Post in Sale of Tech Media Assets to 1105 Media
The Washington Post Company and 1105 Media, Inc. announced today that they have reached an agreement under which 1105 Media will acquire The Post’s government publishing and events group, which is known as Post Newsweek Tech Media. Post Newsweek Tech Media includes Government Computer News, Washington Technology, Government Leader, Defense Systems, online products, and the FOSE trade show. The terms of the transaction were not disclosed.

The Washington Post Company is a diversified media and education company whose principal operations include newspaper and magazine publishing, television broadcasting, cable television systems, electronic information services, and educational and career services.

Covington partner Michael Cutler and associate Michael Riella worked with The Washington Post Company general counsel Diana Daniels on the transaction.

Carlton Fields Shareholder, Richard A. Denmon, Appointed to Chair of the Disclosure and Continuous Reporting Subcommittee of the Federal Regulations of Securities Committee of the ABA Business Law Section
Carlton Fields is pleased to announce that Tampa Shareholder and Securities Practice Group Co-Leader, Richard A. Denmon, was appointed to Chair of the Disclosure and Continuous Reporting Subcommittee of the Federal Regulations of Securities Committee. This committee is within the Business Law Section of the American Bar Association.

The Federal Regulations of Securities Committee is one of the largest and most successful committees in the Business Law Section. It is comprised of many of the most prominent securities lawyers in the country. The Disclosure and Continuous Reporting Subcommittee deals with public companies which are required to make continuing public disclosures of their financial condition and other information material to shareholders. This Subcommittee evaluates, analyzes comments on, and suggests revisions to SEC rules and proposals.

Denmon practices in the areas of securities regulation, corporation finance, mergers and acquisitions, and venture capital formation. Denmon received his B.S. from State University of New York at Binghamton in 1979 and his J.D. from State University of New York at Buffalo in 1982.

Baker & McKenzie Advises on Mobile-8 Global Offering, the Largest Indonesian IPO in 2006
Baker & McKenzie’s US securities team in Asia recently acted as international transaction counsel in connection with PT Mobile-8 Telecommunications Tbk’s US$96 million IPO and global offering, while Hadiputranto, Hadinoto and Partners acted as Indonesian counsel to the Underwriters PT Bhakti Securities, PT CIMB-GK Securities Indonesia, and PT Danareksa Sekuritas. The shares commenced trading on both the Jakarta and Surabaya Stock Exchanges on 29 November 2006.

The offering is the largest Indonesian IPO in 2006, based on size of proceeds and was conducted pursuant to Regulation S under the US Securities Act. Mobile-8 Telecom is the fourth largest, and the largest CDMA-based, nationwide licensed mobile cellular operator in Indonesia.

Baker & McKenzie’s US securities team was led by Yeo Jih-Shian with Tuti Dewi Hadinoto from Hadiputranto, Hadinoto and Partners, a member firm of Baker & McKenzie, representing the underwriters as Indonesian counsel.

Commenting on the deal, Yeo Jih-Shian and Tuti Dewi Hadinoto said, “We are delighted to be involved with the global offering and listing of Indonesia’s largest CDMA-based mobile cellular operator and the largest Indonesian IPO in 2006. The involvement of Baker & McKenzie and Hadiputranto, Hadinoto and Partners in this significant IPO transaction reinforces our leading position in international capital markets involving Indonesian issuers, with Hadiputranto, Hadinoto and Partners, having also advised on Indonesia’s largest ever corporate debt sale overseas for Perusahaan Perseroan (Persero) PT Perusahaan Listrik Negara (PLN) this October 2006."

This transaction not only provided us with the opportunity to draw on our combined local and US Securities expertise but also allowed us to partner with leading industry players in Indonesia. STBM Receives GLPA Award for "Most Supportive Employer"
Sturgill, Turner, Barker & Moloney, PLLC has been recognized by the Greater Lexington Paralegal Association ("GLPA"), as the 2006 "Most Supportive Employer." The award was presented to the firm on Friday, December 8, 2006, at the annual GLPA Holiday Luncheon. Members of the GLPA voted on the award. This is the second year in a row that the firm has received the Award.
The GLPA is an organization of paralegals that have a mission to promote the paralegal profession, provide seminars for the continuing legal education of paralegals, promote and support professional standards, communicate with the legal community and the general public, and participate in local and national issues that affect the profession.

Jocelyn M. Griffin, who is resident in the New Haven office, is an associate in the Litigation Department. Ms. Griffin received her B.A., magna cum laude, from Spelman College and her J.D., cum laude, from Quinnipiac University School of Law.

Michael C. Markowicz, who is resident in the Hartford office, is an associate in the Litigation Department. He received his B.A., magna cum laude, from Central Connecticut State University and his J.D., cum laude, from Harvard Law School.

Doreen A. Simmons Honored by Federal Court Bar
Hancock & Estabrook, LLP, Counselors at Law, is proud to announce that Doreen A. Simmons, Firm partner, is the recipient of the 2006 Honorable James R. Duane Award presented by the Northern District of New York Federal Court Bar Association.
The Northern District of New York Federal Court Bar Association’s Historical Committee co-chair, Bartle J. Gorman, Esq. of the law firm Gorman, Waszkiewicz Gorman & Schmitt, Senior Judge Frederick J. Scullin, Jr. of the United States District Court for the Northern District of New York and Senior Judge Neal P. McCurn presented the Honorable James R. Duane Award to Doreen A. Simmons, during the Association's annual meeting held on November 30, 2006 at The Marx Hotel in Syracuse.

Doreen A. Simmons was chosen as the recipient of the prestigious Honorable James R. Duane award in recognition of her professional accomplishments, public service, and advancement of equal justice. In addition, Mrs. Simmons has demonstrated a deep personal commitment to public service and to promoting relations between the bench and the bar and has assisted the courts in providing equal justice to all.

“It is not an exaggeration to say without her this organization would not have survived. Doreen represents all that is good about our profession. A lawyer who is intelligent, hard-working, extremely ethical and most compassionate,” stated Senior Judge Frederick J. Scullin, Jr. of the United States District Court for the Northern District of New York.

The award is named to honor the memory and recognize the accomplishments of Judge James R. Duane who first presided over the United States Court for the District of New York on November 3, 1789, the first court ever convened under the sovereignty of the United States.

Mrs. Simmons holds a Juris Doctor degree from Albany Law School of Union University and a Bachelor of Science degree from Purdue University. She is admitted to practice in New York and in various United States District Courts. Mrs. Simmons is the immediate past president of the Northern District of New York Federal Bar Association; chair of the Character and Fitness Committee, Fifth Judicial District; a fellow of the New York State Bar Association and a member of the Association’s Trial and Environmental Section; legal counsel to the CNY Girl Scout Council, the Diocese of Syracuse, and SAVES Ambulance, Skaneateles, New York; and a member of the Board of Trustees and Secretary of Christian Brothers Academy.

A former prosecutor in the Onondaga County District Attorney’s office, Mrs. Simmons has over 25 years experience representing major and mid-sized industries, individuals, municipalities and not-for-profit organizations in regulatory proceedings and litigated matters involving liabilities, compliance, acquisitions and permitting. She has represented clients in state and federal Superfund litigation, petroleum spill matters, pesticide issues, toxic tort litigation, insurance coverage lawsuits, in courts and before regulatory agencies. Mrs. Simmons is the leader of the Firm’s Environmental practice group.
