Robinson & Cole Land Law Attorney Speaks on Real Estate Development in Massachusetts
Robinson & Cole Land Law attorney Carla M. Moynihan recently lectured on "Real Estate Development from Beginning to End in Massachusetts" as part of Lorman Educational Services seminar. Her seminar focused on criteria and processes for site selection, conducting thorough due diligence to avoid surprises, negotiating offers and purchase and sale agreements, securing acquisition and construction financing, as well as negotiating design/construction contracts.

Paul, Weiss Represents Delta Air's Bondholders; May Influence US Air Takeover Bid
Weiss' representation of an informal committee comprised of a group of hedge funds and two investment banks holding Delta Air Lines bonds, which the paper reports could play an important role as US Airways seeks to persuade Delta's creditors to support its $8.6 billion offer to acquire Delta out of bankruptcy. Among the panel's nine members are hedge funds Avenue Capital Management and Silver Point Capital, and investment banks Deutsche Bank and Lehman Brothers. Alan told the publication that the roster might not yet be finalized. He said, "Don't be surprised if the membership expands." The Paul, Weiss team includes bankruptcy partners Brian Hermann, Alan Kornberg and Andrew Rosenberg, corporate partner Bob Schumer, litigation partner Joe Simons and employee benefits partner Rob Fleder.

Paul Hastings Advises Standard Chartered Bank on Two Landmark Cross-border Securisations in Korea
Paul, Hastings, Janofsky & Walker (Paul Hastings), a leading international law fim, has advised Standard Chartered Bank on the largest cross-border residential mortgage backed securitisation in Asia to date, worth US$1.26 billion and on Samsung Card Company Limited's ("Samsung") ninth cross-border credit card securitsation, worth US$300 million.
Details of the two securitisations are as follows:

Korea First Mortgage No.6 Limited

Paul Hastings advised Standard Chartered Bank, the arranger and swap provider and HSBC, the trustee and transaction administrator, on a US$1.26 billion cross-border residential mortgage backed securitisation (RMBS) transaction in Korea. The deal was closed on 9 November, 2006.

Korea First Mortgage No.6 Limited, a special purpose vehicle incorporated in the Cayman Islands, issued the notes, which are ultimately backed by residential mortgate loan assets originated by Standard Chartered First Bank Korea Limited ("SCFB").

Korea First Mortgages No. 6 is SCFB's sixth cross-border RMBS deal and the larges RMBS to emerge in Asia ex-Japan and Australia. The deal is also the most innovative and sophisticated structure employed in the Asian market with offerings in EUR and USD and credit tranching from AAA/Aaa down to BBB/Baa2.

The Paul Hastings team was led by partners Neil Campbell and Michelle Taylor, together with Donna Healy, Connie Cheung and Heidi Pang.

Froniter IX Limited

Paul Hastings advised Standard Chartered Bank, the arranger and HSBC, the trustee and transaction administrator, in the sale of US$300 million of notes for Samsung. The deal, which closed on 15 November 2006, is Samsung's ninth cross-border credit card securitisation, making it the most frequent repeat issuer in Asia ex-Japan.

The floating rate secured notes issued by Frontier IX Limited are due in 2010 and rated AAA by Fitch Ratings and Aaa by Moody's Investors Service.

The Paul Hastings team was led by partners Neil Campbell, Michelle Taylor together with Erika Wan and Connie Cheung.

Commenting on the deals, Neil Campbell, Partner and Head of the Asian Structured Finance and Securitisation Group at Paul Hastings, said, "We are delighted to be involved in these ground-breaking securitisation deals in Korea and continue to support Standard Chartered Bank and Samsung. This has been a great year for Paul Hastings' Asian Securitisation team which has been involved in a number of landmark transactions including China's first cross-border CMBS.

Fulbright’s Attorneys Hit Home Run "Deal Of The Year" For NY Mets
The financing for new ballparks for the New York Mets and the New York Yankees was named “Deal of the Year” by The Bond Buyer, the daily newspaper of public finance. Joel Moser, a senior partner in Fulbright's New York office, led this financing for the NY Mets and supervised a team of Fulbright public finance, asset finance, securities and tax lawyers from around the country on this year-long project.

“From an extremely competitive field, this deal best met the criteria for selection in terms of its technical prowess and structure,” said Nicholas Chesla, editor of The Bond Buyer. The publication considered 116 nominations for transactions, which closed between October 2005 and September 2006.

More than $1.5 billion in bonds were issued for the ballpark projects. Construction of the new Mets stadium is well underway on a site adjacent to the current Shea Stadium. It is set to open in time for the 2009 season and will be called "Citi Field."

Fulbright’s work included the development of a financing that combined precedent setting payment in lieu of tax-based, tax-exempt securities, among other sources of capital, with long-term public private partnership lease and concession agreements.

The New York Observer described Joel Moser as the genius behind this complex and groundbreaking transaction. The Mets’ future open-air stadium will seat 45,000.

The venture is expected to create more than 6,000 temporary jobs and approximately 1,000 permanent jobs once Citi Field opens in 2009.

Discussion of the project had been ongoing for awhile, Chesla said. The parties involved, which include the New York City Industrial Development Agency and the City of New York, worked together to "chart their way through all the issues, both legislative and political, to get these deals done,” he said.

Moser led a team of 18 attorneys who assisted with the deal. Moser has often been a trailblazer of innovative finance solutions. He leads Fulbright’s international team specializing in public-private partnership transactions with U.S. state and local governments.

“It is really not possible to feel better about closing a transaction than we did at the Mets’ closing, but we are all delighted that the transaction received this recognition by the public finance industry,” Moser said. “It was a privilege working with David Cohen, a world-class attorney, skilled negotiator and first-rate business executive. Building a ballpark with him is a dream come true for us. We look forward to Opening Day in 2009.

Fulbright’s Biancamano Named a 2006 Rainmaker
The Los Angeles Daily Journal 2006 Rainmakers List includes Fulbright Los Angeles partner Keith Biancamano. The list, published in a special supplement of the Journal on December 21, 2006, includes only those attorneys that have billed in excess of $10 million.

Biancamano focuses his practice in areas such as M&A, private and public securities offerings, securities compliance, general corporate, corporate governance and matters related to directors’ and officers’ responsibilities.

Brennan Sponsors Environmental Clerkship
Through the financial assistance provided by Cleveland partner Maureen Brennan, who previously worked as a lawyer for the U.S. Environmental Protection Agency, the Cleveland Bar Association’s Environmental Law Section Clerkship has been named the "Baker & Hostetler LLP Environmental Clerkship" for the third year in a row.

The Environmental Law Section Clerkship Fund supports law students working in unpaid summer internships for a government agency involved in environmental issues. The annual stipend has helped law students who have worked with the City of Cleveland Health Department, City of Cleveland Law Department (specifically focusing on brownfield and sustainability issues) and the Ohio Environmental Protection Agency.
