Deborah T. Poritz, Former Chief Justice Of the New Jersey Supreme Court, Joins Drinker Biddle
Deborah T. Poritz, who served 10 years as the Chief Justice of the New Jersey Supreme Court, today joins Drinker Biddle & Reath as Of Counsel to the firm. Poritz, who stepped down from the high court in October 2006, will concentrate her law practice in government and corporate investigations, mediation and arbitration, and appellate matters.

“It is an honor to have such a distinguished jurist join our firm,” said Jonathan Epstein, partner-in-charge of Drinker Biddle’s Princeton office. “Chief Justice Poritz was an innovative and outstanding leader of our court system, which enjoys a well-deserved reputation as one of the best in the country. She brings a unique perspective to the practice of law from her experience as a jurist, as Attorney General and as Governor’s Counsel, and that will benefit our clients. We are thrilled to have her at Drinker Biddle.” The former Chief Justice is joining Drinker Biddle in part because of her long-standing relationships with members of the firm and because of the firm’s capacity to support a practice that will focus on corporate and government investigations along with mediation and arbitration. Poritz’s friends at Drinker Biddle include former colleague Ross A. Lewin, a litigator who joined the firm in September 2006. Lewin worked with Poritz while at the New Jersey Attorney General’s Office, in Gov. Thomas H. Kean’s administration and in private practice.

“I’ve always had a great respect for the lawyers of Drinker Biddle, and I look forward to working with them,” said Poritz, who will practice mainly from the firm’s Princeton office while handling matters statewide and elsewhere.

Poritz’s arrival adds to Drinker Biddle’s White Collar Crime, Government Investigations and Corporate Compliance Practice Group, led by partner Charles S. Leeper in Washington, D.C. The group is looking forward to the former Chief Justice’s perspective from her years on the bench. Leeper, a former assistant U.S. attorney for the District of Columbia, and Florham Park, N.J.-based partner Paul G. Nittoly, a former assistant prosecutor in Essex County, N.J., each have significant experience in defense of complex civil and criminal investigations and prosecutions, congressional inquiries, and other related proceedings.

Subsidiary of AIGGIG in Acquisition of U.S. Port Assets of DP World
Cleary Gottlieb represented a wholly-owned subsidiary of AIG Global Investment Group (AIGGIG) in connection with its successful bid for the acquisition of P&O Ports North America, Inc. (POPNA). The acquisition was announced on December 11, and is subject to regulatory approval and other customary closing conditions. Closing is expected to occur in the first quarter of 2007.

POPNA’s operations consist of marine terminal concessions in the ports of New York/New Jersey, Philadelphia, Baltimore, Miami, Tampa and New Orleans, stevedoring operations in 16 locations along the East and Gulf Coasts and a passenger ship terminal in New York City.

Southern California Edison in First and Refunding Mortgage Bonds Offering
Cleary Gottlieb represented ABN AMRO Incorporated, JPMorgan, RBS Greenwich Capital, and UBS Investment Bank as representatives of the underwriters in Southern California Edison Company’s offering of $400,000,000 principle amount of 5.55% First and Refunding Mortgage Bonds, Series 2006E, due 2037. The transaction closed on December 11.

Southern California Edison provides electric energy to approximately 800 cities and communities which include a population of over 13 million people over a 50,000 square-mile area of central, coastal and southern California.

Bahrain Alternative Asset Investment Company in Equity Offering
Cleary Gottlieb represented the managers, led by Citigroup Global Markets Limited and Credit Suisse Securities (Europe) Limited, in a $420.5 million offering of ordinary shares of Investcorp Bank B.S.C. in the form of global depositary receipts, which were listed on the London Stock Exchange. The transaction closed on December 11.

Bahrain-based Investcorp, with over $10 billion in assets under management, is the leading provider of alternative asset investment products to high net worth individuals, merchant families and institutional investors in the Arabian Gulf region. The company’s investment products are sourced in North America and Western Europe and relate to the Company’s four product lines, comprising private equity, hedge funds, real estate and venture capital. Investcorp is the second Bahraini company to have listed on the London Stock Exchange, and the second Gulf-based financial institution, after Bank Muscat, to have listed on the London Stock Exchange in recent years. Cleary Gottlieb previously acted as counsel to Bank Muscat on its listing on the London Stock Exchange.

Cadwalader Named Among “Best of the Best” By The Legal 500 USA
Considered the world’s largest legal referral guide, The Legal 500, in Volume 1 of its first-ever U.S. edition, cited Cadwalader, Wickersham & Taft LLP as a “Recommended Law Firm” in the areas of Acquisition Financing, Asset Finance & Leasing, Capital Markets, Corporate Governance & SEC, Corporate Restructuring, Credit & Syndicated Transactions, Mergers & Acquisitions, and Securitization and Derivatives.

Cadwalader is ranked in the first tier for its Securitization and Derivatives practices and is described as “particularly strong in mortgaged-backed securitizations” and in dealing with assets such as intellectual property and aircraft as well as sub-prime assets. Richard Schetman and Ira Shacter are recommended in the area of securitization; Lary Stromfeld, Ray Shirazi and tax expert David Miller are recommended in the field of derivatives; and Steven Cohen is said to be “highly commended” by his clients.

Cohen and Chris McDermott are recognized in the field of Acquisition Financing. Jim Rotch Receives Public Service Award From The Birmingham Bar Association
Bradley Arant Rose & White LLP partner James E. “Jim” Rotch was awarded the L. Burton Barnes, III award on Friday, December 8th by the Birmingham Bar Association at its annual meeting. The award, established in 1994, recognizes a member of the Bar who has shown a deep commitment to public service and who has given freely of their time and energy for the benefit and betterment of the general public. “We are extremely proud to have Jim Rotch as our partner. His authorship of The Birmingham Pledge and his deep commitment to public service have made a significant contribution to the larger community, and we are grateful to him for all that he has done.” said John B. “Beau” Grenier, Chairman of the Firm’s Executive Committee.

The Public Service Award honors the memory of L. Burton Barnes, III, a distinguished member of the Birmingham Bar Association. Mr. Barnes was a champion of public service, serving his community freely and quietly. The criteria for evaluating the nominees for the award are as follows: 1. Exemplary public service to the community through participation in charitable and service organizations; 2. Demonstrated dedicated and sacrifice of time and effort for public service for the betterment of others which is in no way related to personal or professional gain; 3. Excellent reputation in the community for honesty and integrity in public and private matters; and 4. Demonstrated public service without direct or indirect efforts to obtain personal publicity or individual recognition.

About Jim Rotch

Jim Rotch has been a transaction lawyer and business counselor with the firm since 1972. Over the course of his career he has participated in all aspects of complicated business and finance transactions. He has experience with complex securities, tax and other business and finance transaction issues. He has extensive experience helping businesses with issues of shareholder and/or family conflict. Mr. Rotch organized and chaired the Birmingham Area Technology Task Force (BATT Force) in 2001-2002 and then chaired the Birmingham Area Technology Leadership Alliance which is implementing the strategic plan developed by the BATT Force. In recent years, Jim has devoted a substantial part of his practice to technology transfer matters, with more than fifteen years experience in biotechnology, licensing and commercialization matters. He is the founder and Co-Chairman of the firm’s Emerging Business and Technology Team.

Mr. Rotch was Chairman of the Birmingham Regional Chamber of Commerce in 2004, and remains active in the ongoing work of the Chamber. He conceived and authored The Birmingham Pledge, a statement to eliminate racial prejudice that has been signed by more than 125,000 people world-wide and has been endorsed by the United States Congress. Mr. Rotch is actively engaged in the work of the Birmingham Pledge and the Civil Rights Institute, and serves as Chairman of the Birmingham Pledge Foundation. The Pledge was cited by Time magazine as “one of the U.S.’s most respected antiracism projects.
