Sara Edelman represents entertainment and media companies, artists and musicians in cases involving claims of copyright, trademark, defamation, right of publicity, and misappropriation of idea. In addition to litigation, Ms. Edelman advises clients on copyright, trademark and right of publicity issues and negotiates and drafts a variety of agreements including, work-for-hire agreements, music licenses and music service agreements, domain name agreements, nondisclosure agreements and model releases. Ms. Edelman received her B.A., cum laude, from Barnard College in 1990 and her J.D. from Boston University in 1993.

Alan Hahn advises employers of all sizes, including many multi-national employers, in the design and implementation of creative, unique and tax-effective employee benefit plans and programs. Mr. Hahn's broad practice includes designing, implementing and terminating all types of qualified and non-qualified retirement plans, health and welfare benefit plans, executive compensation programs, deferred compensation programs, and equity-based compensation programs. Mr. Hahn received his B.S. in Accounting from Brooklyn College of the City University of New York in 1992 and his J.D. from Fordham University School of Law in 1995.

Glenn E. Motelson maintains a broad-based real estate practice, focusing on leasing, conveyancing and financing, with particular expertise in office and retail leasing transactions. He represents both landlords and tenants. Mr. Motelson received his B.A. from the University of Michigan, with distinction, in 1995 and his J.D. from The George Washington University, with honors, in 1998.

Cleary Gottlieb Achieves Record Results in Chambers Global 2007 Rankings: 87 Lawyers and 51 Practices Recognized As Leaders
Cleary Gottlieb garnered impressive results in the soon-to-be released Chambers Global 2007 Guide to the World’s Leading Lawyers. Gide Loyrette Nouel Casablanca advises Medi Telecom on a refinancing transaction worth EUR 600 million
The Gide Loyrette Nouel Casablanca office advised Medi Telecom (whose principal shareholders are Telefonica, Portugal Telecom and BMCE Bank) on a two-stage refinancing transaction of its senior international debt of around EUR 600 million, by arranging local finance in an equivalent amount, including a foreign currency bridging portion maturing in one year's time and redeemable by a single payment in MAD.

This refinancing through local banks, one of the largest finance transactions ever on the Moroccan market, will enable Medi Telecom to reduce its foreign exchange risk exposure.

Medi Telecom was advised by partner Hicham Naciri, Julien David and Mariam Rouissi.

The senior international lenders were advised by the Allen & Overy Paris office (Rod Cork). The new local lenders were advised by Watson Farley & Williams (Mohieddine El Amari) and Kettani Law Firm (Nadia Kettani).

PARALEGALS ACHIEVE ADVANCED CERTIFICATION
The law firm of Foster, Swift, Collins & Smith, P.C. is pleased and proud to announce that Ida R. Farhat and Kelly A. LaGrave have been awarded the prestigious Advanced Certified Paralegal designation by NALA, The Association of Legal Assistants/Paralegals.

Both women were previously recognized as Certified Legal Assistants and have completed the requirements for advanced certification in the area of Contracts Administration/Contracts Management. Ida and Kelly are now authorized to use the “ACP” designation, and may pursue advanced certification in other legal disciplines in the future.

Ida Farhat works with the Business & Corporate practice group and with Mark Burzych who handles franchise and liquor license matters in the Lansing office of Foster Swift. She has been with the firm for nearly a decade after working for 25 years with the law firm founded by her father, Leo Farhat. A graduate of Michigan State University, Ida is an active member of the State Bar of Michigan’s Legal Assistant Section and NALA.

Kelly LaGrave also works with the Business & Corporate practice group at Foster Swift. She has been with the firm 14 years. Kelly is also a graduate of Michigan State University. She is past chair of the State Bar of Michigan’s Legal Assistant Section and is currently serving as Chairperson of the NALA Certifying Board. Goodrich Petroleum Convertible Senior Notes Offering and Share Lending
Davis Polk & Wardwell advised Bear, Stearns & Co. Inc. and Deutsche Bank Securities Inc. as joint bookrunners in connection with a Rule 144A offering of $175 million aggregate principal amount of 3.25% convertible senior notes due 2026 of Goodrich Petroleum Corporation. We also advised Bear, Stearns & Co. Inc. on a concurrent SEC-registered offering of up to 3,300,000 shares of common stock that will be loaned to Bear, Stearns International Limited pursuant to a share lending agreement.

Based in Houston, Texas, Goodrich Petroleum is an independent oil and gas company engaged in the exploration, exploitation, development and production of oil and natural gas properties primarily in the Cotton Valley trend of East Texas and Northwest Louisiana and in the transition zone of South Louisiana.

The Davis Polk corporate team included partner Richard D. Truesdell Jr. and associates Shawei T. Wang and Colin Sturt (not yet admitted). Good News for Our Clients
Mark Cronenwett and Lindsay Stansberry won summary judgment in a commercial case on behalf of the firm's client, a loan servicer. The client was sued by a borrower who defaulted on a home equity loan, alleging the loan servicer was barred from foreclosing on the loan by the applicable statute of limitations. After successfully removing the case from state to federal court, Mark and Lindsay argued the borrower and his ex-wife's numerous bankruptcy cases, filed over a four-year period, prevented the loan servicer from foreclosing and tolled the limitations period. The federal court granted summary judgment in favor of the loan servicer, entering an order allowing it to proceed with the foreclosure of the loan.
