Pittsburgh Corporate Finance Attorney Jonathan Will Publishes Article on Adolescents' Religious Rights in Medical Treatment
Pittsburgh attorney Jonathan F. Will published an article in the Spring 2006 issue of the Journal of Contemporary Health Law titled "My God My Choice: The Mature Minor Doctrine and Adolescent Refusal of Life-Saving or Sustaining Medical Treatment Based on Religious Beliefs."

The article addresses general issues of competency in medical decision-making, with a particular focus on determining when adolescents should be permitted to make decisions for themselves from both a legal and ethical perspective.

Will is an associate in the Corporate Finance & Technology Section of Buchanan Ingersoll & Rooney. The article draws upon research he conducted on the topic as part of his master's degree in bioethics. He is available to assist health care companies with respect to particular situations or toward the development of in-house policies.

Pittsburgh Litigation Attorney Edwin Klett Appointed to Xethanol Board
Pittsburgh Litigation attorney Edwin L. Klett has been appointed to the board of Xethanol Corporation, as announced by the company in a December 11, 2006, press release. Klett is senior counsel with Buchanan Ingersoll & Rooney.

In the press release, Xethanol President and CEO David Ames said, "Ed's formidable background … in governance and litigation will be important in helping Xethanol overcome the challenges the company is facing today and succeed with our future growth strategy. The management team is extremely pleased to have an individual of the caliber of Ed on the Board of Directors."

"I find the company to have a sound strategy and to be involved in a business with tremendous growth potential," Klett said in the release. "Under the direction of its new CEO, David Ames, Board Chair William Behrens and other members of the Board and senior management, Xethanol is poised to seize the opportunity in the marketplace.

Bankruptcy Attorney Schorling Quoted in Philadelphia Business Journal
Philadelphia Bankruptcy and Creditors' Rights attorney William H. Schorling was quoted in a December 11, 2006, article in the Philadelphia Business Journal on the reduction in consumer bankruptcy filings.

Schorling, a shareholder at Buchanan Ingersoll & Rooney, told the Business Journal that it was hard to tell if filings were down because of the year-old federal law restricting bankruptcy filings, or because the economy is performing relatively well. He said Delaware chapter 11 filings were up, but not as much as he had expected, because the real estate market had stayed relatively steady.

Schorling added that third-quarter data would reflect an uptick from the first two quarters of the year in Delaware, and would list a handful of big filings, including Three A's Holdings, Radnor Holdings Corp., Global Power Equipment Group, Delta Mills and Dura Automotive Systems.

Baker & McKenzie Advises Shanghai Jin Jiang International Hotels on its Global Offering
Baker & McKenzie’s securities team in Hong Kong and Shanghai recently advised Shanghai Jin Jiang International Hotels (Group) Company Limited, as Hong Kong and US law counsel, on its US$311 million (HK$2.42 billion before exercise of the over allotment option) global offering. The shares will commence trading on the Hong Kong Stock Exchange on 15 December 2006.

Shanghai Jin Jiang International Hotels, China’s biggest hotel operator, is principally engaged in star-rated hotel operation and management, budget hotel operation and franchising, restaurants and related businesses. It has interests in 263 hotels spread over 73 cities in China, including landmark hotels such as the Peace Hotel and Jin Jiang Hotel. As part of the offering, Starwood Capital, the founder of Starwood Hotels and Resorts Worldwide Inc has taken a stake as the strategic investor; David Li, chairman of Bank of East Asia and Bank of China Group Investment Ltd have also taken a stake as cornerstone investors.

The Baker & McKenzie team was led by partners Elsa Chan and Allen Shyu (US law aspects). The team had lead responsibility for corporate and regulatory issues, liaison and discussions with the Hong Kong Stock Exchange, and general transaction management.

Commenting on the deal, Elsa Chan said, “We are delighted to have acted for Shanghai Jin Jiang Hotels on its global offering. With the upcoming 2008 Olympic Games and the World Expo in 2010 in Shanghai, the company is strategically positioned to meet the anticipated growth in hotel development, including luxury and budget hotels, through its diverse portfolio of hotel assets in China.”

BNP Paribas and UBS AG acted as the joint global coordinators and joint lead managers of the global offering.

The Firm’s involvement in this high profile IPO transaction fortifies its leading position in the areas of listings and fund raisings on the Hong Kong Stock Exchange, having acted on offerings by industry leaders like China BlueChemical, China Shenhua, Air China, China Life, China Shipping Container Lines, PetroChina, Chalco and Huaneng Power.

Baker & McKenzie Advises Bank Finance and Credit Limited on Debut US$100 Million Eurobond Offering
Baker & McKenzie announced today that it recently acted as Ukrainian and English law counsel to Bank Finance and Credit Limited on its debut US$100 million Eurobond offering.

The transaction was structured as an offering of US$100 million 10.375 percent Loan Participation Notes due in 2010. This is the longest term for a debut offering by a private bank in Ukraine.

The lead managers of the offering were Deutsche Bank, UBS Investment Bank and VTB and the LPNs were listed on the Irish Stock Exchange.

Commenting on the offering, Kirill Shevchenko, first deputy chairman, said: “We are pleased to have Baker & McKenzie’s team to represent our Bank in the second important project this year. We intend to continue actively to work in the international capital markets, and it is helpful to have in Ukraine such high quality, efficient, international legal advice to support this work.”

Partner Serhiy Chorny, who led Baker & McKenzie’s Ukraine team, commented: "We are proud to have assisted the Bank in entering the international capital markets with this debut transaction. The combined value of the Eurobond issuances supported by Baker & McKenzie as Ukrainian counsel since 2002 exceeded US$2 billion.”

Baker & McKenzie’s joint team was supervised by partners Serhiy Chorny (Kyiv) and Chris Hogan (London), led by senior associates Oksana Shovkoplyas (Kyiv) and Roy Pearce (London) and with support from associate Olexandr Fedorkiv (Kyiv).

Deutsche Bank, UBS Investment Bank and VTB, were advised by Clifford Chance on English law and by Sayenko Kharenko on Ukrainian law matters.

Baker & McKenzie Advises the Trustee of Sunlight REIT
Baker & McKenzie’s REIT Group in Hong Kong is advising HSBC Institutional Trust Services (Asia) Limited as the Trustee of Sunlight Real Estate Investment Trust (“Sunlight REIT”). Sunlight REIT’s diversified portfolio will comprise 20 office and retail properties located throughout Hong Kong Island, Kowloon and New Territories with a total appraised value of approximately HK$9.09 billion, which it will acquire from the Henderson Land Development and Shau Kee Financial Enterprises groups.

Sunlight REIT is looking to raise approximately HK$2.72 billion (based on the maximum offer price) through a Hong Kong initial public offering and an international placement. The units of Sunlight REIT are to be listed on the Main Board of the Hong Kong Stock Exchange and dealings in the units are expected to commence on Thursday, 21 December 2006.

The Baker & McKenzie team was led by Corporate partners Milton Cheng and Jason Ng. Milton is also the co-head of the Firm’s Asia-Pacific REIT Group.

Commenting on the deal, Milton Cheng said, “We are delighted to have had the opportunity to represent the Trustee on this transaction and to continue our record of having been involved in all of the Hong Kong-listed REIT IPOs so far. Our role as counsel to the Trustee in this deal has enabled us to view the transaction from the perspective of the REIT trustee, allowing us to add a further layer of know-how to what we have accumulated from our work on previous REIT transactions in other capacities, such as REIT Manager’s counsel.”

HSBC, Deutsche Bank and Macquarie Securities are the joint global coordinators and joint bookrunners.

This deal adds to the growing track record of Baker & McKenzie’s REIT team, building on its previous successes including:

• advising the Manager of Champion REIT on the first Hong Kong REIT with exposure to prime grade A office property in Hong Kong’s CBD;
• advising the Manager of Prosperity REIT on the establishment and IPO, and on the debt capital-raising exercise - the first private sector REIT listed in Hong Kong;
• advising Guangzhou Investment Company Limited (GZI) on the establishment and listing of GZI REIT - the first listed REIT with PRC mainland properties;
• advising CapitaLand on its strategic investment in The Link REIT (the first listed REIT in Hong Kong); and
• advising Cheung Kong on the initial public offering of Fortune REIT (the first listed REIT involving Hong Kong properties).

The Firm’s Asia Pacific REIT team is also very active in other REIT markets around the region including Australia, Japan, Taiwan, Singapore and Malaysia.

English to Serve on ABA International Energy Committee
Houston attorney John English is serving as Vice-Chair of the American Bar Association’s Section of Environment, Energy, and Resources’ International Energy & Resources Transactions Committee, 2006-2007.

In his role, English is responsible for assembling and editing the Committee’s annual "The Year in Review" report, which covers legislation, common law and treaties of significance during 2006 affecting energy, environmental or natural resources issues in any country, including the United States.

The International Energy & Resources Transactions Committee aims to bring together domestic and international attorneys, policymakers, consultants and other business interests to explore global energy and resources development opportunities in a wide range of topics.
