Jonathan N. Rosen Appointed by the Montgomery County Council
Jonathan Rosen, a member in the firm's Washington, D.C. office, has been appointed by the Montgomery County Council to serve as co-chair of the Grants Advisory Group in Montgomery County.

The Grants Advisory Group is a thirty-six member panel of appointed lay leaders who review grant applications received by the Montgomery County Council from the non-profit community. The Grants Advisory Group reports its recommendations regarding funding to the Council during the Council's spring budget deliberations. In so doing, the Grants Advisory Group serves to strengthen the Council's partnerships with non-profit organizations which serve the County's needs.

Jonathan is a member in the firm's Washington office and practices in the Litigation Section. He is an experienced attorney who focuses on white collar criminal defense, internal corporate investigations and complex civil litigation.

McCarter & English, Attorneys At Law

Habitat for Humanity and McCarter & English to Build a Home in Newark
Habitat for Humanity Newark today announced that a substantial contribution from McCarter & English, LLP has fulfilled the goal of the 2007 Corporate Challenge to fund and construct a house for a low-income city family.

Habitat intends to complete the house on Littleton Street by next year with money and labor contributed by the corporate community, including law firm McCarter & English, which anticipates that many of its Newark office lawyers and staff will participate in the actual construction.

"We are thrilled that McCarter has taken a leadership role in supporting our mission to build affordable housing for Newark's low-income families," said Hendricks Davis, Habitat for Humanity Newark's Executive Director.
"We've admired and supported Habitat's work for many years," said Lois M. Van Deusen, Managing Partner of McCarter & English and a member of Habitat's Board of Directors. "We are grateful for the opportunity to support Habitat's wonderful work in Newark."

Since it's founding in 1986, Habitat for Humanity Newark has enabled 58 Newark families to achieve a dream of homeownership that would otherwise be beyond their means. Habitat houses are sold to participating families at no profit, financed with 0% interest loans. Families are expected to invest at least 400 hours of "sweat equity" in their home or their future neighbors' homes. Homeowners' monthly mortgage payments go into a revolving fund that is reinvested in building more homes.

McCarter & English, established more than 160 years ago, has offices in eight cities along the Northeast Corridor. Sterne, Kessler, Goldstein & Fox Associate Recognized For Pro-Bono Service
Dr. Christopher J. Walsh, an associate with Sterne, Kessler Goldstein & Fox P.L.L.C., has been recognized by Whitman-Walker Clinic Legal Services Center with a "Distinguished Volunteer Award."

The award was given in appreciation of Dr. Walsh's outstanding efforts as a member of the Legal Community AIDS Walk Taskforce, raising critically needed funds to provide pro-bono legal assistance to persons living with HIV/AIDS in the Washington Metropolitan community. By working with fellow volunteer attorneys to raise funds from local law firms, nearly $220,000 was secured to support the efforts of Whitman Walker's Legal Services Center.

Dr. Walsh has been a Whitman-Walker volunteer since April of 2006 and is currently advising a client, pro bono, in a health insurance dispute. Dr. Walsh has been on staff with Sterne Kessler for five years and was previously a research scientist at both Eastman Kodak Company and Abbott Laboratories. He holds a Juris Doctor from The George Washington University, a Doctorate in Chemistry, from Illinois Institute of Technology and a Bachelor of Science in Chemistry, from Illinois State University.

Peter J. Weber Receives Philadelphia Bar Association Award
Peter J. Weber, a partner in the Philadelphia office of Weber Gallagher Simpson Stapleton Fires & Newby LLP, received the Philadelphia Bar Association's Workers' Compensation Section's Seventh Annual Martha J. Hampton Award at its annual meeting and reception December 5, 2006 at the Pyramid Club. The award is presented to the compensation attorney or judge who best exemplifies Hampton’s commitment to the profession while maintaining a unique and close personal relationship with members of the bar and bench.

Mr. Weber has served as co-chair of the Workers' Compensation Section and remains an active member of the Section’s Rules Committee. He is co-author of Pennsylvania Bar Institute’s Workers' Compensation Practice and Procedure Manual and he authored the Pennsylvania Bar Association's Annual Survey of Recent Developments in Workers’ Compensation Law. Mr. Weber has organized courses and has been a lecturer at Temple University Beasley School of Law, where he taught Workers’ Compensation Practice and Procedure. He has been recognized throughout the state for his contributions to the profession.

Sabre Holdings to Be Acquired by Silver Lake Partners and Texas Pacific Group
Davis Polk & Wardwell is advising Morgan Stanley & Co. Incorporated as financial adviser to Sabre Holdings Corporation in connection with its acquisition by Silver Lake Partners and Texas Pacific Group (TPG). Sabre Holdings, based in Southlake, Texas, is a leading provider of retail travel products as well as distribution and technology solutions for the travel industry. Based in Menlo Park, California, Silver Lake Partners is a leading private equity firm. Based in Fort Worth, Texas, TPG is a leading private investment partnership.

According to the terms of the agreement, Silver Lake Partners and TPG will acquire Sabre Holdings for $32.75 per share in cash. The transaction is valued at approximately $5 billion, including the assumption of approximately $550 million in net debt. The completion of the transaction is subject to customary closing conditions, including receipt of stockholder and regulatory approval, and is expected to be completed in the second quarter of 2007.

The Davis Polk corporate team includes partner Phillip R. Mills and associate Michael Davis of the New York office.

Goldman, Sachs & Co. is also serving as financial adviser to Sabre Holdings. Deutsche Bank and Merrill Lynch are serving as financial advisers and financing providers to Silver Lake Partners and TPG.

Indevus Pharmaceuticals to Acquire Valera Pharmaceuticals
Davis Polk & Wardwell is advising Banc of America Securities LLC as financial adviser to Valera Pharmaceuticals, Inc. in connection with its acquisition by Indevus Pharmaceuticals, Inc. Valera, based in Cranbury, New Jersey, is a specialty pharmaceutical company focused on developing, acquiring and commercializing products to treat urology and endocrinology diseases and disorders. Based in Lexington, Massachusetts, Indevus is a biopharmaceutical company engaged in the acquisition, development and commercialization of products to treat urological, gynecological and men’s health conditions.

According to the terms of the acquisition agreement, Indevus will acquire Valera in a stock transaction for $7.75 per share or an aggregate value of approximately $120 million, plus up to three contingent payments of up to $3.50 per share based on the achievement of future product milestones relating to three Valera products in various stages of development. The transaction is subject to customary closing conditions and is expected to be completed in April 2007.
