The Largest Acquisition in Poland's History Finalized. Weil Gotshal Advises the Successful Acquirer PKN ORLEN SA.
Weil Gotshal advised PKN ORLEN SA, Central Europe’s largest oil refinery, listed on the Warsaw Stock Exchange, in connection with the acquisition of 84.36% of shares in the Lithuanian AB Mazeikiu Nafta, the only refinery in the Baltic states, from Yukos International UK B.V. (53.70% of shares) and the Government of the Republic of Lithuania (30.66% of shares), for approximately USD 2.344 billion. The transaction was successfully closed on December 15, 2006.

The Government of the Republic of Lithuania also signed a put option agreement with PKN ORLEN SA, under which the government will be authorized to sell to PKN ORLEN SA the remaining 10% of shares. This option may be exercised within five years as of the conclusion of the transaction. The total price for the 10% of AB Mazeikiu Nafta shares will be USD 284 million during the first three years of the option period, or USD 278 million during the remaining two years of the option period. Following the closing of the transaction with Yukos International UK B.V. and the Government of the Republic of Lithuania, PKN ORLEN SA is required to announce a mandatory tender offer for the remaining shares in AB Mazeikiu Nafta.

This transaction is the largest foreign acquisition in Poland’s history. The deal was extremely complex and involved legal assistance in nine jurisdictions, including antimonopoly proceedings in Europe, the United States and Ukraine.

"The acquisition of AB Mazeikiu Nafta was a true cross-border and multinational deal that was led by the Warsaw office and involved Weil Gotshal attorneys from the London, Paris, Prague, Frankfurt, Munich, New York and Washington offices. Along with other mergers and acquisitions we have advised on in 2006, this deal once again demonstrates our dominant position in the Polish and CEE M&A market. Further proof of our strength in this practice is a recent ranking by Forbes and KPMG of the largest M&A transactions in Poland in 2006. According to the ranking, published in the January issue of the Polish edition of Forbes magazine, Weil Gotshal advised on seven of the ten largest M&A transactions, including the top three M&A transactions," said Pawel Rymarz, who managed the transaction.

Robinson & Cole Donates $10,000 to Elementary Schools in Connecticut and Massachusetts
In 2006 Robinson & Cole turned to the sons, daughters, grandchildren, nieces and nephews of the firm's attorneys, lobbyists and staff to help design the firms 2006 holiday card. With thirty-two entries from the children, four of the illustrations were selected to appear on the firm's holiday card. To see photos from the school donation presentations, click here.

On behalf of each child's contribution to the design of the firm's holiday card, Robinson & Cole donated $2,500 to each winner's elementary school in South Glastonbury and Southington, Connecticut and West Medford and Holyoke, Massachusetts. Presentations of the gifts were made by Managing Partner Eric Daniels and Partner David Wilson to:

* Hopewell Elementary in South Glastonbury, CT on behalf of Evan Varga, son of Hartford Partner, Greg Varga;
* Thalberg Elementary in Southington, CT on behalf of Brian Tomasco, son of Hartford Counsel, Jean Tomasco;

Fulbright Partner Named as Leading Healthcare Antitrust Lawyer
Fulbright partner Bill Pakalka has been selected by Nightingale’s Healthcare News as a 2006 Outstanding Healthcare Antitrust Lawyer. Pakalka is one of only 12 lawyers to make this national list, and the only lawyer selected from Texas.

Nightingale’s recognized Pakalka’s current work that includes obtaining a summary judgment for a hospital in an antitrust case, defending a hospital system in a private antitrust lawsuit that is being prosecuted by a physician-owned specialty hospital, and representing a hospital system responding to a state attorney general’s investigation of contracts with insurers.

Pakalka joined Fulbright’s Houston office in 1973. He focuses his litigation practice on antitrust, RICO, contracts and agreements, securities, general business, white collar crime, energy, and oil and gas matters.

Fulbright’s Family Law Group Spreads Cheer to Houston School
In lieu of exchanging holiday gifts, Fulbright’s Houston Family Law Group adopted the Contemporary Learning Center, a Houston public school that currently serves 28 students from homeless shelters and seven students from Child Protective Services.

Every year for the past 15 years, Fulbright’s Houston Family Law Group has adopted a family and donated gifts or money for the holidays. This is the first year it has adopted a school. The combined monetary and gift donations exceeded $1,000.

Baker & McKenzie LLP Advises Grundfos on its Acquisition of Watermill Products Ltd
Baker & McKenzie, London has advised Grundfos on its acquisition of Watermill Products Ltd, a British shower pump manufacturer.

Grundfos is a leading group in the development, production and sales of pumps around the world. It is represented through its own sales companies in 41 countries, and in 2005 had a turnover of £1.2 billion.

The UK is one of Grundfos' largest and most well established markets, and its acquisition of Watermill Products Ltd, will contribute to the Group's annual £100 million turnover in the UK.

Gabriel Fisher, Corporate partner at Baker & McKenzie, said: ''The UK is a significant market for our client, and this acquisition provides a new opportunity for Grundfos to expand its growing operations here.''

Fisher led the Baker & McKenzie, which also included associates Richard Cowie and Laura Passey.

Baker & McKenzie.Wong & Leow Advises Park Hotel Group on its Acquisition of Two Properties in the People's Republic of China and Singpore
Baker & McKenzie.Wong & Leow recently advised the Hong Kong Park Hotel Group on its acquisition of two properties - the Sheraton Wuxi Hotel and Towers and the Wuxi Garden City Mall in Wuxi, the People’s Republic of China and the Grand Plaza Parkroyal Hotel at Coleman Street, Singapore.

Singapore-Wuxi Investment Holdings, a subsidiary of SembCorp Industries, entered into a conditional sale & purchase agreement to transfer its stake in Wuxi Garden City Mall Hotel Co. Ltd (“WGCMH”) to Park Hotel Strategic Investments Limited. The China-incorporated WGCMH manages the Sheraton Wuxi Hotel and Towers and the Wuxi Garden Shopping Mall. The deal was signed on 6 December 2006 and is expected to be completed by the fist quarter of 2007.

The Baker & McKenzie.Wong & Leow's team was led by Corporate & Commercial Group Head, Ai Ai Wong, Associate Kelvin Poa, with the assistance of Partner Rico Chan from Baker & McKenzie, Hong Kong and Associates Catherine Song, Hua Jing and Alexander Gong from Baker & McKenzie, Shanghai. Ai Ai Wong and Kelvin Poa were also part of the team which advised Park Hotel on its successful $300 million acquisition of the Crown Hotel, Singapore in June 2005.

In October 2006, Baker & McKenzie.Wong & Leow also advised Park Hotel Strategic Investments Limited on its $180 million acquisition of the Grand Plaza Parkroyal, Singapore from Hotel Plaza Limited. The deal was signed on 4 October 2006 and is due to complete by 29 December 2006.

The team from Baker & McKenzie.Wong & Leow comprised Corporate and Commercial Group Head, Ai Ai Wong and Associates, Li Shi Chow, Li Hui Khoo and Gitta Satryani Juwita.

Michael G. Tierce Presents to Pennsylvania Bar Institute at Labor Law Symposium
Michael G. Tierce presented at the Pennsylvania Bar Institute’s Labor Law Symposium held December 5 in Philadelphia.

Mr. Tierce, a Shareholder of Stevens & Lee, joined other panelists to discuss the topic, “When Can You Spring for Lunch? Stricter Reporting Requirements of the Department of Labor,” where they presented the new employer reporting requirements under the Labor-Management Reporting and Disclosure Act (LMRDA).

Mr. Tierce concentrates his practice in all aspects of labor and employment law and represents management clients including hospitals, beverage and food production/distribution companies and commercial and industrial organizations.

Mr. Tierce handles administrative proceedings before the EEOC, state fair employment practice agencies and affirmative action compliance review boards. He also defends wrongful discharge, employment discrimination and similar types of employee lawsuits. He negotiates collective bargaining agreements, handles labor arbitrations, injunction proceedings and other labor-related matters. He represents clients before the National Labor Relations Board and advises clients on corporate personnel policies and practices. Mr. Tierce also provides counseling and training services to clients in all areas of labor and employment law.

A frequent lecturer and writer, Mr. Tierce has spoken before a variety of organizations on labor and employment matters. He has been a contributing author to the annual update of the Pennsylvania Employment Law Guide and for The Developing Labor Law. Mr. Tierce received a J.D., cum laude, from Rutgers School of Law – Camden and a B.A. from Brandeis University.
