Tyler Cooper Adds Partner In New Haven
David P. Atkins has joined Tyler Cooper as a litigation partner in the New Haven office. He has more than 23 years of experience in the trial and appeal of complex civil cases, including antitrust, securities, insurance coverage and trade secrets disputes.

David focuses his practice on the representation of professionals, including attorneys and law firms, in malpractice, business dissolution, licensing, court sanction proceedings, bar admission, ethics and disciplinary (grievance) matters. With extensive experience in the law of lawyering, he regularly is engaged as an expert witness on legal ethics and professional liability issues. In addition, he provides risk management advice to both law firms and corporate legal departments.

David joins other attorneys at Tyler Cooper with experience in representing professionals in business matters, regulatory compliance, licensing and litigation.

David served on the Connecticut Bar Association’s Task Force on Attorney Grievance Procedures, Joint Task Force on Future Funding for Legal Services, and Special Committee on In-House Counsel Certification. He regularly speaks about professional responsibility issues to attorney organizations, including the Connecticut Bar Association, Stamford/Norwalk Regional Bar Association, Greater Bridgeport Bar Association, New Haven County Bar Association, Westport Bar Association and Westchester Fairfield Corporate Counsel Association (WESFACCA).

He frequently is invited to speak on legal ethics at Yale Law School, University of Connecticut School of Law and Quinnipiac University School of Law. In addition, he is an author of numerous articles on attorney discipline, legal ethics and law office management.

David has acted as Special Counsel to the Grievance Committee of the U.S. District Court, District of Connecticut. He is a member of the national Association of Professional Responsibility Lawyers and served as director of that organization from 1996 to 1998.

David received his B.A., summa cum laude, from Columbia University in 1978 and his J.D. from Yale Law School in 1981. He served as law clerk to Hon. Almeric L. Christian, U.S. District Court, District of the Virgin Islands.

He is admitted to practice in Connecticut and the Virgin Islands; the U.S. Court of Appeals, Second Circuit and Third Circuit; the U.S. Tax Court; and the U.S. Supreme Court.

Home Capital Group to offer to acquire Payment Services Interactive Gateway
Home Capital Group Inc. (TSX: HCG) announced that it entered into a definitive support agreement with Payment Services Interactive Gateway Corp. (PSiGate) (TSX Venture Exchange: PSG) pursuant to which Home Capital will offer to acquire all of the issued and outstanding common shares of PSiGate.

Octagon Capital is the financial adviser to PSiGate and the special committee. The takeover offer will be conditional on shareholder and regulatory approvals, and other customary conditions.

Home Capital Group Inc. is a Toronto-based holding company that operates through its principal subsidiary Home Trust Company, which in turn is a federally regulated trust company offering deposit, mortgage lending, retail credit and credit card issuing services.

PSiGate is a Mississauga-based provider of secure e-commerce solutions.

Schwartz Consulted About Recalled Toys
Public Policy Partner Victor Schwartz answered the call when a reporter with The Wall Street Journal's law blog recently sought commentary on a company's options when recalling hundreds of thousands of lead-tainted toys. The law blog noted that Victor “and the rest of the public policy folks at Shook Hardy offer high-level strategic advice to companies going through product-liability meltdowns, much like Mattel is." Victor discussed the Iron Triangle Defense and the need for companies to address the litigation, public-relations and regulatory dimensions of these situations.

Paul Johnson Celebrates 50 Years in Practice
At the Tulsa County Bar Association & Tulsa County Bar Foundation Annual Meeting & Award Banquet, Mr. Paul Johnson will be awarded the Oklahoma Bar Association 50 years of membership certificate and label pin.

Paul H. Johnson has been a guiding light and fixture in Oklahoma all his life, promoting and protecting the Oklahoma landscape through not only his work in the Intellectual Property field, but through the many organizations and events in which he has participated through the years.

Near the end of World War II, Paul enlisted in the United States Navy and to this day Paul views his time in the Navy as one of the best experiences of his life. The Navy assigned him to the electrical engineering school and allowed Paul to travel and train in such places as Chicago, Corpus Christi, and eventually Oklahoma State University. After the war ended and Paul was discharged he continued his education at Oklahoma State graduating in 1950 with a Bachelor’s of Science degree in Electrical Engineering.

After college, Paul began working for Sinclair Oil and Gas, while putting himself through law school at the University of Tulsa. Upon graduation from law school in 1957, he became co-founder of Head & Johnson, which specialized in handling Intellectual Property matters. Paul Johnson is to this day regarded as one of the profession’s most respected Intellectual Property attorneys in Tulsa and throughout the world. Paul has helped thousands of clients realize their dreams through the procurement of patents and trademarks over the years.

Paul Johnson is not only a successful attorney but also an outstanding citizen of the City of Tulsa and the State of Oklahoma. Paul has served as the President of the Tulsa Downtown Lions Club, the Green T Club, and as past Chairman of the Tulsa Housing Authority. His current affiliations include the Rotary Club of Tulsa, Director Emeritus of the Thomas Gilcrease Museum Association, and a Commissioner for the Will Rogers Commission and Memorial.

On a personal level, Paul and his wife Ruth enjoy traveling to such places as South Africa, Turkey and Nova Scotia; spending time with their two children Jeff and Lisa, and enjoying all of their wonderful grandchildren. Paul and Ruth are also active members in their church community, and they love entertaining their friends and family with pictures and stories from recent trips.

We congratulate Paul his lifetime of service to others in his profession and his community.

Cooley mounts successful trial defense for former Arthur Andersen partner in Peregrine Systems fraud case
Cooley litigators achieved a major jury trial success in a federal fraud prosecution against Daniel F. Stulac, a former partner at Arthur Andersen LLP who was charged in October 2004 by the U.S. Attorney’s Office in San Diego with securities fraud, wire fraud and bank fraud in connection with the financial reporting of Peregrine Systems, Inc., a San Diego-based software provider. At the time of the indictment, the U.S. Attorney described the case as "the largest fraud in the history of the Southern District of California."

After a three-month trial and two weeks of deliberations, the jury announced it was deadlocked with votes favoring acquittal of Cooley's client on all counts.

The case was widely watched by legal analysts as another in a series of post-Enron financial fraud trials involving alleged accounting improprieties. The case was unique in that it marked the first time post-Enron that an outside auditor was charged with directly conspiring with management to manipulate earnings and deceive investors.

The Cooley team was led by Michael Attanasio, a partner and experienced jury trial lawyer who has tried numerous cases to verdict in federal courts around the country. Mr. Attanasio was assisted by lead associate Aaron Arnzen and a team of attorneys, paralegals, and staff from Cooley's San Diego office.

Bank of America in $2 Billion Countrywide Investment
Cleary Gottlieb represented Bank of America in its $2 billion investment in non-voting convertible preferred stock of Countrywide Financial Corporation. The transaction was signed and funded on August 22. Bank of America chairman and CEO Kenneth Lewis stated that "we hope this investment will be a step toward a return to more normal liquidity in the mortgage markets," noting that Countrywide services mortgages for one in seven American households.

David L. Edmunds, Jr., Special Counsel with Phillips Lytle LLP, a full service law firm with statewide coverage, has been appointed Chair of the Professional Discipline Committee of the New York State Bar Association. The committee looks at issues across the state relating to the attorney disciplinary process.

At Phillips Lytle, Mr. Edmunds focuses his practice in the areas of ethics and professional responsibility, and civil litigation defense. A member of the New York State, Erie County and Minority Bar Associations, he holds a J.D. from Case Western Reserve University School of Law and a B.A. from University of Rochester.
