Jonathan Kane Named the Management Chair of the American Bar Association Committee on Practice and Procedure Under the NLRA
Jonathan Kane, a partner with Pepper Hamilton LLP, has been named the management chair of the American Bar Association Committee on Practice and Procedure Under the NLRA. He will serve a two-year term. The Committee primarily consists of members whose practices bring them in regular contact with the National Labor Relations Board, its General Counsel and its Regional Offices. Practice before the Board is actively discussed throughout the year, with the objective of developing a labor-management consensus to address the multitudinous issues and various procedural problems faced by practitioners before the Board. The committee also publishes How to Take a Case Before the NLRB.

Mr. Kane, who serves as the chair of Pepper’s Labor and Employment Practice group, focuses his practice on strategic counseling, meeting and averting union organizational and corporate campaigns, collective bargaining negotiations, labor-related litigation, arbitration proceedings, proceedings before the National Labor Relations Board, employment litigation, counseling and training, unfair competition proceedings, and the labor and employment aspects of acquisitions and other corporate transactions. He also counsels employers on the prevention of violence in the workplace, the legal aspects of drug abuse policies and practices in the workplace, and harassment issues and dispute resolution systems.

Mr. Kane is a Fellow of The College of Labor and Employment Lawyers. He has been listed in The Best Lawyers in America for the last 14 years and is highly ranked in Chambers USA: America’s Leading Lawyers for Business.

The American Bar Association is the largest voluntary professional association in the world. With more than 400,000 members, the ABA provides law school accreditation, continuing legal education, information about the law, programs to assist lawyers and judges in their work, and initiatives to improve the legal system for the public.

Hunton & Williams Relocates Austin and Dallas Offices; Doubles Space in Dallas To Accommodate Growth
Hunton & Williams LLP today announced the relocation of its Austin office and plans to relocate its Dallas offices, doubling the space in Dallas to accommodate growth. The firm, which has 152 lawyers in Texas, represents one of the largest energy companies in the world, as well as companies involved in the banking, real estate, telecommunications, transportation, information technology, manufacturing and health care industries.

On Aug. 24, the Austin office of Hunton & Williams relocated to 111 Congress Avenue, Suite 1800, Austin, Texas, 78701- 4068, with telephone numbers, facsimile number and email addresses remaining the same. Chet A. Fenimore serves as office managing partner and Zonnie Breckinridge as office administrative partner. The main number is 512.542.5000 and the main fax is 512.542.5049. In Dallas, the firm will relocate its offices in late September to Fountain Place, 1445 Ross Avenue, Suite 3700, Dallas, Texas, 75202-2799 with the main number 214.979.3000 and the main fax 214.880.0011. Hunton & Williams currently leases 141,000-square-feet at Fountain Place to accommodate the firm’s 145 lawyers and associated support staff. Patrick E. Mitchell serves as office managing partner and Curtis G. Carlson as office administrative partner.

“Hunton & Williams is one of the largest non-Texas-based law firms in Dallas,” said Pat Mitchell. “These moves are necessary to accommodate the firm’s steady growth. With our new space in Fountain Place, the firm will be comfortably expansion in Dallas.”

In April, Hunton & Williams added 93 lateral attorneys from the former Jenkens & Gilchrist law firm.

This year Corporate Counsel decided not to survey America’s biggest corporations, opting instead to research which outside law firms appeared most often in the Fortune 250 public filings. Hunton & Williams was the third most often listed for commercial law and contracts litigation.

Federal Court says State May Not Build or Maintain Culverts that Hinder Fish Passage
U.S. District Judge Ricardo Martinez of the Western District of Washington decided that treaties between certain Indian Tribes and the State of Washington guarantee to the Tribes “the right to take fish, not just the right to fish.” Consequently, the State of Washington is under a duty to refrain from building or maintaining culverts under state-maintained roads if the culverts hinder fish passage and thereby diminish the number of fish that would be available for Tribal harvest. Judge Martinez did not issue an injunction against the State but set a hearing for August 29 to decide what remedy is appropriate.

The decision arguably expands the 1974 Boldt decision guaranteeing Tribes equal fishing rights. Judge Martinez stated that his ruling was limited to the facts of the motion before him, which concerned only culverts under state roads, and was not intended to establish a broad principle that the state must take all possible steps to protect fish runs. But it is likely that the decision will be cited for the principle that the Tribes’ treaty rights guarantee protection of fish habitat that may be damaged by other upstream or downstream actions. This could conceivably affect a diverse range of activities, including land use permitting, real estate development and redevelopment, large infrastructure project construction and timber harvesting.

Attorney Appointed to Birmingham Planning Board
Dickinson Wright Member J. Bryan Williams has been appointed by the City Commission of the City of Birmingham to complete a three-year term on the Planning Board for the City of Birmingham.

The Planning Board advises the City Commission with regard to the proper development of the city, and has primary responsibility for site plan and design review for properties and zoning ordinance text revision and amendments.

Williams lives in Birmingham and is based in the Bloomfield Hills office of Dickinson Wright, where he focuses his practice on corporate law, corporate governance, municipal law and finance, and mergers and acquisitions. His experience include providing counsel to numerous publicly and privately held companies, boards of directors, and audit, compensation, nominating and other special committees on Sarbanes-Oxley Act compliance and corporate governance issues; and providing counsel to various business enterprises on corporate finance, commercial lending, and commercial operating issues. He currently serves as Corporate Secretary to Dura Automotive Systems, Inc., advising it on all aspects of corporate governance and Sarbanes-Oxley compliance matters, and as Corporate Secretary of ACO, Inc.

Williams earned an A.B. degree, cum laude, from the University of Notre Dame, and a J.D. degree, cum laude, from the University of Michigan Law School.

He served as Chief Executive Officer of Dickinson Wright from 1991 - 2000.

Bryan Cave Helps Secure Significant Middle East Deal
Bryan Cave recently represented Mushrif Trading and Contracting Company KSCC (MTCC) and Kipco Asset Management Company (KAMCO) in the 100 percent capital increase by MTCC and subsequent purchase by Gulf Consortium 2 of all of the shares resulting from the capital increase.

Valued at $100 million, the deal is the first whereby a portion of the purchase proceeds were used by the issuer to fund the acquisition of two UAE-based companies currently owned by sister companies of the purchaser (Gulf Consortium 2). Gulf Consortium 2 is a subsidiary of Ithmar Capital, a Dubai-based private equity firm and a strategic ally in the region of the international private equity firm 3i.

Wayne Fidyk, David Pfeiffer and Ola Saab in Kuwait and Denis McCusker in St. Louis were involved from Bryan Cave. The deal has been highlighted in numerous publications, including Aug. 20 in the Arab Times and Kuwait Times.
