Smith Moore Named One of Triad
The Greensboro office of Smith Moore LLP has been named by the Triad Business Journal as one of the ten best places to work among mid-sized businesses in the Triad. The publication selected Smith Moore for the top ten distinction based on results of an anonymous employee satisfaction survey administered by independent researchers.

The recognition was not limited to law firms but instead covered all businesses in the Triad. Smith Moore was the only law firm to receive the honor in the mid-size company category, which includes businesses with 51-250 employees.

"We are proud of this award because it means that our emphasis on teamwork in client service is working," said Smith Moore managing partner, Steve Earp. "For our law firm to be truly successful for its clients, every person on our team must feel that their contributions are valued. John T. Gabrielides Named Chair of Brinks Hofer Gilson & Lione's Anti-Counterfeiting Group
Brinks Hofer Gilson & Lione, one of the largest intellectual property law firms in the United States, is pleased to announce that John T. Gabrielides, a shareholder in the firm's Chicago office, has been named chair of the firm's Anti-Counterfeiting Group.

"The continued importance of global trade, combined with the critical value companies place on their source-identifying trademarks, makes counterfeiting a fertile area for confusion and a serious issue that can compromise a company's trademark rights," said Mr. Gabrielides. "Brinks' establishment of this group, which has within its ranks dozens of lawyers who are dedicated to trademark-related matters, reflects the firm's commitment to serve all aspects of our clients' needs with outstanding results and in a cost-effective manner."

The Anti-Counterfeiting Group assists firm clients in identifying, seizing and destroying counterfeit goods, including directing the preliminary investigation, gathering and packaging the relevant evidence, making application in federal court for an ex parte seizure order, coordinating seizure raids with law enforcement officials, to finally supervising and participating in the raids. This can also result in disrupting, and eventually disabling, the channels in which counterfeit goods travel.

Notably, in February 2004, U.S. Marshals, representatives from Brinks' client, Swanson Tool Company, and firm attorneys conducted simultaneous raids and seizures in Chicago and Houston. The seizures netted tools bearing counterfeits of Swanson Tool's SPEED trademarks, along with related electronic records. Shortly thereafter, a federal court issued preliminary injunctions confirming the propriety of the raids and seizures. Through documentation obtained during the raids, the firm learned the identity of the importer of the counterfeit tools, which added to the client's counterfeiting information base.

Also, on behalf of Seven Towns Ltd., owner of the famous RUBIK'S CUBE puzzle cube trademark and trade dress, the firm worked directly with U.S. Customs officials to ensure that field agents were aware of new infringing and counterfeit twist-cube puzzle cubes that appeared in the marketplace. This proactive approach has resulted in seizure and destruction of thousands of counterfeit products as they enter the country.

Mr. Gabrielides' practice includes all aspects of trademark, unfair competition, false advertising and copyright law, including litigation before federal courts and the U.S. Patent and Trademark Office. He also has experience in counseling, licensing and litigation relating to patents. Mr. Gabrielides received his J.D. from DePaul University College of Law and his B.A. in economics from the University of Illinois. He joined the firm in 1998.

Seyfarth Shaw Partner Sang-yul Lee Named to Law Bulletin's "40 Under Forty"
Sang-yul Lee, an attorney with Seyfarth Shaw LLP, one of America’s leading full service law firms, has been recognized by the Law Bulletin Publishing Company (publisher of Chicago Daily Law Bulletin and Chicago Lawyer) as one of “40 Illinois Attorneys Under Forty to Watch” for 2007. Lee joins Seyfarth Shaw attorneys Gerald Pauling, Allegra Rich, Phillip Shawn Wood and Mark Johnson who have each been named to the
exclusive list

Lee, a partner in the firm’s Chicago office, is a member of the Labor and Employment department. He has extensive experience representing clients in EEO litigation, collective bargaining, arbitrations, layoffs and closures, wage and hour audits and class actions. Additionally, Lee is one of the partners in charge of coordinating the firm’s growing international practice. He advises clients in the United States, Asia and Europe on both inbound and outbound legal matters.

The Law Bulletin profile praises Lee, noting that he “has quickly become one of the city’s top labor and employment attorneys. At the same time, he’s dedicated countless hours to mentoring law students and younger attorneys and has worked tirelessly to promote diversity within his law firms.” Contemporaries note his focused but practical approach to counseling and litigation as well as his ability to resolve complex legal issues, many requiring substantial interdisciplinary counseling. Lee’s profile further notes that, “With his sterling professional record, it’s little surprise that Lee is a highly sought-after speaker and educator.” In addition, he is a board member of the Korean American Bar Association, where, as his profile points out, he “helped transform this organization from a small group of about 30 attorney members into a full-fledged organization that today boasts more than 150 members.”

Lee received his B.A. from Northwestern University and his A.M. and J.D. degrees from the University of Illinois. He is a volunteer Hearing Board member of the Illinois Attorney Registration & Disciplinary Commission, contributing editor for BNA’s Developing Labor Law and a member of the University of Illinois College of Law Board of Visitors.

This is the Law Bulletin’s ninth annual ranking. Selection criteria for this roster of 40 young attorneys are based on an examination of the nominees’ career achievements including successful settlements, verdicts, acquisitions or transactions, how far the nominees have risen in their practice area and the contributions the attorneys have made to their communities.

Wolf Haldenstein Adler Freeman & Herz LLP Announcement on Behalf of Midwest Shareholders
Wolf Haldenstein Adler Freeman & Herz LLP (“Wolf Haldenstein”) filed a class action complaint in the United States District Court for the Eastern District of Wisconsin styled Market Street Securities v. Midwest Air Group, Inc. et al., Case No. 07-00345. The action was filed on behalf of all shareholders of Midwest Air Group, Inc. (“Midwest” or “Company”) [AMEX:MEH] adversely affected by defendants’ conduct in response to the numerous proposals made by AirTran Holdings, Inc. (“AirTran”) to acquire Midwest. The Complaint alleged (among other claims) breaches of fiduciary duties by Midwest and its Board: (i) concerning their duties to take steps to maximize Midwest’s value for its shareholders; and (ii) alleging that Midwest’s refusal to enter into any negotiations with AirTran was unreasonable.

On July 16, 2007, in the face of plaintiff’s motion for a preliminary injunction to set aside Midwest’s “poison pill” and negotiate with AirTran and other potential buyers, Midwest reversed its long-standing policy and allowed AirTran to present its buyout proposal directly to Midwest’s Board of Directors. Two weeks later, Midwest announced that its Board of Directors formed a committee to review strategic alternatives, including AirTran’s offer. Midwest’s announcement was made only one week after plaintiff moved for an expedited hearing and scheduling order concerning its motions. On August 16, 2007, Midwest announced that it signed a definitive merger agreement to be acquired by an affiliate of TPG Capital, L.P. in a transaction valued at approximately $450 million. Midwest announced that the merger agreement was unanimously approved by its Board of Directors. Pursuant to the terms of the agreement, each outstanding share of Midwest’s common stock will be converted into the right to receive $17 per share in cash.

On behalf of Midwest shareholders, Wolf Haldenstein is pleased that Midwest has ultimately complied with its fiduciary duties to: (i) negotiate with potential purchasers of the Company; and (ii) maximize shareholder value by entering into the merger agreement with TPG Capital. Wolf Haldenstein is also pleased that its repeated and tireless efforts on behalf of Midwest shareholders prompted Midwest to comply with its fiduciary duties. Midwest and its Board of Directors should be commended for recognizing the merits of plaintiff’s complaint and taking the appropriate steps to address plaintiff’s allegations by: (i) meeting with AirTran; (ii) forming a special committee to consider strategic alternatives; and (iii) entering into the merger agreement with TPG Capital.
