Luce Forward Partner S. Elizabeth Foster to Lead San Diego World Trade Center
Luce Forward Partner S. Elizabeth Foster has been elected Chair of the San Diego World Trade Center and will serve a two year term, effective as of January 1, 2007. Foster has been a member of the Board of Directors since 2004 and previously served as its Vice Chair.

As Chair, Foster will oversee the San Diego World Trade Center’s 46-member Board of Directors and work with its executive team to help fulfill the organization’s goal of leveraging San Diego’s international expertise, resources and network to benefit the local business economy and attract foreign companies to San Diego.

“It is an honor to serve as Chair, and to work with the diverse and talented professionals that comprise the San Diego World Trade Center’s staff and Board of Directors,” Foster said. “I look forward to continuing to raise San Diego’s profile on an international level and helping our member companies fulfill their international business goals.”

Foster’s international corporate law practice includes working with clients of various sizes in diverse industries, in matters such as mergers and acquisitions, joint ventures, private equity and initial public offerings (IPOs). She has assisted companies with transactions in many different countries.

“We are thrilled to have Elizabeth as our incoming Chair,” said Bella Heule, President and CEO of the San Diego World Trade Center. “Her experience with and understanding of business transactions along with her common sense approach to the challenges facing San Diego’s international business community will be of great service to our members and organization.”

Lowis & Gellen Attorney to be Panelist at CBA Business Acquisition Seminar
Robert Leavitt, a member of Lowis & Gellen’s Corporate Practice Group, will be participating as a panelist in the Chicago Bar Association seminar, Negotiating The Asset Purchase Agreement For The Sale Of A Business. The seminar will be held on February 8, 2007, at the CBA’s headquarters at 321 S. Plymouth Court, from 3 pm to 6 pm.

The seminar is about how to successfully negotiate an Asset Purchase Agreement for a client who is selling or buying a business. Mr. Leavitt and five other panelists will conduct an improvised mock negotiation using a hypothetical sale of a privately-held business. In the course of three hours, the seminar will highlight the key issues commonly raised during such a negotiation and practical ways to resolve them.

Lowis & Gellen’s Corporate Practice Group represents public and private companies in connection with a wide variety of transactions, including mergers, stock purchases and asset acquisitions, divestitures, leveraged buyouts, restructurings and other transactions involving changes in corporate control. Kirkland & Ellis International LLP Advises TowerBrook Capital Partners on Its £185 Million Acquisition of Luxury Goods Retailer Jimmy Choo
Kirkland & Ellis International LLP announced today that it is advising TowerBrook Capital Partners in its acquisition of luxury goods manufacturer and retailer Jimmy Choo for £185 million, from Lion Capital. This the largest deal TowerBrook has completed in the UK market and marks its first investment in the luxury goods industry.

Kirkland partner Erik Dahl led the deal team. "Its always a privilege having the opportunity to work with the outstanding people at TowerBrook. This is a great deal for them and it has been fast, furious and required a good deal of finesse. I am most proud of the Kirkland team who executed on all fronts to get this over the finish line, including Chris Field on the acquisition side, John Baldry who led tax and structuring, Neel Sachdev on the debt and Michel Debolt and James MacArthur on the equity front as well as the younger lawyers who supported them. It's incredibly satisfying to see the talent that we've assembled and trained over the last few years here in London delivering results like this while operating at the top-end of the UK buyout market."

Other parties on the transaction included TSB for Tamara Mellon and the management team; SJ Berwin for Lion Capital and Clifford Chance for the financial advisers.

Dahl also led the Kirkland team representing a consortium including TowerBrook in a transaction that very recently received the award for European Large Deal of the Year (jointly with Apollo Management, L.P. and Goldman Sachs Capital Partners LP). TowerBrook received the award for the sale of Swiss telecoms business Cablecom for SFr 2.83bn to Liberty Global at the European Private Equity Awards held in London on Dec. 6, 2006. It was also selected as the European Fund of the Year. The event was organised by the European Private Equity and Venture Capital Association (EVCA).

DAVID J. GILLES JOINS GODFREY & KAHN’S ENERGY, ANTITRUST AND TRADE PRACTICE GROUPS
The law firm of Godfrey & Kahn, S.C. announced that David J. Gilles has joined the firm as a shareholder in the firm’s Madison office, LaFollette Godfrey & Kahn. Gilles plans to utilize his substantial experience in government work by concentrating his practice in the areas of energy, telecommunications, antitrust and consumer regulatory matters for clients of the firm.

Prior to joining the firm, Gilles spent four years serving as General Counsel for the Public Service Commission of Wisconsin. During his tenure, the commission was involved in numerous significant decisions including the authorization of construction of power plants and transmission facilities, all of which were upheld by the appellate courts.

Before serving as General Counsel, Gilles was an Assistant Attorney General with the Wisconsin Department of Justice. As an Assistant Attorney General, he focused on consumer protection, trade regulation and antitrust enforcement actions. In particular, Gilles was immersed in consumer protection issues that emerged as the telecommunications industry was deregulated at the state and federal levels. He was not only involved in the deregulation process, but also served as the department’s telecommunication advocate. Gilles handled other significant consumer protection litigation and policy matters.

In addition, Gilles was actively involved with several working groups of the National Association of Attorneys General regarding both consumer protection and antitrust issues.

Gilles received his law degree from the University of Wisconsin Law School and his bachelor’s degree from the University of Dayton. He is a member of the Wisconsin Bar Association and the Energy Bar Association.

Freshfields advises Credit Suisse on Hopson Development CB issue
property group Hopson Development sold the equivalent of US$225m worth of renminbi-denominated but US-dollar-settled convertible bonds (CBs) to finance existing and new projects as well as potential acquisitions of new land.

International law firm Freshfields Bruckhaus Deringer advised Credit Suisse, as sole book runner, on the deal.

This is the first time a company has issued CBs in renminbi that are then settled in another currency, in this case US dollars. The transaction was structured this way for accounting reasons.

Hong Kong finance partner Patrick Lines led the Freshfields Bruckhaus Deringer team and commented: "This was a novel and interesting deal. The denomination in RMB with settlement in USD gave rise to some interesting new issues in the documentation. Hopefully it will set the framework for many future CB issues."

Essent and Nuon announce agreement to merge
Dutch energy companies Essent and Nuon have agreed in principle to merge. In terms of equity value (approximately €24bn) the new company will be among the ten largest energy companies in Europe and will form a strong energy company, headquartered in Amsterdam, operating in the evolving Northwest European energy market. The provisional name of the new combination after closing of the transaction is EssentNuon N.V.

The merger requires approval from the shareholders, the formal opinion of the Central Works Councils of Essent and Nuon and approval from the Netherlands Competition Authority (NMA). Essent and Nuon pursue similar strategies in terms of geographical focus, core activities and the way they operate. The Netherlands, Belgium and Germany are their main markets.

Freshfields Bruckhaus Deringer Amsterdam advised Essent on the transaction. The team was led by corporate partner Steven Perrick and competition partner Winfred Knibbeler and included corporate associates Harald Spruit, Juliëtte de Wijkerslooth, Arjen van der Weijden and competition associates Paul Kreijger and Steven Verschuur.
