Jonathan A. Kenter Joins Troutman Sanders In Its New York Office
Troutman Sanders LLP announces the addition of Jonathan A. Kenter as a partner to its Compensation and Employee Benefits practice group in New York City.

Prior to joining Troutman Sanders, Kenter was a partner and co-chair of the Employee Benefits practice group at the law firm of Bingham McCutchen in New York City (2001-2007). Before joining Bingham, he was senior counsel (1994-1996) and a partner (1996-2001) at Richards & Oneil; an associate at Shea & Gould (1988-1994); and an associate at Epstein, Becker and Green (1985-1998), all in New York City.

“Jonathan brings to Troutman Sanders over 25 years of experience in the legal and actuarial aspects of the employee benefits field. We are excited to be able to add his broad range of legal services to the firm,” said Aurora Cassirer - managing partner, Troutman Sanders’ New York office.

As in the past, Kenter’s practice will specialize in domestic and international benefits aspects of corporate transactions and benefits integration and dis-integration matters arising out of them, as well as regulatory compliance and dispute resolution. He will service a broad range of public and private company clients in the telecommunications, aerospace, insurance, real estate, publishing and manufacturing industries. Additionally, he will negotiate executive employment and severance arrangements, early retirement windows, a wide variety of employee benefit plans, and assist in the litigation of multiemployer withdrawal liability disputes, fiduciary breaches and benefit claims. Kenter will also consult with clients on Internal Revenue Code Section 409A aspects of nonqualified deferred compensation programs, and represent clients before the Internal Revenue Service, the Department of Labor and the Pension Benefit Guaranty Corporation.

Kenter received a B.A. in economics from Yeshiva University in 1981, a M.B.A. from Bernard M. Baruch Graduate School of Business in 1985 and a J.D. from Brooklyn Law School in 1986.

Brennan Writes of Wiretapping Laws
Meredith Brennan’s article “Dial ‘W’ for Wiretap” was published in the February 5, 2007 Pennsylvania Law Weekly. The article discusses the importance of understanding wiretapping laws in custody disputes when parents may want to monitor their child’s interactions with the other parent.

Meredith relates that in G.J.G. v. L.K.A., 2006 Delaware Family Court. LEXIS 92 (April 11, 2006), the mother recorded a telephone conversation between her twelve-year-old son and his father without their knowledge. The father instructed the child to lie to the Division of Family Services about an altercation with his mother. Ultimately, the Delaware court ruled that the mother had a good-faith basis that was objectively reasonable for recording the conversation. However, due to the variation between state wiretapping laws, courts may face difficulty with determining which state law should be applied the case. As a result, it is very important for family law attorneys to understand Pennsylvania’s wiretap law as well as the differences in the federal wiretap act and other states’ wiretap statutes.

Prominent D.C. Lawyer to Lead McDermott's Government Strategies Practice
The Washington, D.C. office of McDermott Will & Emery is pleased to announce that Stephen M. Ryan, a well-known lawyer with an expansive resume of government and law firm experience, has joined the Firm to head its Government Strategies Practice Group.

"With his inside-out knowledge of the government, Steve's leadership gives McDermott a top-flight government affairs practice," commented Ray Jacobsen, head of the Firm's Regulation and Government Affairs Department. "Steve has the experience and the talent to lead this practice as we continue its expansion, particularly representing clients in the new Congress on a full range of legislative matters including oversight hearings."

Mr. Ryan provides a broad range of lobbying, litigation and counseling services, often for the high-tech community, and companies in highly regulated industries. Mr. Ryan has experience in all branches of our government. He served as General Counsel to the U.S. Senate Committee on Governmental Affairs (GAC), chaired by the Honorable John Glenn, and participated in all aspects of the Committee's legislative and oversight activities, such as government procurement investigations, government audit activities and ethics legislation. Mr. Ryan also served as Deputy Counsel of the President’s Commission on Organized Crime, directing investigations against La Cosa Nostra and other criminals during the Reagan Administration. He served as an Assistant U.S. Attorney in Washington, D.C., prosecuting criminal cases, and as a law clerk for the Honorable Robert A. Grant, U.S. District Judge for the Northern District of Indiana.

In addition to Mr. Ryan, James Edmund Datri, named five consecutive times to Roll Call's "Fabulous Fifty," a list of the 50 most influential advisers and strategists on Capitol Hill, has also joined McDermott's Washington, D.C. office as a partner in the Government Strategies Practice Group. Like Mr. Ryan, Mr. Datri advises on the development and execution of strategies that integrate legislative, communications/public relations, and business components to move government policy and advance client interests. He is the former Executive Director of the Democratic Caucus in the U.S. House of Representatives, a post he was appointed to by then-Democratic Caucus Chairman (now U.S. Senator) Bob Menendez. Among other responsibilities, Mr. Datri organized the private annual Democratic Issues Conferences, where House Democratic leaders plan their legislative and communications strategies for the year ahead. He served for more than a decade in senior positions in the U.S. Congress, including for Congresswoman Carolyn Maloney of New York City, and Congressman Sander Levin of Michigan.

Biographical Notes

Stephen M. Ryan represents clients in both lobbying and litigation, before the Congress, state legislatures and in federal and state courts across the United States. He has often represented companies and individual officers in their interactions with a range of law enforcement agencies, including the U.S. Department of Justice, agency Inspectors General and State Attorneys General. He is often called upon to help conduct internal investigations to assist management and corporate boards in addressing issues of importance. For example, American University relied on Mr. Ryan for critical work in the investigative and lobbying area, and he provided important congressional representation for a leading global technology solutions provider. In the past year, he has won a major victory for utilities damaged by Enron in the U.S. Court of Appeals for the 9th Circuit Court, and represents the Mayo Clinic, Intuit and other significant U.S. clients.

Mr. Ryan is a leader on internet governance issues and often attends international forums addressing such issues. He is the Mid Atlantic regional Board Chairman of Operation Hope, America's premier African-American focused financial literacy group. Mr. Ryan earned his J.D. from Notre Dame Law School and his B.S. from Cornell University. He is admitted to practice in Washington, D.C.

James Edmund Datri earned a well-deserved reputation as an effective problem solver and coalition builder during his time on Capitol Hill. The National Journal reported in a June 2003, profile: "When a problem arises in the...ranks of the House Democratic Caucus, Datri is the staffer to whom [Chairman] Menendez and other lawmakers turn first," and "Datri directed a series of policy forums on economic and security issues that helped forge consensus among ideologically diverse House Democrats."

Mr. Datri, a New York City native, is an experienced public speaker and speechwriter. Among the hundreds of speeches he has written, Mr. Datri has written speeches given in prime time at the 2000 and 2004 Democratic National Conventions. He earned his J.D. from Harvard Law School, where he served as managing editor of Harvard Law Record, and he earned his B.A. with honors from the University of California, Santa Cruz.

Partner Appointed to Lambda Legal Board of Directors
Lisa Linsky, a partner in McDermott Will & Emery's New York office and chair of the Firm's Lesbian, Gay, Bisexual and Transgender (LGBT) Diversity Committee, has been appointed to the board of directors of Lambda Legal. As a member of the Trial Department, she focuses her practice on general business litigation, business investigations, client counseling, environmental and toxic tort litigation.

In early 2006, McDermott formalized its LGBT Diversity Committee which has since been led by Ms. Linsky. Under her leadership, the committee works to develop Firm-wide policies, programs and initiatives to maintain a supportive environment for all of our employees regardless of transgender or sexual orientation, gender identity or lifestyle choice. In September, McDermott was one of the record number of U.S. companies earning a100 percent rating on Human Rights Campaign's annual Corporate Equality Index. The number of companies earning a 100 percent rating increased by 37 percent over last year, including a record number of law firms—12.

JORDEN BURT Alert: NASD Fines Broker-Dealer For Failing to Follow Anti-Money Laundering Rules
Imposing the largest fine to date against a brokerage firm for anti-money laundering (AML) violations, on January 29, 2007, the NASD placed firms on notice: Broker- Dealers must implement and enforce AML programs that include appropriate procedures to address high risk accounts. NASD’s enforcement action comes on the heels of recent government reports concerning potential money laundering risks associated with shell companies.

Without admitting or denying NASD’s findings, Banc of America Investment Securities, Inc. (BAI) agreed to pay $3 million to settle charges for failure to obtain additional customer information for 34 high-risk accounts. The accounts at issue involved offshore trusts and private investment corporations engaged in multi-million dollar crossborder wire transactions. NASD found that BAI allowed the accounts to engage in transactions without requiring the names of the beneficial owners, despite receiving repeated requests and warnings from its clearing firm, and contrary to advice from a senior BAI lawyer and the BAI risk committee to collect such information. NASD found that BAI chose not to insist upon collecting the beneficial ownership information out of fear that the account holders would take their business elsewhere.

NASD also concluded that BAI did not adequately communicate with its parent bank, Bank of America, to ensure that its independent suspicious activity reporting obligations were met. NASD determined that BAI relied on Bank of America to determine whether to file a suspicious activity report (SAR), but did not have sufficient procedures in place that kept it informed of Bank of America’s SAR determinations, and of any filings made on its behalf. Accordingly, NASD determined that BAI was unable to reliably incorporate the information that a SAR had been filed into an ongoing risk assessment of its customers and to evaluate future account activity.
