Terry L. Wallace Joins Parker Poe's Charlotte Office
"Terry Wallace has joined Parker Poe as an associate in the Charlotte office. As a member of the firm’s Litigation Department, Mr. Wallace counsels and represents clients on a wide range of issues, including personal injury, wrongful death and property damage claims, professional negligence claims, unfair and deceptive trade practices, fraud claims, trade secret disputes, breach of contract claims and real property disputes.

Mr. Wallace received his BA from the University of North Carolina at Chapel Hill and his JD from North Carolina Central University. After law school, Mr. Wallace clerked for the Honorable Henry E. Frye, Chief Justice of the Supreme Court of North Carolina. "

Marshall Grodner Elected to Board of Regents of the American College of Commercial Finance Lawyers
"The prestigious organization known as the American College of Commercial Finance Lawyers elected Grodner to serve on its Board of Regents for his preeminence in commercial finance law and his dedication to the education of others in this field. Known for his experience in secured lending, Grodner represents lenders in numerous large commercial transactions, locally, regionally and nationally. He has also been in the forefront of intercity redevelopment, having done pioneering work with non-profit and for-profit developers in putting properties adjudicated to municipalities or sold at tax sale back into commerce. Grodner will serve a term of four years, expiring in 2011.

Marshall Grodner is a member in McGlinchey Stafford’s Baton Rouge office. His practice focuses primarily in commercial transactions, secured transactions, commercial finance, opinion letters, commercial real estate and gaming law. Grodner serves as chair of the firm's legal opinion committee.

In addition, Grodner has authored or co-authored several articles in law reviews and other publications dealing with secured transactions, commercial real estate and other business law issues. Marshall has also delivered lectures and papers throughout the country dealing with loan documentation, secured transactions and real estate law."

King & Spading Advises Tensar on $201 Million IPO
King & Spalding, a leading international law firm, advised Tensar Corp. in its filing for an initial public offering. The Atlanta, Ga.-based site construction and soil stabilization company indicated the offering price could total $201.3 million.

Tensar is 86.3 percent owned by Arcapita Inc., the private equity arm of global investment group Arcapita Bank B.S.C. Its products are used in transportation, industrial and commercial construction to help stabilize soil control erosion and provide underlying support structures.

Tensar has applied to be listed on the New York Stock Exchange under the symbol "TXC."

The King & Spalding legal team involved in the Tensar IPO was led by partners John J. Kelley III and Keith M. Townsend.

John L. Muething Funds Full Scholarship at Covington Catholic
John L. Muething, co-founder and senior partner of Keating Muething & Klekamp (KMK), and his family, have fully funded a scholarship in his honor at Covington Catholic. Mr. Muething is a 1939 graduate of Covington Catholic High School. The Muething scholarship is the first fully funded scholarship ever created at Covington Catholic.

The scholarship was initiated last year by an anonymous friend of Mr. Muething’s who promised to reveal his identity whenever the scholarship became fully funded. In order to be fully funded the scholarship principal must equal at least $125,000.00, which at a 5% withdrawal rate, produces an annual scholarship of $6,250.00 per year which is a little more than the current annual tuition at Covington Catholic. The anonymous donor, now revealed, is The Dennis M. and Lois A. Doyle Family Foundation. Dennis Doyle is a former law partner of Mr. Muething’s at KMK.

Dennis Doyle has to this to say about John: "John served as a mentor to numerous young attorneys who had the privilege of learning from and practicing along side of him. John was not only a legal mentor but a role model of what it took to be a great father, husband, business confidante and friend. It was apparent to all of us who knew and worked with John that his character was well formed at an early stage of his life and that Covington Catholic played a significant role in that process. My wife and I wanted to honor John at the institution where all these good qualities began. While we did not anticipate that John and his family would so quickly fully fund the scholarship--knowing John--we can hardly be surprised.”

Covington Catholic High School was established in 1925. It is the only all male school in Northern Kentucky

Clark Hill Attorney Linda Watson Appointed to State Bar of Michigan Standing Committee on Judicial Qualifications
Clark Hill Attorney Linda M. Watson has been appointed to the State Bar of Michigan Standing Committee on Judicial Qualifications, effective October 1. The Standing Committee on Judicial Qualifications evaluates candidates for appointment to judicial vacancies. Appointed members serve two year terms.

Watson’s practice is devoted to representation of small to large privately-held business entities, as well as public corporations and entrepreneurs on various business and commercial subject matters. Watson serves as Corporate Counsel for several companies in the automotive and technology industries. In that capacity, she manages and provides counsel on various business, commercial and employment matters.

As a litigator, Watson has tried numerous complex commercial cases to verdict and is experienced in arbitration, facilitation and mediation. Watson is a graduate of the National Trial Institute for Trial Advocacy, one of the leading institutions for intensive professional training in the art and skills of trial advocacy.

Watson was Managing Editor of Law Review while in law school, is a former Michigan Court of Appeals clerk to the Hon. Roman Gribbs, was a board member of the Automotive Women’s Alliance, founded a round table for in-house counsel, has written articles and is a frequent speaker for the Institute of Continuing Legal Education programs and for The Michigan Association of Certified Public Accountants. Watson serves as a member of The Oakland Circuit Court Committee, is on The State Bar Publications and Website Advisory Committee, and serves as a discovery master.

Watson earned her B.A. from Oakland University and her J.D., cum laude, from Michigan State University Detroit College of Law.

DLA Piper advises Techint on acquisition of Takraf
DLA Piper advised Tenova, a wholly owned subsidiary of Italian Techint Compagnia Tecnica Internazionale ("Techint"), on the purchase of Leipzig-based plant construction company, Takraf GmbH. The deal was signed on 7 August and is subject to approval by antitrust authorities.

Takraf GmbH, a recognised specialist in equipment and systems for the mining industry, provides plants for open-cast coal mining and the transport of raw materials. The company has 550 employees worldwide and a projected turnover of over €200m for 2007.

The acquisition will make Techint the fourth-largest plant construction company in the world. The Techint Group currently comprises over 100 companies worldwide, with more than 49,000 employees and a turnover of $15.92bn for the year 2006.

Wolf Michael Kühne, Corporate partner in Milan said: "This is the second major acquisition in Germany in which Techint instructed us. The deal demonstrates DLA Piper's strength in cross border operations and the seamless collaboration between our Italian and German offices. Clients value this greatly."

The DLA Piper team advising Techint was led by Corporate partner Wolf Michael Kühne (Milan) and Corporate associate Dr Uwe Eppler-Paschen (Hamburg). DLA Piper represented Techint in the joint acquisition with SMS Demag AG of the Elster Group company LOI Thermprocess GmbH in April 2006.

Hogan & Hartson Advises on US$900 Million Acquisition by Norwegian Private Equity Firm
Hogan & Hartson LLP has advised the investor group led by Ferd Private Equity Fund II on the US$900 million (€662.9m) acquisition of Nordic oil and gas service company Aibel Limited from a private equity syndicate comprised of Candover, 3i, and JPMorgan Partners. The deal closed on August 16, 2007.

Aibel is a leading provider of upstream oil and gas production facilities, process systems, technology, services, and products and has a leading market position within services related to maintenance, modification, and operations on the Norwegian continental shelf. The business, which generated approximately US$1.5 billion turnover of sales in 2006, employs more than 7,000 people across 16 countries.

A team from the London office of Hogan & Hartson (and various other offices around the world) advised the purchasers in the transaction. Jeffrey Hurlburt, one of the firm's leading private equity and venture capital partners in Europe, who headed the team, said:

“This transaction is significant in that it is one of the largest acquisitions by a Norwegian private equity firm that the market has seen. Norway, and the Nordic Region in general, has been incredibly active over the last few years, with prospects for further dynamic growth and investment opportunity only increasing among a number of exciting industry sectors, with top quality companies and talent in the region getting a significant amount of global attention from private equity, venture capital, and strategic investors.
