Kennedy Covington Deepens Financial Services Team
Kennedy Covington, one of the largest law firms in the Carolinas, is strengthening its commitment to financial services clients through the addition of J. Benjamin Earthman as Special Counsel in the firm's Charlotte office.

Earthman, whose past legal experience includes work in the Global Transportation Finance practice at Milbank, Tweed, Hadley & McCloy in New York, and most recently in the Banking and Finance practice in the Charlotte office of another international law firm, will continue to focus on structured finance and securitization at Kennedy Covington through his representation of conduits, commercial banks, borrowers, collateral managers and servicers in warehouse and repurchase facilities involving a broad range of asset classes, including commercial mortgage assets, aircraft, railcars, equipment, trade receivables and esoteric assets. Earthman also has experience in sales of residential mortgage loan pools and credit derivative products, as well as secured lending and lease financing transactions.

"Ben's arrival brings valuable expertise to an already seasoned team of banking and finance attorneys," says Dean Warren, partner and chair of Kennedy Covington's Banking and Finance practice. "His industry knowledge and experience with securitization transactions involving a wide variety of asset classes and structures will allow us to serve our existing clients in a more comprehensive manner. Earthman's recent transactions include the representation of a commercial mortgage asset originator in connection with warehouse and repurchase facilities totaling $1.75 billion; the representation of a repo buyer in commercial mortgage asset facilities totaling over $1 billion; the representation of a seller in more than $2 billion of sales of residential mortgage loan and HELOC pools; the representation of the administrative agent in connection with aircraft financings under a warehouse facility; and purchasers of structured products and instruments in connection with non-primary monoline insurance arrangements in respect of term securitization transactions.

Earthman received his J.D. from University of Memphis and his B.A. from Christian Brothers University.

Kelley Drye Closes Fourth Military Family Housing Privatization Transaction for Client Actus Lend Lease
Kelley Drye's Real Estate Practice Group completed the two-step closing of the privatization of military family housing on the United States Army Base at Fort Knox, Kentucky for client Actus Lend Lease LLC. This transaction was the fourth military family housing privatization transaction that Kelley Drye has closed for Actus.

Knox Hills LLC, a joint-venture limited liability company formed by Actus and the United States Army, became the leasehold owner of the family housing areas on Fort Knox under a 50 year ground lease. In connection with the Operational Closing, affiliates of Actus Lend Lease were engaged by Knox Hills to take over the day-to-day operation of the almost 3,000 homes which comprise the project. In addition, arrangements were made with the Army for the sustainability of the project for the duration of the term of the ground lease, including the provision of necessary municipal services by the Army and attention to historic preservation guidelines for the almost 150 historic homes included in the project. Knox Hills obtained a short-term bridge loan from Bank of America, N.A. to provide additional liquidity until long-term and construction financing could be arranged.

In connection with the Financial Closing of the privatization transaction, Knox Hills LLC obtained approximately $178M of construction and long term financing for the project from Bank of America, N.A. The financing was credit enhanced by Ambac Assurance Corporation via a debt service reserve surety bond and a financial guaranty insurance policy, both of which were instrumental in bringing the S&P rating of the underlying notes to "AAA". The debt has a final maturity date in 2052 and includes a $42M floating rate tranche that is subject to an unusual 45 year interest rate swap. Actus was engaged by Knox Hills to serve as the design and builder of the project. During the initial eight years of the project, it is anticipated that 850 new homes will be constructed, approximately 1,250 existing homes will be substantially renovated and three new community centers will be constructed.

Russell Buhite Elected Secretary to Multiple Sclerosis Board and Chair-Elect Designee to ABA Health and Disability Insurance Committee
Russell S. Buhite, a shareholder with the law firm of Fowler White Boggs Banker, was elected the Secretary of the Board of Trustees for the Mid-Florida Chapter of the National Multiple Sclerosis Society. Mr. Buhite was also chosen as chair-elect of the Health and Disability Insurance Committee of the American Bar Association, Tort, Trial and Insurance Practice Section (TIPS).

Mr. Buhite practices in the firm’s Securities, Financial Services and White Collar Practice Group where he concentrates his practice in the area of life, health and disability insurance coverage litigation, including ERISA matters, defense of agents and brokers regarding sales practices, suitability of annuities and life products, and other errors and omissions litigation.

Four Energy Lawyers Join Duane Morris in Washington, D.C.
Duane Morris LLP is pleased to welcome Michael Kessler and David DeSalle, both formerly of Powell Goldstein LLP, as partners in the firm's Washington, D.C. office. Both will join the firm's Energy, Environment and Resources Practice Group, a growing practice for the firm with a strong presence in Washington. Also joining the firm's energy practice are Daniel Malabonga and Michael Splete, formerly of Powell Goldstein.

Michael Kessler focuses his practice on federal and state energy regulatory matters, as well as matters relating to energy project development and finance, including energy transmission issues, energy sales and interconnection, and operation and maintenance agreements. He has extensive experience counseling independent power project developers and producers, representing entities in the privatization of utility assets, as well as companies operating in retail energy markets. He has also acted in an in-house capacity, having served as general counsel and vice president for American Energy Solutions, Inc., a consumer-oriented retail energy services provider based in Kansas City, Missouri. He is a member of the Energy Bar Association, as well as the District of Columbia and American bar associations, and has published articles and spoken on competitive wholesale energy markets.

Michael graduated with a B.A. from Brown University in 1975 and earned his J.D., cum laude, from Vermont Law School in 1980.

David DeSalle concentrates his practice on energy regulatory and transactional issues as well as civil litigation matters. He represents a diverse array of energy clients before federal and state regulatory bodies, and has counseled electric utilities and natural gas suppliers in restructuring cases and merger proceedings. In addition, he served as counsel and government affairs coordinator for the Pennsylvania Chemical Industry Council, a trade association, where he was involved in the legislative and regulatory issues surrounding electricity deregulation and retail competition in the state. He is a member of the Energy Bar Association, as well as the District of Columbia, Pennsylvania and American bar associations.

David earned his J.D. from the University of Pittsburgh Law School in 1995. He graduated with a B.A. from the University of Notre Dame in 1992.

Daniel Malabonga earned his LL.B., and his A.B., both cum laude, from the University of the Philippines in 1983 and 1979, respectively.

Michael Splete earned his J.D., with honors, from The George Washington University Law School in 2002 and graduated with a B.A. from Cornell University in 1994.

Thomas T. Moga publishes article in Professional BoatBuilder
Butzel Long senior attorney Thomas T. Moga has published an article in Professional BoatBuilder, a bi-monthly trade magazine. The article is titled, "How to Counter Industrial Counterfeiting." The focus of the article is the need for boat builders as manufacturers to obtain intellectual property (IP) protection in China.

Mr. Moga's practice focuses on intellectual property including the acquisition of patents and registrations for trademarks and copyrights; licensing, litigation, dispute resolution and mediation, portfolio management, and policy development. He is an experienced patent prosecutor in the mechanical, chemical, biochemical and pharmaceutical arts. He is admitted to practice before the U.S. Patent & Trademark Office.

In addition to his wide array of intellectual property work, Mr. Moga has managed anti-counterfeiting actions in Asia, including overseeing initial counterfeit product investigation, selecting and working with local investigators, selecting and working with local counsel, preparing administrative and judicial documents, and participating in raids. He has researched and prepared a section on IP laws and practice for country reports (China, Korea, India) for a U.S. corporate client's submission to the Office of the U.S. Trade Representative as part of annual Sections 301 and 306 reviews. His China work has also included assisting in the preparation of a report on counterfeit IP for the U.S.-China Commission in 2002.

James Childs Elected United Way Board of Directors
Bradley Arant Rose & White LLP partner, James Childs, was recently elected to serve on the Board of Directors of the United Way of Central Alabama. United Way of Central Alabama was organized in 1923 with the basic purpose of increasing the organized capacity of people to care for one another and to improve their community. It supports agencies and programs that work in the Birmingham community to strengthen families and individuals. Last year, over 600 volunteers representing over 300 businesses participated in the allocations process, and United Way partners received over $32 million to improve lives and community conditions.
