Bracewell & Giuliani Elects Eight New Partners
Effective Feb. 2, Bracewell & Giuliani LLP has elected eight attorneys to partnership. The new firm members are Deanna E. King in Austin; Bridget Toole Purdie, Michael A. Tomberg and Dale D. Smith in Houston; Ron I. Erlichman in New York; Christopher C. Rulon in San Antonio; and Jason B. Hutt in Washington, D.C.

Austin

Deanna E. King is a member of the firm’s Energy Regulatory Group, concentrating on energy-related disputes and related litigation.

Houston

Ryan S. Holcomb’s practice areas include energy and finance, focusing on energy-related transactions involving the electric power and oil and gas industries.

Bridget O’Toole Purdie is a member of Bracewell’s trial and wealth management groups, advising clients in the areas of trusts and estates administration, fiduciary litigation and guardianships.

Dale D. Smith’s practice emphasizes the structuring, drafting and negotiating of a wide variety of financing transactions. He represents financial institutions and other lenders as well as borrowers in all types of secured and unsecured credit transactions.

WolfBlock Health Law Partner John Fanburg To Discuss ‘Regulatory Myths’ at NJ State Society of Anesthesiologists Annual Spring Meeting
WolfBlock Health Law Partner John D. Fanburg will address the New Jersey State Society of Anesthesiologists at their 48th Annual Spring Meeting. He will present “Regulatory Myths Regarding Anesthesiologists and Their Involvement in Ambulatory Surgery Centers” on March 31, 2007, at 9:30 a.m. The meeting will be held at Forsgate Country Club in Jamesburg, NJ.

“There are a myriad of relationships between anesthesiologists and ambulatory surgery centers, and, as a result, considerable confusion about what is and is not legal about those arrangements. The goal of our presentation is to help clear up any misunderstanding about these relationships,” explained Fanburg, who chairs WolfBlock’s Health Law Practice.

Fanburg, who is also managing partner of the WolfBlock’s Roseland office, has broad experience representing major hospitals, diverse medical specialty groups and statewide physician specialty organizations. He has in-depth knowledge of all aspects of the business of health care, and he guides clients through the maze of regulations and corporate structuring pitfalls. He also has broad experience in establishing outpatient health care offices and facilities as well as ambulatory surgical centers, and he frequently superintends the establishment and sale of physician practices.

Fanburg earned his J.D., cum laude, from the New England School of Law in 1983 and his B.A. from Washington University in 1979. He is a member of the Bars of New Jersey and New York and is admitted to practice before the Supreme Court of the United States.

Keane, Inc. Agrees to $854 Million Acquisition by Caritor, Inc.
A WilmerHale team of lawyers spanning practice areas including Corporate, Tax, Benefits, Commercial, Intellectual Property and Defense, National Security and Government Contracts advised Keane, Inc. (NYSE: KEA) in connection with its proposed $854 million acquisition by Caritor, Inc. KEA is a leading business process and IT services firm while Caritor is a privately held global organization headquartered in San Ramon, California.

Under the terms of the merger agreement, holders of Keane's common stock will receive $14.30 per share in cash. The purchase price represents a 19 percent premium over Keane's closing share price on February 6, 2007. The deal is subject to regulatory and Keane shareholder approval and is expected to be completed during the second quarter of 2007.

Orrick Names Largest Partner Class in its 144-year History
Orrick, Herrington & Sutcliffe LLP announced the admission of 16 lawyers to the partnership, effective immediately. Orrick will name additional partners when it receives approval from the appropriate regulatory authorities in other jurisdictions.

A group of associates is admitted to the partnership each January, and is selected based on professional excellence, leadership and commitment to client service. Orrick currently has 331 partners, including the partners announced today.

Orrick's newest partner class is its largest class ever and represents nearly every major practice group within the firm. The class also follows Orrick's strong 2006 financial results. The firm posted its 17th consecutive year of improved economic performance, with record revenues of $666 million, a 20 percent increase over the previous year.

"The contributions of these outstanding new partners have helped enable our progress, and we will be looking to them to help lead our continued growth in the years ahead," said Ralph Baxter, Chairman and CEO of Orrick, Herrington & Sutcliffe LLP. The firm's new partners include:

• Oswald B. Cousins. Cousins is a member of the firm's employment group and is based in San Francisco. He has extensive experience litigating wrongful termination, disability accommodation, discrimination, retaliation, harassment and wage and hour cases in federal and state courts, arbitrations and administrative forums. His counseling expertise includes employee policies, reductions in force, employment disputes, alternative dispute resolution and disability accommodation matters. Cousins earned a J.D. from the University of California, Los Angeles, and a B.A. from the University of Vermont.

• Matthew L. Craner. Craner is a member of the firm's litigation group and is based in New York. He focuses on complex commercial litigation, with an emphasis on financial, accounting and securities-related matters, including regulatory and internal corporate investigations, enforcement actions, as well as breach of contract and other business disputes. He represents accounting firms, investment banks, private equity and hedge funds, and directors and officers in litigation and regulatory proceedings in state and federal court, in domestic and international arbitration, and before the SEC. He earned a J.D. from the University of Pennsylvania Law School and a B.A., magna cum laude, from the University of Pennsylvania.

• Lara K. Daly. Daly is a member of the firm's structured finance group and is based in New York. Her practice includes representing issuers and underwriters in connection with CDO's, credit cards, mortgages, consumer loans, conduits and the repackaging and securitization of collateral interests. She earned a J.D. from American University Law School and a B.A. from Bates College.

• Bas de Blank. De Blank is a member of the firm's intellectual property group and is based in Silicon Valley. He represents clients in intellectual property disputes, including patent, trademark, and copyright infringement, trade secret misappropriation, and unfair competition. Mr. de Blank focuses on complex patent litigation in Federal Court and before the United States International Trade Commission and represents clients’ interests in software, telecommunications, signal processing, and semiconductor design and processing. He earned a J.D., cum laude, from Cornell University School of Law, a B.S., with honors, in Engineering from Harvey Mudd College, and a B.A. in English Literature from Scripps College.

• Kathryn H. Edwards. Edwards is a member of the firm’s litigation group and is based in San Francisco. She devotes much of her practice to the defense of pharmaceutical and medical device manufacturers in complex products liability litigation. Ms. Edwards has substantial experience in multi-jurisdiction litigation, including class actions, multi-district litigation, and coordinated proceedings in state courts. She earned a J.D., magna cum laude, from the University of San Francisco, and a B.S. from San Francisco State University.

• Donald S. Field. Field is a member of the firm's public finance group and is based in Los Angeles. He has extensive experience, as both bond counsel and disclosure counsel, in the areas of general obligation bonds, tax increment redevelopment financings, Mello-Roos bonds, revenue transactions and lease/certificate of participation financings. He earned an LL.M. from New York University, a J.D., magna cum laude, from Southwestern University, and a B.A. from University of California, Irvine.

• Kenneth Herzinger. Herzinger is a member of the firm's securities litigation group and is based in San Francisco. He focuses his practice on securities class actions, derivative suits and SEC investigations. Herzinger earned a J.D. from Seton Hall University School of Law and a B.A. from Clemson University.

• Matthew J. Hult. Hult is a member of the firm's intellectual property group and is based in Silicon Valley. His practice focuses primarily on intellectual property matters, particularly patent litigation and intellectual property protection/enforcement. He has litigated disputes involving a variety of technology areas including software, computer hardware, biotechnology and genetic engineering. Hult earned a J.D. from the University of California, Hastings College of the Law, and a B.S. from University of California, Los Angeles.

• Andrew P. Johnson. Johnson is a member of the firm's real estate group and is based in San Francisco. His practice focuses on the corporate and securities law aspects of real estate finance, including joint venture and fund formation for real estate acquisition and development, private offerings of REIT, limited partnership and limited liability company securities, mergers and acquisitions and real estate secured lending. He earned a J.D. from the University of Virginia and an A.B., with distinction, from the University of California, Berkeley.

• Catherine Morris Krow. Krow is a member of the firm's litigation group and is based in San Francisco. She focuses her practice in white collar criminal defense, product liability trials, complex commercial litigation and business disputes. She has first-chaired and won several criminal jury trials, conducted internal investigations, managed state and federal cases, and represented clients in mediations and arbitrations. Krow earned a J.D., magna cum laude, from Georgetown University and a B.A., cum laude, from Binghamton University.

• Joseph C. Liburt. Liburt is a member of the firm's employment group and is based in Silicon Valley. He has extensive litigation experience successfully defending against claims of discrimination, harassment, retaliation, wrongful termination, defamation, interference with contract, infliction of emotional distress, breach of contract, and various claims under ERISA, including claims for benefits, breach of fiduciary duty, retaliation and interference. He earned a J.D. from the University of California, Berkeley Boalt Hall, and a B.A. from Haverford College.

• Christine A. McCarthy. McCarthy is a member of the firm's compensation and benefits group and is based in Silicon Valley. She advises clients on executive compensation, equity compensation, employee benefits, and welfare benefits. McCarthy works with private and public companies to design, implement and administer compensation and benefit programs, including, stock option plans and stock purchase plans, employment, bonus, severance and change of control arrangements, 401(k), profit sharing and employee stock ownership plans and health and welfare plans. She earned a J.D. from Boston University School of Law, an LLM Taxation from New York University School of Law, and a B.A. from Cornell University.

• Christopher S. Ruhland. Ruhland is a member of the firm's litigation group and is based in Los Angeles. His practice focuses on litigation and intellectual property. Ruhland has represented major entertainment companies such as Disney, ESPN, Fox, Sony, and MGM, as well as companies in the financial, technology, transportation, and health care sectors. He earned a J.D. from the University Of California, Los Angeles School of Law, and a B.A., Phi Beta Kappa, cum laude, from the University Of California, Irvine.

• Kevin P. Scanlan. Scanlan is a member of the firm's corporate group and is based in New York. He is a member of the Private Investment Funds Group, where he focuses on the structuring and formation of and investment in international and domestic private investment funds, particularly hedge funds, private equity funds, hybrid funds, real estate funds, venture capital funds and fund-of-funds. Scanlan earned an LL.M. in Taxation from New York University School of Law, a J.D. from Fordham University School of Law, and a B.A. from Fordham University.

• Mark W. Seneca. Seneca is a member of the firm's corporate group and is based in Washington, D.C. He focuses on the representation of publicly traded and privately held companies in both buy-side and sell-side merger and acquisition transactions primarily in the technology sector. Seneca also has significant experience representing emerging growth technology companies and their investors in formation matters, capital financings and public offerings. Jonathan Kotlier moderates BBA panel on options backdating investigations
Jonathan Kotlier, partner in the Government Investigations and White Collar Crime practice group, moderated the seminar "Don't Look Back: Stock Option Dating and Investigation 2007," presented by the Boston Bar Association in December.

The program, featuring experienced panelists from both law firm and government sectors, reviewed technical and legal issues as well as the most recent developments in options dating and other investigations, including the expected impact of DOJ's newly-released McNulty Memorandum.
