Baker Donelson Named Among Best Employers in Tennessee
Baker, Donelson, Bearman, Caldwell & Berkowitz, PC is proud to announce the Firm was recently named as one of the Best Employers in Tennessee. This third annual program was created by Business Tennessee magazine in partnership with the Society for Human Resource Management (SHRM) – Tennessee State Council, the Tennessee Chamber of Commerce and Industry, and Best Companies Group.

This survey and award program was designed to identify, recognize and honor the best places of employment in Tennessee, benefiting the state's economy, its workforce and businesses. The Best Employers in Tennessee program is made up of 25 companies split into two groups: 15 small/medium companies (25-249 employees) and 10 large companies (more than 250 employees). Baker Donelson has been named one of the Best Employers in Tennessee in the large company category.

To be considered for participation, companies had to fulfill the following eligibility requirements:

* Be a for-profit or not-for-profit business;
* Be a publicly or privately held business;
* Have a facility in Tennessee;
* Have at least 25 employees in Tennessee.

Companies from across the state entered the two-part process to determine the Best Employers in Tennessee. The first part consisted of evaluating each nominated company's workplace policies, practices, philosophy, systems and demographics. The second part consisted of an employee survey to measure the employee experience. The combined scores determined the top companies and the final ranking. Best Companies Group managed the overall registration and survey process in Tennessee with assistance from ModernThink LLC, who analyzed the data and used their expertise to determine the final rankings.

"It is quite an accomplishment for Baker Donelson to be named among such a selective list of companies," said Ben Adams, Chairman and Chief Executive Officer of Baker Donelson. "We're very proud of the recognition, but we know that our greatest strength as an employer is the people who make up this Firm. So the honor truly belongs to all of our employees."

Watson, Farley & Williams acts for Aban in $800m deal to acquire Sinvest ASA
Chris Lowe and Scott Calver of Watson, Farley & Williams Singapore acted for the Indian Energy Group Aban Offshore regarding the financing of its mandatory offer to acquire the Norwegian listed drilling company Sinvest in a $800m deal.

To finance the acquisition, Aban has raised funds by way of Convertible Notes with Merrill Lynch acting as placement agent. Aban also raised financing by way of a series of facilities including a medium term facility underwritten by UTI Bank for US$100 million. This acquisition will provide Aban with access to Sinvest’s five jack-up rigs, including three under construction in Singapore.

Aban operates seven jack-up rigs, including one under construction, two drillships and a floating production semi-submersible rig.

Linklaters and Allen & Gledhill acted for Merrill Lynch; Slaughter & May for the principal investor; and Lovells for the security trustee.

Watson, Farley & Williams acts for Natixis in relation to a US$125,000,000 loan facility to Apexindo Pratama Duta Tbk
Madeline Leong and Andrew Nimmo of the Singapore office of Watson, Farley & Williams LLP acted for Natixis in relation to a loan facility of up to US$125,000,000 made available to a Singapore-based subsidiary of Apexindo Pratama Duta Tbk which signed on 25 September 2006.

The loan facility is being led by Natixis, as agent, security trustee, joint lead arranger and bookrunner together with Goldman Sachs, as co-arranger and Standard Chartered Bank, as joint lead arranger with a syndicate of commercial banks and institutional investors, including United Overseas Bank Limited and funds managed by PMA Investment Advisers, as participants.

The facility will be mainly used to part-finance the construction of a newbuild Baker Marine Pacific jack-up drilling rig presently under construction with PPL Shipyard in Singapore. Following delivery the rig has been fixed for initial employment with Total E&P Indonesie in Indonesian waters.

M. Lee Cheney Joins Troutman Sanders LLP In Its Raleigh Office
The law firm of Troutman Sanders LLP is pleased to announce the addition of M. Lee Cheney as partner to its Complex Litigation practice group in its Raleigh office.

Prior to joining Troutman Sanders, Cheney was a partner (1997-2006) at Womble Carlyle Sandridge & Rice in Research Triangle Park, N.C. Before joining Womble Carlyle in 1997, she was an associate (1988-1990) and a partner (1990-1998) at Young Moore Henderson & Alvis in Raleigh, a staff attorney (1986-1988) at the N.C. Court of Appeals, and an associate (1983-1986) at Hurt Richardson Garner Todd & Cadenhead in Atlanta, Georgia.

“Lee has made a name for herself in the healthcare industry over the past two decades,” said Ashley Story - managing partner, Troutman Sanders’ Raleigh office. “Her extensive experience in litigating all areas of the healthcare industry, including clinics, hospitals, nursing homes, pharmaceutical and medical device manufacturers, and physicians will be an invaluable asset to our firm.”

“We are thrilled to welcome Lee to the firm,” said Robert W. Webb Jr. - chairman and managing partner, Troutman Sanders. “She brings to Troutman Sanders a wealth of healthcare, medical and product liability litigation experiences that will further augment our complex litigation practice group.”

Cheney brings to Troutman Sanders more than 20 years of experience as a trial attorney. Her practice has largely focused on cases in which law and medicine intersect, such as the defense of cases alleging professional negligence, and pharmaceutical and medical device liability in both state and federal courts. She has lectured and published extensively in these areas. Cheney has also represented health care providers in administrative and regulatory matters, as well as represented other clients in class actions, mass torts, and multidistrict, business and commercial litigation.

In 1996, she was elected to membership in the American Board of Trial Advocates, and has served on the Board of Directors of the North Carolina Association of Defense Attorneys.

Cheney received her B.A., cum laude, in 1980 from Harvard University, and earned her J.D. from the University of Virginia in 1983.

Also joining Troutman Sanders in Raleigh from Womble Carlyle is Pankaj K. Shere. He will join

Cheney in the Complex Litigation practice group. His practice has largely focused on

representing hospitals, health care providers, automobile manufacturers, pharmaceutical companies, and other corporations in complex liability and business litigation. He has also represented clients in class actions and MDL litigation.

Shere received a B.S. in 1997 from North Carolina State University and a J. D. in 2001 from the University of Richmond.

SGR SPONSORS "THE SUPREME COURT" ON PBS
Smith, Gambrell & Russell is sponsoring the new PBS documentary “The Supreme Court.” SGR is the sole Atlanta law firm sponsor of the series which will air on WPBA.

“The Supreme Court” is a four-part documentary that reviews the history of the nation’s highest court. The series begins with the creation of the Supreme Court and its role during the Civil War. The second episode examines the Supreme Court during Reconstruction. The Supreme Court’s roll in civil rights cases during the 20th century will be reviewed during the third installment. The final episode focuses on the Supreme Court and the issues it has faced since the Rehnquist era.

Episodes 1 & 2 air on Thursday, February 8 at 8pm. Episodes 3 & 4 air on Thursday, February 15 at 8pm. An encore presentation will be broadcasted on Sunday, March 18 beginning at 3pm.
