New Lawyer Strengthens Firm’s International Trade and Corporate Compliance and Defense Groups
Susan M.C. Kovarovics has joined the international law firm Bryan Cave LLP as counsel in the firm’s Washington, D.C., office. Kovarovics joins Bryan Cave from the Washington, D.C., office of an international law firm where she served as a partner and represented clients on international trade and corporate compliance matters. She will join Bryan Cave’s International Trade and Corporate Compliance & Defense Groups.

“Susan Kovarovics will be an important addition to Bryan Cave as we expand our presence in Washington, D.C.,” said William Bavinger, managing partner of the firm’s Washington, D.C., office. “Susan’s expertise in advising domestic and foreign clients on international regulatory matters will advance our firm’s International Trade and Corporate Compliance & Defense Groups.”

Kovarovics advises clients on all aspects of export controls and trade sanctions, as well as anti-boycott and anti-corruption matters. In addition, she assists with the development and implementation of compliance programs. Kovarovics also conducts internal investigations and audits on behalf of her clients involving potential violations of the Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), Arms Export Control Act, Office of Foreign Assets Control (OFAC) regulations and Foreign Corrupt Practices Act (FCPA).

Kovarovics is a member of the board of directors of the Women’s Bar Association Foundation and a former co-chair of the International Forum of the WBA of the District of Columbia. Additionally, she is a member of the Steering Committee for the International Law Section of the District of Columbia Bar.

Kovarovics received her J.D., cum laude, in 1996 from Georgetown University Law Center and her B.A., summa cum laude, in 1993 from Drew University.

Seven Receive Awards for Pro Bono Projects
Six lawyers and one paralegal dedicated to helping others through pro bono services recently became the first recipients of Charles L. Whistler Pro Bono Awards at Baker & Daniels LLP.

"These professionals help continue the legacy of care, leadership, public service and community involvement for which Chuck set the standard throughout his career," Brian K. Burke, chair and chief executive officer at Baker & Daniels, said. "We remember Chuck with this award in the hope that his example will inspire future generations of our people."

Baker & Daniels professionals recognized for their legal work to help the underserved were:

* Matt Albaugh, who argued the firm's first appellate pro bono case before the U.S. Court of Appeals for the Seventh Circuit and is helping organize a state appellate pro bono initiative working with the Indiana State Bar Association and Indiana Supreme Court.
* Jane Dall, who played an integral part in the Seventh Circuit advocacy representation in Chicago, is helping to develop the state appellate project and coordinates Baker & Daniels' ongoing volunteer tutoring program for elementary students at IPS School 39.
* Terry Hall, an active participant in a number of state pro bono programs for children who also in 2006 undertook a pro bono representation in Putnam County, recovered attorney's fees and then donated all the fees to the local pro bono committee.
* Rhonda Jackson, a paralegal who has helped coordinate the Indianapolis Legal Aid Society's annual holiday fundraising campaign over the last three years, allowing lawyers to help thousands of people who need legal services but can't afford to pay for them.
* Matt Lamkin, who has spearheaded the firm's immigration and asylum pro bono representation, helped deepen a partnership with the National Immigration Justice Center and represents a Kenyan citizen trying to immigrate after his wife's death due to childbirth.
* Jon Laramore, a prime architect of Baker & Daniels' new state appellate pro bono program who also has brought a wealth of experience in helping initiate the firm's capital litigation and protective order pro bono projects.
* Chad Priest, a founder and coordinating force behind the Indiana Health Advocacy Coalition that is committed to providing enhanced representation of patient needs and leader of protective order domestic violence and adult guardianship cases in 2006.

Baker & Daniels has a long-standing commitment to public service and organizations working on issues relating to access to justice. A committee of more than 35 Baker & Daniels lawyers facilitates pro bono programs to develop strategies that leverage the firm's collective experience and resources to improve and expand access to justice for the underserved.

The firm's pro bono award is named in memory of Charles L. Whistler, a former Baker & Daniels lawyer whose vision, talent and energy helped shape Indianapolis. He represented diverse interests and an array of projects, including Uni-Gov, beautification of downtown, creation of the City Center on the Monument Circle, opening of the Indiana Theater and planning of White River State Park. Whistler died in 1981 at age 55.

Weil Gotshal Named “Champion of Diversity”
Weil, Gotshal & Manges LLP, along with Pfizer and Prudential Financial, was awarded the "Champion of Diversity" Award by the New York Urban League. The award is presented to companies that understand the need for diversity in the workplace and that embrace diversity to its fullest potential. Many of the speakers at the event, including representatives from the Urban League and the NAACP, praised Weil Gotshal for its efforts in advancing diversity and inclusion in the workplace. In addition, The Honorable David Dinkins singled out Weil Gotshal for its pro bono work for The Boys' Choir of Harlem.

Weil Gotshal Advises on the Acquisition of Liverpool Football Club And Athletic Grounds PLC
International law firm Weil, Gotshal & Manges is advising Mr. Thomas Hicks as a 50 per cent shareholder in the acquisition vehicle Kop Football Limited on the recommended cash offer to acquire the entire issued share capital of the Liverpool Football Club And Athletic Grounds plc (Liverpool).

The offer is £5,000 in cash for each Liverpool Share, valuing the issued share capital of Liverpool at approximately £174.1 million. Together with the £44.8 million of net debt in the club as at December 31, 2006, this represents an enterprise value for Liverpool of £218.9 million.

Kop is an English private limited company, which has been incorporated for the specific purpose of making the offer and which is ultimately jointly controlled by Mr. George Gillett Jr. and Mr. Thomas O. Hicks.

The Weil Gotshal team is led by Corporate partners Mike Francies and Ian Hamilton. Finance partner Richard Ginsburg provided the financing advice. Dallas partners Glenn West and Scott Cohen provided corporate advice, assisted by Sarah Stasny.

Harbinger Capital Signs Definitive Merger Agreement With Salton
Yesterday APN Holding Company, Inc., an affiliate of Paul, Weiss client Harbinger Capital Partners Master Fund I, Ltd. and Harbinger Capital Partners Special Situations Fund, L.P. and the entity that acquired all of the outstanding common shares of Applica Incorporated on January 23, entered into a definitive agreement with NYSE-listed Salton, Inc. whereby a wholly-owned subsidiary of Salton will merge into APN Holding Company, and the Harbinger funds will receive approximately 83 percent of the outstanding common stock of Salton immediately following the merger. The combination of Salton and Applica is expected to create one of the largest U.S. public companies focused on the household small appliance industry with annual sales in excess of $1 billion. OMM to be Honored as "Firm of the Year" by Constitutional Rights Foundation
On February 9, the Constitutional Rights Foundation of Orange County will honor O'Melveny as "Law Firm of the Year" for actively contributing to the success of the 2006 - 2007 Mock Trial Competition. Partner Mike Yoder (NB) will accept the award on behalf of the firm at the 26th Annual Mock Trial Awards Luncheon, to be held at 11:30 a.m. at the Hilton Hotel, 3050 Bristol Street, Costa Mesa.

"Year after year, O'Melveny lawyers devote many hours to the success of the Mock Trial Competition," said Yoder. "They coach teams of high school students, score the competition, and serve on the Mock Trial Committee. Although we are very honored to receive this award, the contributions that we and other Orange County lawyers make to the competition are a real tribute to the students. Their talent, hard work, and enthusiasm make our role extremely rewarding, and we are proud to be a part of the program."

Mock Trial combines law-related education with tournament style competition. Using a simulated criminal court case, local high school students explore current and complex legal, social, and constitutional issues. Each year in the fall, teams from over 40 local high schools prepare to enact every role in a trial with the guidance of attorney and teacher coaches. The teams meet at the Central Justice Center for eight rounds of competition. Superior court, California appellate, and federal court judges preside at the trials, and lawyers observe and rate the performance of student teams in a variety of categories.

This year's participating O'Melveny lawyers included Newport Beach's Jillian Allen, Kym Damron-Hasiao, Marjory Gentry, Darin Glasser, Eric Greenawalt, John Kappos, Nikole Kingston, Amy Laurendeau, Alexandra Murray, Brian Neach, Mike Scheppele, Greg Smith, Paul Veravanich, and Mike Yoder. Yoder was invited to score the final round, held December 14.
