LOCKE LIDDELL & SAPP’S JOHN McELHANEY NAMED DISTINGUISHED ALUMNUS BY SMU LAW SCHOOL
John McElhaney, an attorney in Locke Liddell & Sapp’s Dallas office, this month was named a Distinguished Alumnus by Southern Methodist University School of Law, which is the highest and most prestigious award the Law School can bestow upon its alumni. The award is presented to graduates who have demonstrated a record of distinguished service and achievement to a particular discipline, organization or cause that has brought distinction to the Law School. McElhaney is one of seven Distinguished Alumni honorees this year.

A 1958 graduate of the law school (and a 1956 undergraduate at SMU), McElhaney received the Distinguished Alumni Award for Private Practice. As Of Counsel at Locke Liddell, he has vast trial experience defending major companies against litigation, antitrust, and class action lawsuits, and has appellate experience in business and tort litigation. He has served as an Adjunct Faculty member at the SMU School of Law, and has helped to educate hundreds of law students as a textbook writer and through his work at SMU. He has been listed in the Best Lawyers in America and has served as Chair of the Legal Ethics Committee of the American College of Trial Lawyers.

Cooley Godward Kronish Partner Eric Reifschneider Named One of Daily Journal’s Top 20 to Watch Under 40
Cooley Godward Kronish partner Eric Reifschneider has been recognized as one of the “Top 20 to Watch Under 40” attorneys in California by The Daily Journal.

The Daily Journal, which publishes its “Top 20 Under 40” list annually, referenced Reifschneider’s work on a series of big deals in recent years for a range of clients in the semiconductor industry, including Applied Materials, Inc., Synopsys, Inc., and Conexant Systems, Inc. Reifschneider was also lauded for his role last year as the lead attorney representing LSI Logic Sale in the complex sale of its semiconductor wafer fabrication plant, a transaction in which he quarterbacked a team of attorneys in employment, mergers and acquisitions, real estate, tax and environmental law.

Regarding the LSI transaction, Richard Climan, firmwide head of Cooley’s mergers and acquisitions group, said Reifschneider “displayed great tenacity and remarkable versatility…he has clearly become a leader in the firm’s technology transactions practice.” Steve Neal, the Firm’s Chief Executive Officer, commented, “Eric’s multifaceted talents have helped make Cooley the preeminent law firm in technology deals, a field where we have seen explosive growth and which will continue to be one of our strongest and most strategic practices.”

Last year Reifschneider was recognized in Lawdragon’s “500 New Stars, New Worlds” as “a tech transactions titan” who “tallies big deals for semiconductor, software and wireless clients.” Reifschneider, who joined the Firm in 1996, focuses on transactions involving the acquisition, development and commercialization of technology. He has prepared and negotiated agreements for joint ventures and strategic alliances, intellectual property asset acquisitions, technology spin-outs, patent licenses, and outsourcing deals, among other kinds of transactions. He is also an expert in the intellectual property and technology aspects of mergers and acquisitions, drawing on his unique expertise in both law and technology and both IP and M&A.

Reifschneider graduated magna cum laude from Harvard Law School in 1992, where he served as executive editor of the Harvard Law Review. He has Bachelor of Science degrees in Physics and Mathematics from the Massachusetts Institute of Technology, where he graduated first in his class and was named the top Scholar-Athlete in his senior class. As noted by The Daily Journal, Reifschneider and Climan teamed up to invent two sports statistics – the Dynasty Index and the Futility Index – which received national attention after being featured in The Wall Street Journal.

Bill Sweetman to Testify before Senate Committee
Bill Sweetnam will testify at the Senate Committee on Small Business and Entrepreneurship on February 13, 2007. The hearing is titled "Alternatives for Easing the Small Business Health Care Burden." Bill will testify about how health savings accounts (HSAs) can help small business owners provide heath care coverage for their employees.

Mintz Levin Represents Clients in Completing More Than $13.5 Billion in Corporate Transactions in 2006
Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C., a full-service, approximately 500-lawyer AmLaw 100 firm with offices throughout the U.S. and in the U.K., announced that in 2006 its Corporate Practice closed more than 200 transactions with a value of more than $13.5 billion.

The transactions included:

* More than 80 merger and acquisition transactions totaling more than $12 billion;
* More than 70 venture capital transactions totaling more than $635 million; and
* 13 public offerings, totaling more than $1.2 billion

Examples of various transactions include:

M&A Transactions:

* Represented Epix (Nasdaq) in its $125 million merger with Predix.
Represented Telx in its sale to GI Partners Fund II LP and GI Partners Side Fund II LP.
* Represented Services Acquisition Corp. International, a special purpose acquisition company, in its $265 million acquisition of Jamba Juice Company, a leading retailer of healthy blended beverages, juices and snacks.

Venture Capital Transactions:

* Represented investor syndicate led by General Catalyst Partners in $30 million financing of Mascoma Corporation, one of the most noteworthy clean tech financings of 2006.
* Represented RenaMed Biologics, Inc. in $40 million Series E transaction. Lead investors were TVM Ventures, Lurie-Nephros and MDS Capital.

Public Offerings:

* Represented Viceroy Acquisition Corporation, a special purpose acquisition company ("SPAC"), in its listing on AIM, a market of the London Stock Exchange plc. Underwritten by CRT Capital LLC.
* Represented Altus Pharmaceuticals in its $121 million initial public offering. Underwriters were Merrill Lynch & Co., Morgan Stanley and SG Cowen & Co.
* Represented SG Cowen & Co. as underwriter of the $59.5 million initial public offering of Achillion.

Strategic Collaborations:

* Represented Enanta Pharmaceuticals in collaborative research and option agreement with Abbott Pharmaceuticals.
* Represented Paratek Pharmaceuticals, Inc. in biotech collaboration and license agreement with Merck & Co., Inc.
* Represented Archemix in its collaboration with Elan.

Marshall, Gerstein & Borun, is pleased to announce the addition of seven new associates: Margaret Begalle, Jon-Thomas Bloch, Paul Brown, Michael Furmanek, John Labbé, Grace Liu, Elliot Mendelson, Ph.D., and Scott Sanderson.

Begalle specializes in patent litigation and has extensive experience in matters involving pharmaceutical, electrical and software patents. She received her J.D., with honors, from Chicago-Kent College of Law (2002), where she was a member of the Chicago-Kent Law Review. Begalle received her BSE in civil and environmental engineering from the University of Iowa (1999).

Bloch practices litigation in the electronics, computers and software and consumer products industries. Prior to law school, he worked as a software developer specializing in software security and cryptographic applications. Bloch received his J.D. from the University of Chicago Law School (2004) and his B.S. in computer science from the University of Virginia (1998).

Brown focuses on licensing and IP-related business transactions. Recently he presented on video game piracy in China at the LSI Gamer Technology Law Conference. Brown received his J.D., cum laude, from Northwestern University School of Law (2001) and his B.S. in microbiology from the University of Illinois at Urbana-Champaign (1998).

Furmanek focuses on patent prosecution as well as handling opinions and counseling in areas of consumer products, medical devices and technology and the mechanical and electrical industries. His technical skills include mechanics, electro-mechanics and bio-mechanics. Furmanek brings an international perspective to the firm through experience as in-house patent counsel for an automotive parts manufacturer in Nagoya, Japan. He earned his J.D. from DePaul University College of Law (2003), where he was a member of the DePaul Law Review and a recipient of the College’s Top Scholar Scholarship. Furmanek received his B.S. in mechanical engineering from the University of Michigan (2000).

Labbé practices patent litigation. He has experience in patent cases dealing with electrical and mechanical devices, consumer products, e-commerce, and pharmaceuticals. He received his J.D., cum laude, from Northwestern University School of Law (2002), where he served as the executive editor for the Northwestern University Law Review. Labbé received his B.A. in biological sciences from Northwestern University (1998), and he is admitted to practice before the U.S. Patent & Trademark Office.

Liu focuses on patent litigation, with emphasis in biotechnology and pharmaceuticals. She also has experience in opinion work, prosecution and technology transfer. Liu’s technical expertise includes developmental biology, chemical engineering and biomedical devices. She earned her J.D. from the University of Chicago (2004), where she was a research assistant for Judge Posner. Liu received her A.B., with honors, and a concentration in molecular biology, from Harvard University (2000), where she received honors for her senior thesis on the pathways of chick cardiogenesis.

Mendelson focuses on litigation and counseling in the pharmaceutical and biotechnology industries, including matters related to antibodies, biologics, blood products, pharmaceuticals, gene therapy, modified crops, separation and purification processes and vaccines. Mendelson received his J.D. from Georgetown University Law Center (2000), his Ph.D. in microbiology from the University of Virginia (1992) and his B.S. in biology from the State University of New York at Binghamton (1985).

Sanderson focuses on patent litigation. Prior to attending law school, he worked as a software engineer in the 3-D computer graphics industry at ATI Research, Inc. based in Marlborough, Mass. Sanderson received his J.D. from Northwestern University School of Law (2006), where he worked at the Complex Litigation Clinic and participated in comparative law studies in Turkey and the Netherlands. He received his A.B. in mathematics from the College of Holy Cross (2000).

Craig White's investigative report is discused in, "City Shouldn't Pay Contractors Who Break the Rules."
Instead of hiring minority subcontractors to do real work, white owned buisinesses that win contracts for city projects often use minority-owned companies to launder public funds. This scenario occurred during Cleveland's airport-expansion project. Craig White was an independent investigator who wrote that the fraud suggests, "a wider level of abuse of the city's Office of Equal Opportunity program, in general." He also reports that true participation by minority-owned businesses on local public contracts, "is compromised on a routine basis."
