Baker & McKenzie Acts on First Ever Eurobond Offering From Georgia
Baker & McKenzie, London has acted for Bank of Georgia on its US$200 million offering of 9% Loan Participation Notes due 2012 and listing of the Notes on the London Stock Exchange. Bank of Georgia's eurobond offering is the first ever eurobond offering by a Georgian company.

Bank of Georgia is the largest bank in Georgia based on equity, assets and loans. In November 2006 it completed its initial public offering of shares on the London Stock Exchange, which was the first ever international securities offering by a Georgian company. Baker & McKenzie also acted for the Bank on its IPO.

The eurobond offering was structured as an issuance of loan participation notes by BG Finance B.V., a Netherlands orphan special purpose vehicle, with the proceeds of the offering being used to finance a loan to Bank of Georgia. The Bank will use the proceeds of the loan to repay existing indebtedness, to fund its organic growth, including the expansion of its lending activities, and for general banking purposes.

Lado Gurgenidze, Chairman of the Supervisory Board of Bank of Georgia, said: "In the absence of a sovereign benchmark, we are pleased to have facilitated the road to the international debt capital markets for other Georgian issuers. I would like to thank all of my colleagues and our world-class advisory team for their outstanding work on this deal.”

Carter Brod, Capital Markets partner at Baker & McKenzie, said: ''Following the success of its IPO last year, we are delighted to have acted for Bank of Georgia on its debut eurobond transaction. It was a pleasure working with the Bank of Georgia team on these two exciting landmark transactions from Georgia.''

The Baker & McKenzie team was led by Capital Markets Partner Carter Brod, and included associate Kathryn Rea and trainee solicitor Alex Roberts.

Merrill Lynch acted as Lead Manager of the offering, and was advised by White & Case as to English law and BGI Legal as to Georgian law. Bank of Georgia was advised by DLA Piper as to Georgian law.

Former Assistant U.S. Attorney joins Downey Brand
Craig Denney joins Downey Brand as counsel in the firm’s growing litigation practice. He received his J.D. from Case Western Reserve University School of Law in 1993 and his B.A. from Ohio Dominican University in 1990. Denney also received an MBA from Saint Martin’s College in 1999. Prior to joining Downey Brand, he was an assistant United States attorney for the District of Nevada. Denney's practice will focus on white collar defense and litigation and he will practice out of the firm's Reno office.

Alan Fisch Quoted in The Wall Street Journal on Cisco and Apple's Dispute Over Use of iPhone Name
Alan Fisch, partner in the Litigation Department of the Washington DC office, was quoted in the February 10, 2007 edition of The Wall Street Journal in the article titled, "With iPhone Release Fast Approaching, Apple and Cisco Near Dispute Settlement." The article discussed the iPhone trademark infringement litigation Cisco Systems Inc. filed against Apple, Inc.

OMM Represents TCW/Crescent Mezzanine in Investment in The Brickman Group
O'Melveny represented TCW/Crescent Mezzanine ("TCW"), one of the leading independent mezzanine firms in the U.S. with approximately $4 billion of capital invested or commitments received, in a $1.1 billion recapitalization of The Brickman Group, Ltd. led by Leonard Green & Partners, L.P.

The firm-wide O'Melveny team represented TCW in its investment (together with other purchasers) in the form of mezzanine debt and equity investment.

The O'Melveny team was led by partner Joe Kim. The Los Angeles team included partner Christine Olsen, and associate Lyudmila Ross. Counsel Summer Conley advised on ERISA issues. Partner Kathryn Sanders and associate Lydia Chan advised on private equity fund issues.

New York partner James Moriarty and counsel Tamira Goldberg led the equity investment arrangements. Partner Russell Pinilis and associate Tamara Tapoohi advised on tax aspects.

The Brickman transaction is one in a series of transactions in which O'Melveny represented TCW. In May 2006, OMM represented TCW in a $1.3 billion recapitalization of The Sports Authority in which TCW invested in mezzanine notes and equity of The Sports Authority. OMM also represented TCW in connection with the leveraged buyouts of Tourneau, Inc. and Motorsport Aftermarket Group, Inc. in October and November, 2006, respectively, in which TCW invested in notes and equity of those companies.
