K&L Gates Counsels Delta Air Lines in Addressing Takeover Bid by US Airways
Antitrust and policy lawyers from Kirkpatrick & Lockhart Preston Gates Ellis LLP (K&L Gates) represented Delta Air Lines in addressing issues raised by US Airways’ recent takeover bid, which was withdrawn when Delta’s Unsecured Creditors Committee opted to back management’s plan to emerge from bankruptcy as a standalone carrier.

US Airways made a rare, unsolicited offer to acquire Delta in bankruptcy in November 2006. Had the bid been successful, it would have created one of the world’s largest airlines and the potential to trigger a wave of airline mergers.

Led by antitrust partner James R. Weiss and policy partner Michael J. O’Neil, the K&L Gates team presented the antitrust implications of the transaction to the airline’s creditors and their advisors, as well as to the financial community. The firm also provided policy representation by facilitating meetings and briefings with Senators and Members of Congress, including numerous contacts in anticipation of a Senate Commerce Committee hearing. The Unsecured Creditors Committee cited antitrust risk, strong political opposition and difficulties of integration in its rejection of the takeover bid. US Airways withdrew its offer on January 31, 2007.

James Weiss said: “K&L Gates was pleased to represent Delta Air Lines as antitrust and policy counsel in its response to the US Airways offer. In opting to support management’s standalone plan, the Unsecured Creditors Committee has put its confidence in Delta’s ability to emerge from bankruptcy and resume profitability.
