Simpson Thacher Advises Blackstone in $2.16 Billion Acquisition of Pinnacle Foods Group Inc.
The Firm is advising The Blackstone Group in its announced acquisition of Pinnacle Foods Group Inc., for approximately $2.16 billion in cash. Pinnacle Foods manufactures and markets a number of leading consumer brands including Duncan Hines baking mixes, Vlasic pickles, Hungry Man and Swanson frozen dinners, Log Cabin and Mrs. Buttersworth’s syrups, Armour canned meat, Lender’s bagels, Aunt Jemima breakfast foods, Celeste pizza and Van de Kamp’s and Mrs. Paul’s seafood. The Company employs more than 3,000 individuals and generates approximately $2.1 billion in annual gross sales.

Shearman & Sterling Advises DaimlerChrysler on Reduction of Shareholding in EADS
Shearman & Sterling advised DaimlerChrysler on reaching an agreement with a consortium of private and public-sector investors by which DaimlerChrysler will reduce its shareholding in European Aeronautic Defence and Space Company (EADS) from 22.5% to 15%, while maintaining the balance of voting rights between Germany and French controlling shareholders. DaimlerChrysler has therefore placed its entire 22.5% equity interest in EADS into a new company, in which the consortium of investors will acquire a one-third interest through a special-purpose entity. As a result, this relates to a stake of 7.5% in EADS. The transaction volume amounts to €1.5 billion.

DaimlerChrysler will continue to control the voting rights of the entire 22.5% package of EADS shares.

Washington Litigators Thomas T. Locke and Rebecca Woods Join Seyfarth Shaw as Partners
Seyfarth Shaw LLP, one of America’s leading full service law firms, announced that Thomas T. Locke and Rebecca Woods have joined the firm in the Commercial Litigation Practice Group in its Washington, D.C. office. Most recently, Locke and Woods were partners with Ross, Dixon & Bell, LLP.

Locke has significant civil litigation experience, including product liability, intellectual property, professional malpractice and environmental matters. He has years of experience representing insurers on a wide variety of coverage issues, with an emphasis on general liability, bad faith, professional liability, mass tort and environmental matters. Locke also advises insurers on a wide variety of coverage issues, with particular emphasis on general liability, bad faith, mass tort and property matters. He has tried both bench and jury cases in federal and state courts.

Woods' practice focuses on complex civil litigation cases and she handles representative matters involving intellectual property claims, related antitrust claims, a variety of insurance coverage issues, and defense of employers in various employment discrimination matters.

DLA Piper Ukraine's associate appointed as an arbitrator of the Arbitration Court of First Securities Trading System (PFTS)
Illya Muchnyk, an associate with DLA Piper Ukraine, has been elected as an arbitrator of the Arbitration Court of the major Ukrainian stock exchange - First Securities Trading System (PFTS).

The new role for Illya recognises the firm's achievements in the sphere of securities and finance.

Illya Muchnyk has more than 5 years of legal experience in securities, banking and finance, M&A and corporate where he advises financial institutions and major industrial groups. His practice involves structuring of complex cross-border M&A transactions, advice on banking and currency control legislation, securities regulations, as well as on general corporate matters. Illya has significant experience in equity and debt financing, investment-related issues, secured transactions, project finance and commercial litigation and arbitration. Illya holds the Certificate of Securities Trader obtained from the State Commission on Securities and Stock Market of Ukraine (2005). He graduated from Odessa National Law Academy with a degree in law with honours. He is fluent in English, Russian and Ukrainian and also has basic knowledge of German.

First Securities Trading System (PFTS) has been in operation since 1996 and is currently the largest marketplace and self-regulatory organization in the Ukrainian securities market.

PFTS is an electronic stock market of securities in Ukraine, which operates in all regions of the country and maintains the work of the national electronic system of securities trading. It is the largest organizer of trades on Ukrainian stock market (its market share exceeds 90%). Since 1997 PFTS has been calculating PFTS Index - the major indicator of Ukrainian capital market development.

Arbitration Court of PFTS is an institutional arbitral tribunal established in 2005 for commercial dispute resolution between the participants of the Ukrainian securities market. Arbitrators of the Arbitration Court of PFTS are elected by the decision of the Council of PFTS for 2 years term among individuals having a substantial experience and reputation at the Ukrainian securities market. Currently the list of arbitrators of the court counts about 15 individuals, representing leading Ukrainian securities traders, banks and law firms (e.g. PFTS, Foyil Securities, Dragon Capital, ING Bank etc).

Anti-Defamation League to Honor Andrea S. Kramer at Achievement Awards Dinner
Andrea S. Kramer, a partner resident in the Chicago office of McDermott Will & Emery, is among four recipients who will be honored with the Anti-Defamation League’s (ADL) Women of Achievement Award. This award was created to honor women who are outstanding in their field and who embody the spirit and philosophy of ADL through their community service. The ADL will host their 14th annual Women of Achievement Awards Dinner on Thursday, March 8 at 5:30 p.m. at the Fairmont Chicago, 200 North Columbus Drive, at which time, award recipients will be honored.

Ms. Kramer has practiced law for nearly 30 years. She is a member of McDermott’s Tax Department; head of its Financial Products, Trading and Derivatives Group; and co chairs its Energy Services Group. She is active in Firm management, serving as chair of the Firm’s Gender Diversity Committee, a member of its Management Committee, and a member of its Compensation Committee. In addition to her many legal accomplishments and her family life, Ms. Kramer has found the time and energy to be extremely active in community and charitable activities. She is a founding member and board chair of The Women’s Treatment Center and also serves on the board of DanceArt. New Trial Partner to Lead New York SEC Defense Group
The New York office of McDermott Will & Emery is pleased to welcome Andrew D. Kaizer as a member of the Firm's Trial Department and Head of the SEC Defense Group in the New York office.

Mr. Kaizer focuses on litigation and securities and commodities enforcement; white-collar criminal defense; investigations by federal, state and private-sector regulators in the United States and abroad; internal investigations and complex commercial civil litigation; including class action and RICO matters. He has provided counseling and trial representation in criminal and regulatory matters to individuals and organizations across the financial services sector, including private, investment, and commercial banks; investment companies; broker-dealers and Big Four accounting firms.
