Paul, Weiss Represents Shell Canada in Royal Dutch Shell's Offer to Purchase Shell Canada Common Shares
Paul, Weiss was retained by Shell Canada Limited, a large Canadian-based integrated petroleum company, in Royal Dutch Shell Plc's offer to purchase all of the common shares of Shell Canada not already owned by Royal Dutch Shell, at $45 per share, resulting in a total consideration of Cdn.$8.2 billion. Royal Dutch Shell currently owns 78 percent of Shell Canada. The Paul, Weiss team includes corporate partner Andrew Foley, associates Jane Danek, Ricky Fong and paralegal Liana Rebollo; and tax partner David Mayo.

Fulbright Attorney Yvonne Puig Named An Outstanding Healthcare Litigator
For the second time, Fulbright partner Yvonne Puig has been named by Nightingale’s Healthcare News as a 2006 Outstanding Healthcare Litigator. One of only 10 attorneys listed nationwide, she is one of only two from Texas and the only Austin attorney listed by the monthly healthcare newsletter.

Previously listed a 2004 Outstanding Healthcare Litigator, she was one of 12 attorneys and the only Texas litigator.

Puig practices exclusively in Fulbright's health care area and represents hospitals, HMOs, medical schools and other institutional providers of health care services. She is the past Chair of the State Bar of Texas Health Law Section, and she is a member of the State Bar's inaugural commission that authors the health law specialty examination.

Dorsey & Whitney Names L. Joseph Genereux To Lead Minneapolis Office
Global law firm Dorsey & Whitney LLP has named partner L. Joseph Genereux to lead the firm’s Minneapolis office. He succeeds Thomas Tinkham, who has been named chief administrative partner. Both positions report to Managing Partner Marianne Short.

Genereux recently completed a two-year term as deputy managing partner. He also has led the firm’s Banking and Commercial practice and the Financial Services group. He is a member of the national Advisory Committee to the Law Firm Pro Bono Project, past-president of the board of directors of the Legal Aid Society of Minneapolis, and a founder and president of LegalCORPS, a non-profit which specializes in placing transactional pro bono matters with volunteer lawyers. Genereux was the 2005 recipient of the National Public Service Award by the American Bar Association Business Law Section Committee on Pro Bono.

“Joe is a superb lawyer and a talented team leader,” said Dorsey Managing Partner Marianne Short. “He has been deeply and personally involved in ensuring that all citizens have access to legal services. Joe embodies the Dorsey law firm’s long tradition of excellent service to clients, the profession and our communities.”

Genereux received his J.D. from the University of Michigan Law School, a Master of Science in International Relations from the London School of Economics, and his B.A. from Grinnell College.

Dorsey & Whitney Names Michael Droke To Lead Seattle Office
Global law firm Dorsey & Whitney LLP has named partner Michael Droke to lead the firm’s Seattle office. He succeeds Bryce Holland, who returns to his corporate and securities law practice in the Seattle office. In the office head position, Droke will report to Managing Partner Marianne Short.

Droke co-chairs the firm’s Computer Fraud and Abuse practice, is head of the Seattle Labor and Employment practice, and is a member of the Privacy practice and the Executive Compensation team. He also is a member of the Northwest Human Resource Management Association, the president-elect of the Bainbridge Public Schools Trust, and the founding member and president of the Association for Corporate Growth.

“Mike is an exceptional lawyer, who cares deeply about our clients,” said Dorsey Managing Partner Marianne Short. “Mike will be successful as head of the Seattle office because he is an energetic team leader, mentor to junior lawyers, and contributor to the Seattle business community. Droke received his J.D. from Santa Clara University School of Law, and his A.B. from the University of California at Berkeley.

Baker & McKenzie LLP Act for RPG in Sale of Majority Stake in Pannonpower
Baker & McKenzie, London has acted for RPG, the private equity group that focuses on Central and Eastern Europe, in the sale for an undisclosed consideration, an 85% shareholding in Pannonpower Holding Zrt, a 190 megawatt biomass- and gas-fired power plant based in the southern Hungarian town of Pecs.

The stake was sold to Dalkia, a French energy services company that is jointly owned by Veolia Environment and Electricte de France. As part of the deal Dalkia also acquired an additional 14.9% shareholding in Pannonpower from minority shareholders.

The exit of RPG from Pannonpower concludes a highly successful restructuring process during which the business was turned from a loss-making and inefficient power plant, originally known as Pecs Power Plant, into an efficient and profitable combined heat and power producer that runs on clean and renewable energy sources. In 2006 Pannonpower generated sales revenue of $85 million.

The Baker & McKenzie team was led by corporate Partner Peter Magyar, assisted by corporate associates Christopher Gardner and Richard Jones. Budapest Partner Pal Takacs and associate Agnes Balogh provided legal advice in Hungary.

Dalkia Energia Zrt was advised by Berwin Leighton Paisner.

Former Federal Prosecutor Barry Gross Joins Drinker Biddle & Reath as Partner
Barry Gross, a prominent former Assistant U.S. Attorney highly respected for his vigorous prosecutions of organized crime and racketeering in Pennsylvania, is joining Drinker Biddle & Reath LLP as a partner in the firm’s white collar crime and corporate investigations practice group. Gross was with the U.S. Attorney’s Office for the Eastern District of Pennsylvania since 1983.

“Barry is a formidable litigator who has dedicated his career to rooting out and defeating fraud, corruption and racketeering in business and government,” said Alfred W. Putnam, Jr., chairman of Drinker Biddle. “He is uniquely qualified to provide an exceptional level of strategic counsel and trial expertise to our clients.”Drinker Biddle’s white collar crime and corporate investigations practice group handles a wide variety of white collar criminal defense, internal corporate investigation, and corporate compliance matters, as well as criminal, civil, regulatory and administrative investigations. Part of the group’s practice is in the health care fraud area, with particular emphasis on cases and investigations under the False Claims Act, the Medicare Anti-Kickback Laws and related statutory and regulatory provisions.

Gross’s arrival adds to a growing roster of highly experienced lawyers in the white collar crime and corporate investigations practice. In December, former New Jersey Supreme Court Chief Justice Deborah T. Poritz joined the group, which includes Charles S. Leeper, a former assistant U.S. attorney for the District of Columbia, and Florham Park, N.J.-based partner Paul G. Nittoly, a former prosecutor in Essex County, N.J. “Throughout my career, I’ve been continually impressed by the litigators at Drinker Biddle,” said Gross. “They show the kind of determination and perseverance that every client deserves while maintaining the highest degree of professional conduct among their peers. I am thrilled to be joining this firm.”

Gross brings more than 30 years of trial experience to Drinker Biddle. Most recently at the U.S. Attorney’s Office, Gross was the lead counsel in the investigation and racketeering trial of the hierarchy of the Philadelphia La Cosa Nostra family. Other high-rofile cases that Gross led include an extensive investigation into the Philadelphia Housing Authority that resulted in the conviction of 12 former high-ranking officials and seven contractors on charges of extortion, bid-rigging and other charges. Gross also was co-counsel in the recent investigation and racketeering trial of the Latin Kings gang in the Philadelphia area.

His prosecution of organized crime has taken him around the world and includes the first criminal depositions taken in Belgium being admitted as evidence in a U.S. court. He also served as an instructor for the U.S. State Department and Justice Department conference on “Combating Organized Crime and Corruption” presented for Serbian judges, prosecutors and other law enforcement officials in Babe, Serbia, in July 2006. Gross has been recognized by the U.S. Department of Justice numerous times for his work. He received the Director’s Award for Superior Performance for United States v. Stanfa, and two Special Achievement Awards.

Prior to becoming a federal prosecutor, Gross was an assistant district attorney for nearly seven years in Delaware County, Pennsylvania. In addition to being a member of the Pennsylvania Bar, Gross also is admitted to practice in California. Gross is an adjunct professor at Temple Law School and Widener University School of Law. He received his law degree from Villanova University and his bachelor’s degree cum laude from Kenyon College.

Attorney Alma L. Saravia Recipient of 2006 Outstanding Women of Burlington County Award
Alma L. Saravia, shareholder in the Health Care Law Practice Group at Flaster/Greenberg, was selected to receive the 2006 Outstanding Women of Burlington County Award in the category of Law. She will be honored with the other recipients at an awards dinner on Thursday, March 15, 2007 at 6 p.m. at The Merion in Cinnaminson, New Jersey.

Saravia is one of seven recipients who were selected by the Burlington County Board of Chosen Freeholders and the Burlington County Advisory Council on Women. Local businesses, professional associations, civic and women's organizations throughout Burlington County nominated women who have demonstrated leadership roles in their professions, have been active in their communities, and have served as mentors and role models for other women.

Saravia concentrates her practice in health care law. Her clients consist of physicians, nurses, chiropractors, and other health care providers as well as statewide and national health care organizations including the New Jersey Association of Nurse Anesthetists. Her lobbying efforts helped New Jersey become the third state in the nation to allow physicians and dentists to engage in joint negotiations with managed care entities. Saravia also represents practitioners in regulatory and disciplinary matters.

Saravia was honored by the Foundation of the New Jersey State Nurses Association - the Institute for Nursing, with its 2005 EPIC award. The EPIC award is given to, “exceptional people impacting the community, the advancement of health care and the profession of nursing.” In 2003, Saravia was profiled in a special issue of the New Jersey Law Journal titled, “Women and Minorities in the Legal Profession” as “one of New Jersey's most expert and accomplished lawyers in the field of healthcare law, both in the public and private sector.” Certified by the American Health Lawyers Association in Arbitration Training in 2003, Saravia is a former director of the New Jersey Division of Mental Advocacy and a former member of the New Jersey State Board of Medical Examiners. She has extensive legislative and regulatory experience, and served as director of Legislative and Regulatory Affairs for the New Jersey Department of the Public Advocate and executive director of the New Jersey Legislative Commission on Sex Discrimination in the Statutes.

An advocate for women, Saravia served as a speaker at the former New Jersey Governer James McGreevey's Conference for Women titled, “Powerful Women, Powerful Voices, Powerful Visions.” She is a frequent lecturer and author and has presented seminars at the Institute of Continuing Legal Education's Annual Health Symposium. Saravia's health care articles have appeared in the New Jersey Law Journal and the New Jersey Lawyer. She is also the co-author of a chapter in the Health Care Dispute Resolution Manual titled, “External Review of Health Plan Decisions.”

A resident of Burlington, Saravia previously served on the Board of Directors of the LEAP Academy Charter School, Inc. in Camden. She also served as the chairperson of the State Affairs Committee of the Southern New Jersey Chamber of Commerce, and on the Board of Trustees of Family Services of Burlington County, as well as various governmental commissions, judicial commissions and other task forces.
