Skadden is representing Laidlaw International, Inc., an operator of school and passenger buses, in its approximately US$3.6 billion acquisition by FirstGroup plc (United Kingdom), an operator of passenger trains, passenger buses and school buses.

Chinatown Restaurant Workers Win Back Stolen Pay
A team of Skadden lawyers led by New York complex mass torts and insurance litigation partner Mark Cheffo helped their pro bono clients, 11 workers at a Chinatown restaurant, win almost $700,000 in tips that had been stolen by the restaurant's management. The restaurant, 88 Palace, charged a mandatory 15 percent service charge in its banquet hall but failed to pass any of that money on to its waiters and waitresses, who worked for less than minimum wage. Manhattan federal judge Gerald Lynch ordered the restaurant to pay not only the back tips and wages but also legal fees and trial costs.

Management Buyout of Herbalife Proposed
Skadden is representing J.H. Whitney & Co., LLC, a private equity firm, in Whitney V LP's (a fund managed by J.H. Whitney & Co. and Peter Castleman, the chairman of Herbalife and managing director of Whitney V LP) proposed management buyout of Herbalife Ltd. (Cayman Islands), the holding company for Herbalife International, a producer of dietary and nutritional supplements, for approximately US$2.7 billion.

Jay A. Dubow, Securities Litigator and SEC Enforcement Lawyer, Joins Pepper Hamilton
Pepper Hamilton LLP announced that Jay A. Dubow, an experienced securities litigator and SEC enforcement lawyer, has joined the firm as a partner in the Philadelphia office.

“Jay is a terrific addition to our commercial litigation and SEC enforcement practice,” said Robert E. Heideck, Pepper’s executive partner. “We have been looking for an experienced SEC enforcement lawyer of his caliber, and we are extremely excited that he has chosen to join Pepper.”

Mr. Dubow focuses his practice on complex business litigation with a special emphasis on defending securities class action litigation and representing clients involved in investigations by the U.S. Securities and Exchange Commission, the Pennsylvania Securities Commission and various self-regulatory organizations, including stock exchanges and the National Association of Securities Dealers. He also conducts internal investigations on behalf of clients.

“Pepper’s commercial litigation group has an excellent reputation and includes several of the city’s top litigators,” said Mr. Dubow. “Coupled with the dynamic and expanding corporate and securities practice, it’s a great place for me to continue to grow my litigation and SEC enforcement practice.”

Mr. Dubow joins Pepper from Wolf, Block, Schorr and Solis-Cohen LLP in Philadelphia, where he was a partner in the litigation and corporate departments and a member of the firm’s Executive Committee. Before joining WolfBlock in 1989, Mr. Dubow was a branch chief in the SEC’s Division of Enforcement in Washington, D.C.

Active in local and national bar associations, Mr. Dubow is a leader in the American Bar Association’s Business Law Section and currently serves as co-chair of its Securities Litigation Subcommittee. He also serves on the advisory board of the Haverford Trust Company.

Mr. Dubow graduated from the Wharton School of the University of Pennsylvania (B.S. 1981), where he majored in finance and accounting. He received his law degree from the University of Pennsylvania Law School (J.D. 1984). He is admitted to the bars of Pennsylvania and the District of Columbia.

Orrick Adds Intellectual Property Partner in Beijing
Orrick, Herrington & Sutcliffe LLP announced today that Dr. Xiang Wang, formerly co-head of Jones Day's Mainland China IP practice, has joined the firm as a partner in its Beijing office. Honored as one of the "30 Hottest Lawyers" by a leading Asian legal publication, Dr. Wang complements Orrick's already strong IP practice in the U.S. and Asia and will further bolster the firm's practice in China. Dr. Wang will also lead Orrick's China Intellectual Property practice.

“The reasons for the continued growth of our Intellectual Property practice in China are clear," said Gary Weiss, chair of Orrick’s intellectual property practice. "Companies with substantial operations in China are increasingly the focus of IP disputes throughout the world. We view the China IP practice not only as a very significant end in itself, but also a means to strengthen our position and attractiveness to corporate and M&A clients in technology-intensive industries that make up a growing portion of the Chinese economy."

Dr. Wang specializes in representing Chinese and multinational companies with substantial operations in China, in multi-jurisdictional intellectual property litigation in the United States, Hong Kong, elsewhere in Asia and in Europe, and before the International Trade Commission. He also counsels his multinational clients in all aspects of their intellectual property rights in China and throughout the world.

Additionally, Dr. Wang coordinates prosecution, enforcement, and technology transfer-licensing for substantial patent and trademark portfolios for companies doing business in China, and he regularly handles office actions, oppositions, patent invalidation proceedings, anti-counterfeiting and anti-piracy efforts, and patent and trademark enforcement litigation. Dr. Wang has extensive experience handling IP work relating to many technologies, and he has represented medical device and pharmaceutical companies in regulatory compliance and proceedings in China.

Dr. Wang was honored by Asian Legal Business as one of the “30 Hottest Lawyers” in 2005 for his work in handling cross-border patent and trademark litigation and prosecution. He currently serves as vice chair of the Intellectual Property Committee of the American Chamber of Commerce in Shanghai and as counsel for the R&D-based Pharmaceutical Association in China. In addition, he serves as an adjunct professor of electrical and biomedical engineering at Drexel University in Philadelphia, Pennsylvania.

As an inventor himself, Dr. Wang has been awarded four United States medical-technology patents. Before entering law school, Dr. Wang held a number of key technical positions at a variety of institutions, including serving as Executive Director of R&D at Renaissance Technology and Director of Medical Research for the Department of Surgery at Episcopal Hospital in Philadelphia.

Dr. Wang received a PhD in electrical and computer engineering from Drexel University in 1991. He received a B.S. from Sichuan University in 1982 and a M.S. from Drexel in 1987. He also obtained law degrees in both China and the U.S. He received a Chinese Certificate of Law from China University of Political Science and Law in 1996, and a J.D. from the University of Maryland in 1998.
