Morrison & Foerster Attorney Appointed to Board of California Women Lawyers
Morrison & Foerster LLP announced that Los Angeles associate Wendy J. Ray has been named to the Board of Governors of California Women Lawyers, representing District 7 (Los Angeles). California Women Lawyers is the only statewide bar association for women in California, which works to advance women in the legal profession and in society.

Ms. Ray is an associate in the firm’s litigation department. She has worked on numerous unfair competition, class action, Consumer Legal Remedies Act, antitrust and intellectual property cases.

Ms. Ray received her J.D. from Georgetown University Law Center cum laude in 2002, where she was an Articles and Notes Editor of the Georgetown Journal of Gender and the Law. She externed in the chambers of U.S. District Court Judge Robert J. Timlin of the Central District of California. Ms. Ray received a Master of Public Health degree in health care policy and administration with distinction from Yale University in 1996; a B.S.E. degree in Bioengineering from the University of Pennsylvania; and a B.S. degree in Economics from the Wharton School of Business in 1994.

Department of Treasury Advisor Joins Tax Practice
McDermott Will & Emery is pleased to announce the arrival of Robert H. Dilworth to its Washington, D.C. office. He will be a partner in the Firm's Tax Department. Most recently, Mr. Dilworth worked for the U.S. Department of the Treasury, Office of Tax Policy, where he was a Senior Advisor to the Assistant Secretary of the Treasury for Tax Policy.

Mr. Dilworth advises multinational clients on a variety of international tax planning matters with experience on international joint ventures and the financing of foreign operations of U.S. multinationals. He has worked with clients in various industries, including retailers, petroleum and petrochemical; telecommunications, global dealers in derivative financial instruments, high technology manufacturing and multinational consulting groups.

"Bob's extensive experience will be valuable addition to our existing tax resources," commented Michael Fayhee, head of the Firm's Tax Department. "He is a veteran in our tax world and will be an asset for us internally and for our clients."

Prior to joining the Treasury Department in September 2005, Mr. Dilworth was a principal in the PricewaterhouseCoopers LLP Washington National Tax Services office and served as co-leader of the international tax services practice (1999-2005). Prior to PricewaterhouseCoopers, he was an associate and then a partner at a leading U.S. law firm in its Chicago, San Francisco, Taipei and Washington, D.C. offices.

"McDermott is an ideal fit for my practice," said Mr. Dilworth. "The Firm's comprehensive tax practice with its focus on international tax, tax planning and tax controversies will be key to my continued service to clients. He graduated magna cum laude from Harvard College, where he was a member of Phil Beta Kappa, and from Harvard Law School, cum laude. He is admitted to practice in the District of Columbia, Illinois and California.

Raymond A. Sanseverino Is Named Chair of Loeb & Loeb’s New York Real Estate Department
Loeb & Loeb LLP announced today that Raymond A. Sanseverino, current chair of the firm’s national commercial real estate leasing practice, will also assume the role of chair of the firm’s New York Real Estate Department.

As chair of the New York Real Estate Department, Sanseverino will oversee practice development, new business initiatives, client relations, practice group policies and work flow. Sanseverino, a seasoned real estate industry negotiator, joined Loeb & Loeb in August 2006, with five other real estate industry attorneys, including partners Richard A. Nardi, Kenneth W. Sold and subsequently, Mark A. Shapiro.

“Ray is a natural leader,” said Michael Beck, Co-Chairman of Loeb & Loeb. “His many years of experience and his work with executives at the very highest levels in the industry, provide him with a unique perspective to guide individuals, influence new business development and steer the practice.”

Sanseverino commented, “I am honored to have been chosen to lead the group of professionals in our department, who are among the best and most dedicated attorneys in the real estate industry. Meeting client demand on a 24/7 basis has been and will continue to be our mantra.”

Sanseverino concentrates his practice on commercial real estate law, with an emphasis in leasing, brokerage and conveyancing transactions. He represents both landlords and tenants in the leasing of all types of real estate, including office and retail space. He also represents sellers and purchasers of all types of real estate, and real estate brokers and owners in connection with commission and agency agreements, and commission claims.

Currently, Sanseverino is landlord's counsel at sixteen office buildings around Manhattan, including those at 375 Park Avenue (The Seagram Building, New York, NY), 390 Park Avenue (Lever House, New York, NY), One World Financial Center (New York, NY), 1114 Avenue of the Americas (the Grace Building, New York, NY), 17 State Street (New York, NY), 400 Park Avenue, (New York, NY), 345 Park Avenue South, (New York, NY) 875 Third Avenue (New York, NY) and Harborside Financial Center (Jersey City, NJ). * Representation of PRIMEDIA, the publisher of trade publications including Motor Trend and Guns & Ammo, for their lease of 135,000 square feet of space at 261 Madison Avenue for its New York City headquarters (a consolidation of six different locations throughout New York).
* Representation of Mellon Financial Corporation for a 100,000 square foot lease in San Francisco. For the same client (two years ago), Sanseverino completed the lease negotiations for 1,500,000 square feet of office space for its headquarters in Pittsburgh, believed to be the largest lease in the U.S. at the time.

One of his most recent clients, Philip Schwalb, the Founder and CEO of The National Sports Museum, had this to say about Sanseverino: “The National Sports Museum's successful securing of $95 million in public and private financing would simply not have been possible without the extensive and superior counsel of Ray Sanseverino on a wide variety of Real Estate matters. By Federal Court Orders EPA to Reconsider Cooling-Water Intake Regs Affecting Existing Power Plants

A federal court has ordered the U.S. Environmental Protection Agency (EPA) to rewrite part of a rule designed to protect aquatic organisms from being harmed or killed by cooling-water intake structures at existing power plants.

Under the Clean Water Act, the EPA was required to adopt regulations that ensure that the location, design, construction and capacity of cooling water intake structures "reflect the best technology available for minimizing adverse environmental impact," a standard known as "BTA." The rule at issue was adopted by the EPA in 2004. It gives large power generators five options for complying with BTA. However, the U.S. Court of Appeals for the Second Circuit found that the rule impermissibly allows use of a cost-benefit analysis to determine what constitutes BTA, rather than requiring specific technologies.

The court concluded that the Clean Water Act was meant to be "technology-forcing," and as such, the desirability of reducing environmental impacts cannot be determined by how much it will cost. The court agreed that BTA technologies need not be identically effective, but they cannot be cost-driven.

The Court also remanded the parts of the rule that (a) establish performance standards as ranges of outcomes; (b) allow compliance through restoration measures, such as restocking fish or improving aquatic habitat; (c) allow site-specific variances based on cost-benefit analyses; (d) allow compliance to be assumed if a facility is following a Technology Installation and Operation Plan; and (e) could allow some new facilities to meet the definition of an "existing" facility and thereby implement less effective technology.

Kaye Scholer Wins Major Victory for Archdiocese of New York and Edward Cardinal Egan in U.S. District Court
The United States District Court for the Southern District of New York dismissed nine claims brought against our clients, the Roman Catholic Archdiocese of New York and Edward Cardinal Egan. Our clients were one of four groups of Catholic organizations and clergy named in an action brought by a priest who was terminated from his position at a Catholic school. The federal claims under the Racketeer Influenced and Corrupt Organizations Act ("RICO") and Title VII of the Civil Rights Act of 1964 were dismissed with prejudice. With the dismissal of the federal claims there was no diversity jurisdiction and seven of the state law claims were dismissed without prejudice.

In addition, the court imposed monetary sanctions on counsel for the plaintiff for filing a frivolous lawsuit, calling his conduct "sloppy and unprofessional." The court also admonished counsel that if he ever files a RICO in the future in the Southern District of New York, he must bring this case and the imposition of sanctions to the court's attention.
