Hutchison Telecommunications International Sells Majority Interest in One of India's Largest Cellular Service Providers
On Monday Paul, Weiss client Hutchison Telecommunications International Ltd. (HTIL) announced its agreement to sell its 67 percent interest in Hutchison Essar, one of India's largest cellular telephone service providers, to U.K.-based Vodafone Group Plc for U.S.$11.1 billion. HTIL is listed in Hong Kong and on the New York Stock Exchange. Paul, Weiss advised HTIL on U.S. aspects of the transaction. The Paul, Weiss team included corporate partners Jack Lange, Judith Thoyer and Mark Bergman, and associate Michelle Riley; and litigation partner Eric Goldstein.

O'Melveny Represents AGFC in $350M Trust Preferred Securities Offering
O’Melveny recently represented American General Finance Corporation ("AGFC") in connection with the offering by AGFC Capital Trust I ("Trust") of $350 million of trust preferred securities.

In the transaction, AGFC issues a subordinated debenture to the Trust, and the Trust then issues the trust preferred securities. The securities are structured so that they are treated as debt by AGFC and the purchasers, but the rating agencies will consider a percentage of the securities as equity for purposes of AGFC's credit ratings.

AGFC, a wholly owned subsidiary of American International Group, Inc., is a financial services holding company with subsidiaries engaged in the consumer finance and credit businesses.

The Los Angeles team consisted of partner Rick Boehmer and associates Preston Hopson and Yvonne Ying. Partners Dean Weiner and Bob Fisher and associate Justin Bowen provided tax advice. The team was supported by paralegal April Minot.

O'MELVENY & MYERS REPRESENTS HAIKE CHEMICAL GROUP LTD IN INITIAL PUBLIC OFFERING
O'Melveny & Myers LLP advised HaiKe Chemical Group Ltd, a petrochemical and specialty chemical business based in China, on its admission to trading on AIM and related institutional placing. HaiKe's market capitalisation was US$60 million on Admission. The IPO raised US$20 million, with the net proceeds to be used for the expansion of heavy oil catalytic cracking and isopropyl alcohol production facilities.

"O'Melveny & Myers' lawyers were invaluable advisers and were key in helping us achieve our goal, a London listing, " said Xiaohong Yang, Executive Chairman of HaiKe.

The O'Melveny & Myers team was led by Matthew Doughty and included Raymond Wong and Eamon Devlin in London, with support from the firm's offices in Beijing, Shanghai and Hong Kong.

HansonWesthouse is nominated adviser and broker to HaiKe.

Based in the Shandong province, HaiKe Chemical Group Ltd. was founded in 1988 and is a former State-owned enterprise. The Group's oil refining facilities are located close to the Shengli oil field (the second largest oil field in China). Fulbright’s Jim Sales Receives National Bar Presidents’ Fellows Award
Jim Sales has dedicated his career to the legal profession and making sure those who share his love of the law work alongside him to see to it that justice truly is accessible to all.

Sales’ nearly 50-year career at Fulbright has resulted in numerous accolades, awards and a sterling reputation that received yet another distinction this month when he was presented with the National Conference of Bar Presidents’ Fellows Award. As a trial lawyer, he was selected as a Fellow of the American College of Trial Lawyers and the International Academy of Trial Lawyers.

“Jim Sales truly is a legal legend who has set an example from which every young lawyer can learn,” said Steven R. Sorenson, President of the National Conference of Bar Presidents, which honored Sales during its bi-annual meeting in Miami on Feb. 9. “Jim has worked tirelessly to improve our profession by leading the way when it comes to developing and implementing initiatives to expand access and improve the quality of justice for those who are less fortunate.”

This is the second year The National Conference of Bar Presidents has given its Fellows Award to a bar association past president whose work benefiting the legal profession has gone well beyond the attorney’s presidential year. Sales served as president of the Houston Bar Association in 1980 and 1981, and as the president of the State Bar of Texas in 1988-89.

“We have a moral, ethical, and in my view, even a legal responsibility to do this work,” said Sales, who led Fulbright’s litigation department for 20 years and continues in an of counsel role at Fulbright. “It is the responsibility of the legal profession to take a lead role in making sure that all people, regardless of income, have equal access to legal services.”

During his time as the president of the Houston Bar Association, Sales established the Houston Volunteer Lawyers Program. The program serves more than 3,000 pro bono clients each year, providing legal advice, counseling and referrals.

Sales later helped establish and was the first Chair of the Houston Bar Foundation, which supports the volunteer lawyers program, community and educational programs through its $7 million endowment.

He currently serves as chair of the Texas Access to Justice Commission, which sets out to identify, assess and reduce barriers to justice for low-income Texans. As a result of Sales’ leadership, the commission has established a successful fund-raising campaign, which has raised more than $1 million for legal services for the poor, and developed a communications campaign and Web site to assist 3.9 million low-income Texans in obtaining legal information and representation, and developed strategic long-range initiatives to expand delivery of legal services statewide.

Additionally, Sales has worked to recruit corporations, established a law school consortium for the law school student internship program, and helped establish a taskforce of major legal organizations to assist with making sure the basic needs of low-income Texans are met.

“Jim Sales has worked alongside countless other Fulbright attorneys to keep the legacy of Leon Jaworski alive through a commitment to pro bono work and serving those who are less fortunate,” said Mike Conlon, who is the head of Fulbright’s Houston office. “Pro bono work and serving those who are less fortunate is a cornerstone of our firm. Fulbright is committed to leading the way in the level of pro bono contributions we make and programs we support that provide legal services to those who cannot afford such representation.”

Sales has devoted his practice at Fulbright to defense of a variety of complex products liability and general commercial liability cases in both the state and federal courts. He is recognized as a skilled litigator, legal scholar and experienced bar leader. Sales was elected as a fellow of the International Academy of Trial Lawyers in 1977 and the American College of Trial Lawyers in 1978. Less than 1 percent of lawyers are selected as fellows of either organization.

The National Conference of Bar Presidents was founded in 1950 and sets out to provide training to state and local bar association leaders. Among the areas the bar presidents discuss and work to improve are: continuing education, access to justice, community outreach and diversity and finance. In recent years, the group has additionally addressed terrorism and civil liberties as well as law school debt forgiveness.

Fulbright Director Appointed to National E-Discovery Advisory Committee
The Electronic Discovery Reference Model (EDRM) has appointed Fulbright’s practice support director Florinda Baldridge to its Advisory Committee. Baldridge, along with other corporate, e-discovery services and legal leaders, will help advise on future EDRM projects and trends.

The Electronic Discovery Reference Model (EDRM) Project was designed to develop and establish practical guidelines and standards for the electronic discovery market.

The model provides framework for the development, evaluation, selection and use of electronic discovery services and products.

Baldridge joined Fulbright in 2000 as the Director of Practice Support, where she tapped into her 20 years of experience in the legal industry to build the firm’s national practice support organization. She is also an integral team member of Fulbright’s Electronic Discovery and Information Management (EDIM) practice.

Washington State China Relations Council Re-elects Seattle Attorney Nelson Dong as '07 President
The international law firm of Dorsey & Whitney announced today that Nelson Dong, a partner in the firm's Seattle office, has been re-elected president of the Washington State China Relations Council (WSCRC) for 2007. In his second term as leader of the Seattle-based Council Mr. Dong plans to build on the momentum generated by Chinese President Hu Jintao's April, 2006 visit with the Seattle business community. WSCRC is the largest China-related trade promotion group in the Pacific Northwest and the only such group established at the state level. In 2005, Mr. Dong served as vice president of the WSCRC, and he was previously a member of its board of directors and the executive committee.

Among Dong's top priorities for 2007, WSCRC is preparing to take a delegation of Washington Business and Government leaders to China this August, while hosting the Chinese for Seattle conferences on Energy and Finance. WSCRC performs a critical role in connecting Pacific Northwest companies with their counterparts and the government in China.

Dong is a co-chair of the Dorsey Asian Law practice group and is an internationally recognized technology business attorney. He frequently speaks with trade and business groups across the United States and in China about the growing business opportunities for investment and manufacturing in China and Asia. In addition to law experience spanning more than 20 years of work for clients in China and other Asian countries, Dong is also a director of the Committee of 100, a New York-based nonprofit organization that promotes better U.S.-China relations.

Dong holds a J.D. from Yale Law School and an A.B. from Stanford University, where he graduated Phi Beta Kappa.

Cozen O’Connor Family Law Attorney Jennifer A. Brandt Appears on CN8 to Discuss the Death of Anna Nicole Smith
Cozen O’Connor member Jennifer A. Brandt recently appeared on CN8, The Comcast Network. On Your Morning and It’s Your Call with Lynn Doyle, Brandt discussed the legal issues surrounding the recent death of Anna Nicole Smith, including the battle over the paternity of her daughter. Brandt practices from the firm's Philadelphia and Cherry Hill offices, where she concentrates in family law litigation, focusing on divorce, custody and support matters at both the trial court and appellate levels. She also assists clients in adoptions and in family matters concerning incapacitated persons.

Brandt serves as a family law expert on numerous media programs, including KYW Newsradio, WPVI and WCAU and KYW television in Philadelphia, and CN8 The Comcast Network. She has been quoted in Main Line Today magazine and The National Law Journal. She also serves as a course instructor at Haverford Township Adult School and at Main Line School Night for Adult Learners.

Brandt was named as one of American Lawyer Media’s 2004 “Lawyers on the Fast Track” and served as a judge for the 2005 “Lawyers on the Fast Track” competition.

Brandt is a member of the family law sections of the American, New Jersey, Pennsylvania and Philadelphia bar associations. She is former chair of the Philadelphia Bar Association’s membership committee, a former member of its executive committee and previously served as editor of the family law section newsletter. She is a member of the Thomas J. Forkin American Inn of Court in Family Law.

A resident of Wynnewood, Pa., Brandt earned her undergraduate degree from Rutgers University (B.A., with highest honors, 1991) and her law degree from the University of Pennsylvania Law School (J.D., 1994), where she was senior editor of the Journal of International Business Law and an Arthur Littleton Fellowship Instructor in legal research and writing. She is admitted to practice in New Jersey, Pennsylvania and the District of Columbia.
