Kevin Culligan, a Noted Authority on Intellectual Property Law, Is a Featured Speaker at a PLI-Sponsored Patent Litigation Program
Kevin J. Culligan, a partner in King & Spalding’s intellectual property practice group, will be a featured speaker at a seminar on patent basics for the non-specialist sponsored by the Practicing Law Institute in New York City on March 15. The program will be simulcast live online.

The patent basics program is designed to help in-house counsel, general attorneys and business managers identify and understand key patent issues facing their organizations in today's highly competitive business environment.

Culligan will make two separate presentations. He will discuss some of the key issues in patent lawsuits, and he will describe the anatomy of a patent infringement action. The topics he will address include the following:

Key Issues in Patent Litigation

* Overview of topics unique to patent litigation, including claim construction hearings and infringement analyses
* Defenses such as invalidity and unenforceability
* Damages

Anatomy of a Patent Infringement Case

* Whom to sue
* Dangers of demand letters
* Choice of venue, including the International Trade Commission
* Sequence and timing of events
* Fact discovery
* Use of experts
* Costs of patent litigation

Culligan has focused over the past three decades on the litigation and trial of intellectual property matters—primarily patent infringement actions in the federal courts. He has served as lead and supporting counsel in dozens of matters and trials in federal and state courts and before the United States Supreme Court.

The patent basics program will be held at the PLI New York Center, 810 Seventh Avenue at 53rd Street (21st floor), in midtown Manhattan. PLI programs are approved for CLE credit in all states.

Hutchison Essar stake sold to Vodafone for $11.1bn
Hutchison Telecom this week announced it has agreed to sell its stake in Hutchison Essar, India's fourth largest mobile phone operator, to Vodafone for $11.1bn. The deal values Hutchison Essar at approximately $18.8bn, making it the largest foreign investment transaction in India and one of the largest ever Indian M&A transactions.

International law firm Freshfields Bruckhaus Deringer advised Hutchison Telecom on the transaction.

The Freshfields team was led by Hong Kong-based corporate partner Robert Ashworth, London-based finance partner Perry Noble and corporate partner Natasha Good, and included Hong Kong corporate associate Grace Huang, and London associates Sean Stabb, Stuart Goldberg and Rosanna Cortese.

Perry Noble commented, 'This was a fascinating transaction to work on, with a very tight timetable requiring seamless round-the-clock service between London and Hong Kong. We are pleased our international network was able to help Hutchison achieve this great result.

Freshfields advises consortium on bid for APN News & Media
APN News & Media, one of the largest multi media companies in Australasia, has agreed to recommend an offer of AUD6.10 per share for all the remaining shares in APN from a consortium comprising Irish media company Independent News & Media PLC, Providence Equity Partners and The Carlyle Group. The acquisition will be implemented by a Scheme of Arrangement. The offer values APN at AUD3.8bn, including debt.

International law firm Freshfields Bruckhaus Deringer is advising Independent News & Media and the consortium in relation to the bid. The Freshfields team was led by corporate partners Edward Braham and David Sonter with associates Edward Freeman and Amy Beckingham.

This transaction is another in a string of private equity and TMT deals on which Freshfields has recently advised in the Asia-Pacific region, including the sale by Hutchison Telecom of India's Hutchison Essar to Vodafone, advising TOM online on the establishment of a joint venture with EBay Inc, and advising China Communications Services on their US$365m+ IPO and listing on the Hong Kong Stock Exchange.

The Akron Office of Buckingham, Doolittle & Burroughs, LLP Celebrates Its Open House with 700 Clients and Guests
The law firm of Buckingham, Doolittle & Burroughs, LLP (“BDB”) hosted an Open House on February 9 at its new Akron office located at 3800 Embassy Parkway. The event showcased the new space, designed by Ronald A. Reed of Westlake, Reed, Leskosky and developed by Dellagnese Construction Company, to an estimated 700 people.

Richard A. Murdoch Joins Boca Office of Buckingham, Doolittle & Burroughs, LLP
The law firm of Buckingham, Doolittle & Burroughs, LLP (“BDB”), is proud to welcome Richard A. Murdoch, a Shareholder, resident in the Boca Raton office. The addition of Mr. Murdoch increases the office to 18 attorneys, and strengthens its Real Estate & Construction practice.

Mr. Murdoch is a Florida Bar Board Certified Real Estate attorney with more than 25 years of experience. He has represented bank and lending institutions in complex commercial and residential transactions and is responsible for large volumes of real estate contract negotiations, leases, closings and title insurance. Mr. Murdoch maintains a substantial corporate practice representing entities, mergers, joint ventures, limited liability companies and partnership matters. He has extensive contract negotiation experience and preparation of employment, shareholder and management agreements and general business matters.

Appeals Court Finds ‘No Damages’ in Baker Botts Handling of Cailloux Estate
The San Antonio Court of Appeals issued today an opinion that rendered a “take nothing” judgment in favor of Baker Botts in the Cailloux Estate case.

In the unanimous opinion of the three-judge panel, written by Justice Catherine Stone, the Court found there was “insufficient evidence to support the jury’s findings” that the law firm’s estate planning advice caused any damage to Kathleen Cailloux. The Court also determined that the trial court “had no power to create an equitable trust” of $65.5 million under the circumstances presented at trial. As a result of each of these rulings, the Court rendered a “take nothing” judgment in favor Baker Botts. The justices also affirmed the trial court’s judgment award of nothing for Ken Cailloux, the person who brought the case against the law firm and Wells Fargo Bank.

"This ruling by the Court is a complete vindication for Baker Botts," said Baker Botts senior counsel Joe Cheavens, who handled the case for the firm. "Contrary to assertions made in a public relations campaign by the plaintiffs’ lawyers, Baker Botts did nothing wrong with respect to our representation of Kathleen Cailloux."

Businessman Floyd Cailloux amassed over $100 million running the Keystone Valve Company. After his retirement, he and his wife Kathleen engaged Baker Botts to help them in their estate planning. Baker Botts helped the couple set up wills and trusts that would minimize federal taxes and donate large sums to charity. After Floyd's untimely death in 1997, the estate plan required some modifications. Baker Botts helped Kathleen modify the plan and thereby kept federal taxes to nearly zero.

Ken Cailloux's lawsuit was not approved or endorsed by his mother. She did not authorize the bringing of the suit. After reviewing all of the evidence, presented by Ken Cailloux, the appeals court concluded that there was no evidence that Baker Botts representation caused any damage to Mrs. Cailloux.

Weil Gotshal Obtains Summary Judgment in Texas Employment Non-Compete Case
Weil, Gotshal & Manges LLP achieved a significant victory in Texas on behalf of Lockton Companies, Inc., the largest privately-owned insurance brokerage company in the country. At issue was the enforceability of a non-compete agreement against Lockton that, when the case was filed, did not appear to meet the strict requirements for enforceability under Texas law. Then, just 4 months ago, the Texas Supreme Court issued a ruling in Alex Sheshunoff Mgmt. Servs. v. Johnson which many employment practitioners believe loosens the requirements for enforceability.

The parties filed dueling summary judgment motions and after two days of summary judgment arguments, the Court held that the non-compete was unenforceable as a matter of law. The Court also ruled for Lockton on a series of related tortious interference and misappropriation claims. This was one of the first, if not the first, summary judgments in the wake of the Sheshunoff decision.
