Chadbourne Represented Bear Stearns and Arroyo Energy in Acquisition of Delta Power Company
Chadbourne & Parke LLP represented The Bear Stearns Companies Inc. and its wholly owned affiliate Arroyo Energy Investors LP in connection with Arroyo's recent acquisition of Delta Power Company, LLC, a privately held owner and manager of power generation projects.

The acquisition included interests in 17 power projects, with a total of 1,217 gross megawatts.

Further terms of the transaction were not disclosed.

Chadbourne attorneys working on the deal included Rob Colby, Ed Smith and David Santangelo (corporate) and Tom Charbonneau (real estate) of the New York office, and Washington, DC office attorneys Adam Wenner and Donna Bobbish (energy regulatory), Laura Hegedus (tax), Andrew Giaccia (environmental), and William D'Amico and David Blonder (Hart Scott Rodino matters).

Dromsky-Reed Authors Chapter on Inheritance and Estate Tax
Susan Dromsky-Reed of WolfBlock's Roseland office recently authored a chapter on inheritance and estate tax for the New Jersey Tax Handbook, 2007 edition, published by American Lawyer Media.

Dromsky-Reed is also the author of the chapter on inheritance and estate tax for the 2006 edition of the New Jersey Tax Handbook. The book, which is a collaboration between the New Jersey Law Journal, the New Jersey Society of CPAs and the New Jersey State Chamber of Commerce, is more than a mere listing of tax codes. It presents a detailed look into the tax codes and the part the law plays, providing examples that help the reader gain a well-rounded understanding of the codes.

Dromsky-Reed is a partner in WolfBlock's Private Client Services Group, concentrating her practice in estate planning. She is admitted to practice in New Jersey and earned her J.D., with honors, from George Washington University in 1992, her LL.M in Taxation from New York University in 1999 and her B.A., magna cum laude, with honors in Mathematics from Hamilton College in 1986.

WolfBlock Attorney To Speak at Wharton/UBS Executive Education Program for Women Re-Entering the Workforce
WolfBlock attorney Shari M. Solomon has been invited to speak at a panel presentation on March 3 as part of a three-day executive education program, "Re-Entering the Workforce: A UBS Fellowship Program for Professional Women," presented by The Wharton School of the University of Pennsylvania and UBS.

Solomon, an associate in WolfBlock's Real Estate Practice Group, will speak on "The Re-Entry Process." She is a member of Wharton Club of Philadelphia and the Wharton Women’s Network.

"Re-Entering the Workforce" is a program to support women returning to the workforce after a career break. Participants will update their business knowledge, develop transition strategies and network with business leaders. This highly selective program, designed for women with a minimum of five years of professional experience who have taken a career hiatus of between two and seven years, is offered at no charge to qualified applicants through funding from UBS. The program will be held March 3-4, 2007, on Wharton’s campus in Philadelphia. On March 5, participants will attend an additional day of training at UBS in New York City, during which they will be paired with UBS peer coaches.

Solomon is a graduate of the University of Pennsylvania Law School (J.D., 1991), the University of Pennsylvania Wharton School of Business (M.B.A., 1991) and the University of Pennsylvania (B.A., magna cum laude, 1985).

WilmerHale Honors Dennis Flannery and Robert Tuchmann for Commitment to the Leadership and Education of Junior Lawyers

Each year, the Jerome P. To name just a few contributions, Flannery assisted in the creation of training programs such as the DC Oral Communications Workshop as well as the Litigation Training Program in which Washington lawyers have participated throughout the years.

The “Mentor of the Year Award” is given to one partner who has made it a priority to provide general career guidance and professional development advice to junior attorneys. When presented with the award, Robert Tuchmann was described as a mentor, explainer and a teacher. He is said to constantly encourage those he helps with their professional growth and learning.

Paul H. Shur - When Banks Compete, Your Business Wins
Paul Shur, Chair of the Firm's Banking and Finance Practice Group, was interviewed for this February 14, 2007 Bergen Record article about competition among New Jersey banks for small-business clients. Banks are trying to position themselves to obtain higher yields. According to the article, "What most are doing is bulking up the small-business loan portfolios, said Paul Shur. Some are doing it by buying other banks, while others are building new branches to expand their reach, he said.

Sheppard Mullin San Francisco Adds Top California Employment Attorney, Jennfier Redmond
Jennifer G. Redmond has joined the San Francisco office of Sheppard, Mullin, Richter & Hampton LLP as a partner in the firm's Labor and Employment practice group. Redmond most recently practiced with Bingham McCutchen in San Francisco.

Redmond has close to twenty years of experience defending employers against claims of trade secret theft, defamation, disability discrimination, failure to accommodate, wrongful termination, discrimination, harassment, retaliation, breach of contract, fraud, wage and hour violations, and all other types of employment-related claims.

"Attracting the best attorneys in their specializations is a top priority for the firm and Jennifer is one of the leading employment attorneys in the state," said Guy Halgren, chairman of the firm. "She substantially increases our employment law capabilities in San Francisco and allows us to provide clients with a tremendous breadth of service throughout the nation."

Redmond's experience also includes counseling employers on enforcement of non-solicitation and non-compete agreements, protection of trade secrets, family and medical leave compliance, disability accommodation, wage and hour compliance, the use of independent contractors, and employee housing, among other topics; assisting in the design and implementation of restructuring and downsizing programs; mediating employment disputes; training management and employees on harassment and discrimination prevention; and all other aspects of employment law. She is the co-author of "How To Engage In The Interactive Process: A Field Guide For California Employers;" "How to Engage in the Interactive Process: A Field Guide on Disability Accommodation in the Workplace" (national version); and numerous other articles and presentations on reasonable accommodation of disabilities, among other topics.

Redmond received her J.D., order of the coif, from Vanderbilt University School of Law in 1989 where she was an Andrew Ewing Scholar and senior articles editor of Vanderbilt Law Review. She then clerked for Judge Earl B. Gilliam of the United States District Court for the Southern District of California. Redmond has a B.A. in History, with honors, from the University of Virginia.

Belgian Court Ruling Against Google Not Dire According to Orrick Litigator
Los Angeles litigation partner Chris Ruhland is quoted in a CNET story regarding a copyright decision in Belgian courts against Google. Ruhland doesn't expect the ruling to have too much of a negative impact on Google.

"I'm not sure a lot can be read into it since it is one court in Belgium and it is subject to an appeal," Ruhland said. While courts in continental Europe tend to apply fairly strict copyright protections, each court will decide for itself, he said.

"They won a legal victory for now but maybe not in the long term," Ruhland elaborated. "In 2007, if you are not findable in Google, you might as well not exist for practical purposes.
