Dinsmore & Shohl LLP Expands Morgantown Office
Ten attorneys from Morgantown, WV have joined the full-service law firm of Dinsmore & Shohl LLP effective January 1, 2007. The move anchors Dinsmore & Shohl’s position as the largest law firm in the state.

“This move further strengthens Dinsmore & Shohl’s commitment to serve the growing business base in West Virginia, especially in the booming Morgantown area,” stated Henry Jernigan, Dinsmore & Shohl Managing Partner for West Virginia. “We were looking to expand our Morgantown office and this is a perfect fit for both groups.”

In just five years, Dinsmore & Shohl has grown from two lawyers in the Mountain State to 26 attorneys in Charleston and now 13 in Morgantown. Dinsmore & Shohl is one of the largest law firms in the Midwest with over 300 attorneys in Ohio, Kentucky, Pennsylvania and West Virginia.

“Many companies in this area have operations in the neighboring states. Our regional approach to service greatly enhances our clients’ business,” Jernigan added.

European High Yield Market Off to a Flying Start in 2007
Following a record-breaking year in 2006 and a very strong start to 2007, the European high yield market looks set to continue with its track record of impressive growth, according to a principal partner of White & Case's European High Yield Practice Group, Rob Mathews. In particular, emerging markets, which continue to break new ground, are set to drive growth.

"Growth is being fuelled by the use of high yield as an alternative means of financing in Central and Eastern Europe, and in the coming months we are likely to see continued aggressive growth that shows no sign of abating," commented Mathews.

This year White & Case's practice has continued to illustrate its breadth of high yield capabilities, having already represented a range of clients spanning initial purchasers, issuers and sponsors. The Firm has advised on four completed deals, three in emerging markets, with a total deal value exceeding €1.8 billion:

* Representing Orascom Telecom Finance S.C.A. in its debut high yield issue of $750 million 7?% Senior Notes due 2014, guaranteed by its parent company, Orascom Telecom Holding S.A.E. This issue was the first Rule 144A/Regulation S high yield bond offering to date by an Egyptian corporate and the first international corporate bond issuance by an Egyptian corporate since 1999. Additionally, the Notes were the largest-ever debut bond for a sub-investment grade issuer in the EMEA region, and the largest ever sub-investment grade corporate bond in the Middle East and Africa to date;
* Providing German legal counsel to Credit Suisse and Deutsche Bank in their roles as joint initial purchasers in the offering by Grohe Holding GmbH, a German manufacturer, of its €800 million Senior Secured Floating Rate Notes due 2014;
* Providing US, Polish, French and UK counsel to Deutsche Bank in its role as initial purchaser in the offering by Zlomrex International Finance S.A., a Polish steel supplier, of its €170 million 8½% Senior Secured Notes due 2014;
* Representing private equity firm Mid Europa Partners in connection with the financing of its acquisition of Bité, the fastest growing mobile operator in Europe, in the largest leveraged buy-out in the Baltic region to date. The financing included a €300 million senior bridge loan facility that, as previously publicly disclosed, is expected to be refinanced through an issuance of high yield notes in what is anticipated to be the first high yield offering by a Lithuanian company.

"Our extensive geographical coverage is a major advantage to our clients, particularly in the emerging markets where we have advised on a number of deals. We are able to respond to clients with the high yield capabilities that they are looking for, in the jurisdictions that are experiencing market growth," added Mathews.

White & Case is currently instructed on a number of additional deals, which includes advising on the high yield aspects of Weather Investments S.p.A's recent acquisition of Greek mobile operator TIM Hellas Telecommunications S.A.

In 2006 the European high yield team acted on a total of 11 high yield offerings, for both issuers and underwriters, with a combined deal value of €3 billion. Several of these deals took place in the emerging markets and included a number of firsts: the first ever dual issuer structure offering in the European high yield market; the first issue of a PIK Note in Central and Eastern Europe; and the first Rule 144A/Regulation S high yield bond offering to date by a Pakistani corporate issuer, which was also the first international corporate bond issue by a Pakistani corporate issuer since 1994.
