Cozen O’Connor Recognized Among Top Bond Counsel in Pennsylvania, New Jersey and Delaware
Cozen O’Connor has been ranked among the top bond counsel for Pennsylvania, New Jersey and Delaware by Thomson Financial. The rankings are based on issues maturing in 13 months or more, excluding private placements and remarketings. “Since its inception ten years ago, our public finance group has focused on the mid-Atlantic region, so we are particularly pleased to be ranked with the top bond counsel firms in Pennsylvania, New Jersey and Delaware,” said Cozen O’Connor member and co-head of the firm’s public and project finance practice Alan F. Wohlstetter.

The public and project finance practice area emphasizes the creation of interdisciplinary solutions for our public finance clients. Among the innovative projects the group has designed are the creation of the Workers Compensation Savings Program for the School District of Philadelphia which achieved savings in excess of 15%, the structuring of an Early Retirement Program for Luzerne County and the School District of Philadelphia, and the creation of the non-profit entity which brought municipal wireless services to Philadelphia and Wilkes-Barre. In each situation, the practice members created public/private partnerships by employing private sector models while balancing the public policy concerns of clients.

Covington Advises Bear Stearns in $1.4B Equifax Acquisition
Equifax Inc. and TALX Corporation announced on February 14, 2007 that Equifax will acquire TALX in a stock and cash transaction valued at approximately $1.4 billion, including the assumption of debt. Covington & Burling LLP advised Bear Stearns & Co. in the deal, which is expected to close in the late second or early third quarter of 2007. Bear Stearns acted as financial advisor to Equifax.

Bear Stearns is a leading global investment banking, securities trading and brokerage firm.

The Covington corporate team included partner Stephen Infante and associate Marcus Weiss of the firm’s New York office.

Buchanan Attorneys Help Slesinger Family Win 'Pooh' Copyright Case
Buchanan Ingersoll & Rooney announced today that Federal District Judge Florence-Marie Cooper of the United States District Court for the Central District of California issued a major decision in the federal copyright case, granting Stephen Slesinger, Inc.'s motion for summary judgment, effectively ending the Walt Disney Company's efforts to take back the Winnie the Pooh copyright. Intellectual Property shareholder Andrew Skale and Litigation shareholder Barry Slotnick represent Slesinger in this case and related matters. Skale is located in the firm's San Diego while Slotnick is in New York City.

Slotnick, the lead attorney on the case and chair of Buchanan's New York litigation practice, said, "The court once again has ruled that Disney's claims against Slesinger are improper. Now that Disney's misguided claims have been dismissed, we can focus on pursuing Slesinger's claims against Disney for damages, trademark and copyright infringement, breach of contract, and fraudulent underpayment of royalties, seeking in excess of $2 billion in compensatory and general damages. We applaud the granting of our motion for summary judgment."

According to Pati Slesinger, "It was Disney's attempt to take back the rights granted to my father over 70 years ago that led this case into federal court. Perhaps Disney might have spent their time merchandising Winnie the Pooh worldwide instead of attempting this scheme to take back what the court has thankfully ruled has been the Slesingers' all along: the rights to Winnie the Pooh."

In addition to the state case, Stephen Slesinger, Inc., has petitioned the United States Trademark and Patents Office seeking cancellation of a number of trademarks taken out by Disney on Winnie the Pooh, alleging that Disney had no legal right to do so.

$50,000,000 Victory for San Miguel Valley Corporation
After years of hearings, studies and plans, a six-person Delta County jury awards San Miguel Valley Corporation $50,000,000! The two-week trial to decide how much the Town of Telluride would have to pay for the 570-acre Valley Floor owned by the San Miguel Valley Corporation came down to a complete victory for the landowner, giving San Miguel Valley Corporation all of the $50,000,000 they sought in this eminent domain taking. Telluride's appraisers had valued the property at $26,000,000. Congratulations to the litigation team of Darrell Waas, Mikaela Rivera and Patricia Campbell.

Briggs Attorney Participates at CIDRAP National Summit
Attorney Greg Stenmoe, of Briggs and Morgan, Professional Association, was one of three attorneys chosen nationally as a participant of “Business Preparedness for Pandemic Influenza: Second National Summit.” The event, sponsored by the Minnesota Center for Infectious Disease Research and Policy (CIDRAP), was held Feb. 5-6, 2007, in Orlando, Florida.

“For those of us closely involved with this issue, it was gratifying to see that major corporations and leaders across the country continue to take pandemic influenza very seriously and have made substantial progress with their contingency plans, even if the media has lost interest,” says Stenmoe, who spoke about anticipating and managing legal issues. “The reality is that this threat is as real as ever and there many unresolved issues, especially in the legal arena. So it is imperative that businesses continue with their planning, coordinate with government and above all, not succumb to ‘pandemic fatigue.’”

Stenmoe accompanied infectious disease expert and CIDRAP Director Michael Osterholm to the event. He was one of three attorneys chosen to participate in a breakout session entitled “Anticipating and Managing Legal Issues.” The summit also involved a number of other high-profile speakers, including the Honorable Madeleine Albright, who discussed the implications of politics and globalization for pandemic influenza planning and response.

CIDRAP’s summit, the second since 2006, was developed to provide current, comprehensive information on responding to pandemic influenza and business continuity planning. Representatives from about 200 corporations and other organizations were reportedly in attendance.

Greg Stenmoe is a frequent speaker on the topic of legal matters associated with the potential of pandemic influenza. He was instrumental in founding the October 2006 pandemic summit co-hosted by Briggs and Morgan and the Business Continuity Planners Association (BCPA), in conjunction with the State of Minnesota and Minnesota business and community leaders, where he spoke about legal issues implicated by pandemic influenza in the areas of human resource management, business planning and governmental authority. He has led presentations on the subject before various clients, human resources personnel and legal counsel at firm seminars, as well as at the Employment Law Institute. Greg is Articles Nexis shareholder with Briggs and Morgan, and a member of the firm’s labor and employment law section. He practices principally in employment litigation, employment law counseling and employment law training.

Bell Boyd Sponsors iBIO IndEX
Bell, Boyd & Lloyd will participate as a sponsor and exhibitor in the 2007 Life Sciences Industry Expo and Marketplace, the premier event for the life sciences in the Midwest region.

Otherwise known as the iBIO IndEX, the event will be held on Thursday, February 22 at the Hyatt Regency Chicago Hotel and is run by the Illinois Biotechnology Industry Organization (iBIO). Bell Boyd partner Janet M. McNicholas, Ph.D. will moderate one of several workshops featuring industry leaders in the region discussing biopharmaceuticals, device and diagnostic, regenerative medicine and bio energy. Bell Boyd Life Sciences attorneys will be on hand in the exhibit hall throughout the day.

Dr. McNicholas, a recognized, global authority in life sciences patent law, will moderate a biopharmaceuticals panel discussion focused on small interfering RNA (siRNA), which blocks the expression of a specific gene. This seven-year-old discovery is being researched by pharmaceutical companies as a possible drug treatment for a number of viral diseases, including Hepatitis B and HIV, and several types of cancer.

Other Bell Boyd partners participating in the event, include Raymond H. Drymalski, Steven E. Ducommun, Robert M. Gould, Ph.D., Craig C. Bradley and Bruce A. Zivian. Mr. Ducommun serves on the board of directors of iBIO. Mr. Drymalski serves on the board of directors of the iBIO Institute, an affiliate of iBIO.

The firm will also participate as an exhibitor at the BIO 2007 International Convention being held in Boston from May 6-9.
