Attorney Stephanie M. Tabone Promoted to Associate
Attorney Stephanie M. Tabone, a resident of Valley Stream, New York, has been promoted to associate at the Mineola-based law firm of Forchelli, Curto, Schwartz, Mineo, Carlino & Cohn LLP (FCSMC&C).

“Stephanie started at the firm while completing law school and has proven to be a talented employee and now lawyer,” explained FCSMC&C Managing Partner Jeffrey D. Forchelli. “We welcome her as an associate and know that she will be an asset to our Tax, Trusts and Estates Department.”

A graduate of St. John’s University School of Law (2006), Ms. Tabone served as a law clerk at the firm while completing her J.D. and now concentrates her practice in the areas of tax, trusts and estates. Prior to joining the firm, she interned at the Nassau County District Attorney’s Office. Ms. Tabone is admitted to the bars of New York and New Jersey, and is a member of the Nassau County Bar Association.

PRIVACY ASSOCIATION INVITES DAVIS & GILBERT ATTORNEY GARY KIBEL TO DISCUSS EMERGING LEGAL ISSUES
Davis & Gilbert announced today that Gary Kibel would be speaking to members of the International Association of Privacy Professionals. He will focus on spamming, spyware, phishing, identity theft, data security and much more.

Mr. Kibel practices in Davis & Gilbert's New Media Group. He regularly advises the country's leading advertising, marketing, promotions and public relations agencies, technology companies, marketers and Internet and advertising trade groups on such issues as interactive advertising; customer, client and vendor contracts; adware/spyware; compliance with CAN-SPAM; FTC regulations and other laws affecting interactive businesses; wireless services, cybersquatting, privacy and security; software and content licensing; joint ventures; and copyrights, trademarks and trade secrets. Prior to becoming an attorney, Mr. Kibel was an information systems analyst with Merrill Lynch & Co.

The PMA conference in Chicago on March 21-22, 2007, will address a host of topics the firm considers critical to its extensive advertising and promotion industry client base. DAVIS & GILBERT ATTORNEY GREGG A. GILMAN TO SERVE ON FACULTY OF CORPORATE COUNSEL FORUM ON WAGE & HOUR COMPLIANCE
Davis & Gilbert announced today that partner Gregg A. Gilman would be participating on the faculty of the American Conference Institute’s Corporate Counsel Forum on Wage & Hour Compliance on March 26-27, 2007, at the MGM Grand, Las Vegas, NV. The focus of the conference is shielding your company from class and collective actions by gaining insight from wage & hour experts.

On March 27, 2007, Mr. Gilman will be moderating a session titled, “Achieving and Maintaining an Effective Compliance Program” with a panel of partners from the firms of Dickstein Shapiro LLP, Jackson Lewis, and Bates White.

As Co-Chair of Davis & Gilbert’s Employment Practices Group, Gregg A. Gilman advises employers on all workplace-related matters. A significant portion of his practice is devoted to various labor and personnel issues, including preventive management, terminations, reductions in force, disciplinary measures, employment and termination agreements, executive compensation, harassment investigations, restrictive covenants, wage and hour issues and employment policies. Mr. Gilman also represents employers in state and federal courts and before the Equal Employment Opportunity Commission and state and local employment-rights agencies in race, sex, age, disability and other discrimination cases as well as all other employment litigation. Mr. Gilman is the creator of Respect in the Workplace, an interactive training seminar on preventive management, including sexual harassment and workplace sensitivity training.

DAVIS & GILBERT'S JOSEPH J. LEWCZAK AND JAMES L. JOHNSTON JOIN FACULTY OF "MAXIMIZING BRANDED ENTERTAINMENT DEALS
Davis & Gilbert announced today that partner Joseph J. Lewczak would be participating on the faculty of "Maximizing Branded Entertainment Deals" on March 27-28, 2007, at the Westin Times Square, New York, NY, with D&G partner James L. Johnston leading a special follow-up half-day interactive workshop on March 29, 2007. The focus of the conference is how to maximize a brand’s exposure while maintaining creative control, protecting privacy and security, projecting monetary gains and complying with regulatory standards.

On March 28, 2007, Mr. Lewczak will be conducting a session titled, “Averting Scrutiny and Sanctions From the Regulators” along with Lesley Fair, Senior Attorney with the Division of Advertising Practices of the Federal Trade Commission.

On March 29, 2007, Mr. Johnston will join forces with MediaVest’s Vice-President and Director of Production Caroline Turner to provide a half-day interactive workshop titled, “Deconstructing the Deal and Putting It Back Together,” an intensive strategy session on negotiating branded entertainment transactions.

Joseph Lewczak is a partner in the Advertising, Marketing and Promotions Department of Davis & Gilbert. He has considerable experience in all areas of advertising, direct marketing and promotions, and is an expert in the areas of games of chance, complex skill contests, telemarketing, direct mail and charitable solicitations. Joseph has spoken at national Promotion Marketing Association events and other seminars relating to the advertising industry, and is involved with the American Teleservices Association and the legal committees of both the Promotion Marketing Association and Direct Marketing Association.

James L. Johnston is a partner in the Entertainment, Media and Publishing, and Advertising, Marketing and Promotions groups of Davis & Gilbert. He represents numerous multinational, national and local media companies, television and motion picture producers, advertising agencies, promotions agencies, and advertisers in connection with all aspects of motion picture, television, entertainment, advertising and marketing.

Cleary Gottlieb Wins Nine LatinFinance "Deal of the Year" Honors
Cleary Gottlieb's work in Latin America in 2006 garnered recognition across nine different award categories as LatinFinance magazine honored the year's most outstanding transactions. The firm's representation of CVRD in its $19 billion acquisition, and the related bridge financing, of Canadian nickel miner Inco won "Best Cross-Border M&A Deal," "Best Hostile Takeover" and "Best Syndicated Loan." LatinFinance noted that this transaction was "nothing short of region transforming."

CVRD also picked up the "Best Corporate Issuer" award. Cleary Gottlieb worked with CVRD on all of its U.S.-registered offerings in 2006. The firm also advised CVRD on its $3.75 billion dual tranche issue, which was awarded "Best Corporate Bond" this year.

Cleary Gottlieb won the "Best Liability Management" award for its representation of The Republic of Uruguay in a series of liability management transactions, including a $1.17 billion exchange and cash tender offer and contemporaneous cash offerings of U.S. dollar and Uruguayan Peso-denominated bonds totaling approximately $800 billion. The firm was counsel in the "Best Follow-on Equity" deal of the year, advising the underwriters in the R$3.2 billion Reg S/Rule 144A initial public offering by CESP (Companhia Energética de São Paulo). LatinFinance noted that this deal "stands out for its complexity and tricky timing."

The firm's always-strong private equity and M&A practices also received recognition. Cleary Gottlieb represented Newbridge Latin America and other shareholders in the "Best Private Equity Deal" of 2006, the sale of Controladora Milano to a syndicate of investors led by Advent International. The firm's representation of Carulla Vivero, a Colombian supermarket chain, and its shareholders in the sale of the company to Almacenes Exito picked up the "Best Domestic M&A Transaction" honors for 2006.

Clark Hill PLC Attorney Barbara A. Ruga to Present at Michigan Negotiators Association 2007 Mini Conference - February 27 in Ingham County
Clark Hill attorney Barbara A. Ruga will present at the 2007 Michigan Negotiators Association Mini Conference on February 27 in Ingham County. The topics Ruga will cover include “Employee Evaluations: Teachers and Support Staff,” and “Employee Discipline: Progressive and Last Chance and More.”

The mini conference is part of a series, and included presentations on January 23 in Kent County, February 6 in Genesee County, February 13 in Cheboygan-Otsego-Presque Isle Counties, and February 15 in Macomb County. The program series is designed for board members, supervisors, chief negotiators, principals, and all administrators whose job it is to supervise, evaluate or discipline employees. The cost to attend is $20 for MNA Members and $30 for nonmembers. The programs begin at 9:00 a.m. and additional information, include location, is available from Richard Higginbotham at rhigg3@comcast.net.

Ruga has been practicing law for nearly 30 years in the areas of education, labor relations and employment law. She predominantly represents public school districts in a wide range of employment and school law matters, and frequently lectures to public school districts on employment matters.

Ruga has published several books and articles in the field of employment law, including articles in the Michigan Council of School Attorneys Newsletter. She was the co-editor and author of “Michigan Wrongful Discharge and Employment Discrimination,” (ICLE, 1990-1994) and “Wrongful Discharge Cases in Michigan,” (1984 and 1987 editions).

Ruga has been active locally on bar association committees, professional, charitable and local governmental projects.

Ruga earned her J.D. and B.A., cum laude, from the University of Michigan.
