Attorney Kenneth R. Gilberg Joins Flaster/Greenberg's Philadelphia Office
Kenneth R. Gilberg has joined Flaster/Greenberg as a shareholder and member of the firm's Labor and Employment Practice Group in its Philadelphia office. A veteran attorney and shareholder at Buchanan Ingersoll & Rooney for the past four years, Gilberg represents clients in labor relations, employment law and human resources issues and assists companies in negotiating favorable contracts and sustaining effective relationships with union and non-union employees.

“Ken is a highly accomplished lawyer with extensive labor and employment law experience and we are very fortunate that he has decided to join our Philadelphia team at Flaster/Greenberg,” said Peter R. Spirgel, managing shareholder of the firm. “He is a key addition to our labor and employment practice group which has vast experience in representing both employers and employees seeking practical solutions to workplace issues.”

In 2006 Gilberg was honored by the Labor Relations Institute as one of the “Top 100 Labor Attorneys” in the United States. Prior to joining Buchanan Ingersoll, Gilberg practiced with the Philadelphia office of a large national firm in their Labor and Employment Group. Here he grew his practice and gained experience in defeating union organizational drives. Some of Gilberg's notable achievements throughout his career include helping a privately held group of 26 nursing homes remain union-free and working with a Fortune 100 company to develop and implement a human resources strategy that improved productivity and reduced litigation. He has also represented management before the National Labor Relations Board, the Equal Employment Opportunity Commission, Department of Labor and other administrative agencies, as well as before federal and state courts.

A frequent speaker on labor and employment issues, Gilberg has authored numerous published articles such as “How To Fire Poor Performers,” FOCUS Magazine; “The Human Resources Bank Account,” Autumn 2004 issue of the Employee Relations Law Journal; and “Unfair Labor Practice Procedures and Representative Case Procedures,” Pennsylvania Bar Institute's Employee Law Book.

Admitted to practice in Pennsylvania, he is a member of the American, Pennsylvania and Philadelphia Bar associations. Gilberg graduated from the Widener University School of Law (J.D., 1976) and received a B.A. from Lebanon Valley College in 1973.

Clients are surveyed on a broad range of issues, including client satisfaction and client service.

Mr. Cook concentrates his legal practice on the representation of banks and other businesses in commercial transactions. He has substantial experience in commercial lending documentation, computer contracts and letter of credit law. He has also directed significant internal fraud investigations for clients and successfully defended substantial lender liability claims.

Harris Joins Roundtable on African American Perspectives on Abraham Lincoln
Jenner & Block Partner Philip L. Harris recently joined an assembly of high-profile historians, professors, teachers, congressmen and journalists to engage in a roundtable discussion addressing the legacy of Abraham Lincoln. Among other things, panelists debated President Lincoln’s role in the abolition of slavery following the Civil War and discussed the influence African Americans had on their own emancipation.

“The discussion provokes us to consider what it means to be equal in today’s society,” remarked Mr. Harris at one point during the roundtable, which was organized by the Abraham Lincoln Bicentennial Commission.

“People need to talk more honestly about motive for diversity,” Mr. Harris said. “While it has become more common in law firms and businesses to speak about the business case for diversity, this says nothing about equality itself.”

Some panelists spoke of President Lincoln as a revered leader and a visionary, while others questioned his role in the abolition of slavery. Although opinions differed as to President Lincoln’s motives and legacy, the panelists agreed that the image and reference of Abraham Lincoln can be used as an effective tool to impel national progress toward equality.

“I hope that we continue to evolve in the ways we think about race and equality in the same way that Abraham Lincoln did,” concluded Mr. Harris.

The roundtable, which was held at the Chicago History Museum, was moderated by James Horton, an ALBC Commissioner and a Professor of American Studies and History at George Washington University. Congressman Jesse Jackson, Jr., an ALBC Commissioner presented welcoming remarks.

In addition to Mr. Harris, the panelists included: Lerone Bennett, the executive editor emeritus of Ebony and author of Forced Into Glory: Abraham Lincoln's White Dream; Charles Branham, of the University of Chicago Laboratory Schools, and emeritus professor at Indiana University; U.S. Representative Danny Davis; Adam Green, an Associate Professor of Social and Cultural Analysis at New York University; James R. Grossman, Vice President for Research and Education at Newberry Library; Hermene Hartman, Publisher of N'Digo; Roland Martin, Executive Editor of the Chicago Defender; Cheryl Johnson Odim, Provost & Vice President of Dominican University in River Forest, Illinois; Julieanna Richardson, Executive Director of HistoryMakers, a Chicago-based archive of African American video oral histories; Jacqueline Stewart, Associate Professor of Radio, TV & Film at Northwestern University; Dawn Turner Trice, novelist and columnist at the Chicago Tribune; and Kyle Westbrook, an award winning teacher at Walter Payton College Prep in Chicago.

The United States Congress created the ALBC in 2000 to encourage Lincoln observances and to emphasize the contribution of his thoughts, ideas and actions in the period leading up to the Bicentennial of his birth.

Concord is a joint venture between Winthrop Realty Trust and Lexington Realty Trust in which each company owns a 50 percent stake. The CDO was issued by two newly formed subsidiaries of Concord and is the first step in the establishment by Winthrop and Lexington of a mutually owned debt platform, which the companies plan to significantly expand in the future.
Timothy G. Little, a New York-based partner in Katten’s Real Estate Practice, acted as lead counsel for Concord. Additional members of the Firm’s legal team that were involved in the CDO included partners Mark I. Fisher, Jill E. Darrow, Richard Hoagland and Jeff J. Friedman, as well as associates Audrey Y. Chen, Gabrielle M. Lawlor, Michael H. Williams, Merritt A. Pardini, Julie A. Velasquez and Jarrod N. Weber. All attorneys are based in the Firm’s New York office.

Upon closing of the CDO, an aggregate of $377 million of investment grade-rated debt was issued. Concord retained an equity interest in the portfolio with a notional amount of $88 million. The notes have an initial weighted spread of approximately 50 basis points over one-month LIBOR and the facility has a five-month replenishment period that allows the principal proceeds from repayments of the collateral assets to be reinvested in qualifying replacement assets, subject to certain conditions.

The offering of the notes evidencing the collateralized debt obligations was made pursuant to a private placement. The notes were issued under a common indenture and, initially, are secured by a portfolio of real estate related assets and cash with a face value of approximately $465 million, with real estate-related assets consisting primarily of whole loans, mezzanine loans and participations."
