KEXIM Bond Offering
Davis Polk & Wardwell advised Citigroup Global Markets Limited, DEPFA BANK plc, Deutsche Bank AG, Merrill Lynch, Pierce, Fenner & Smith Incorporated and UBS AG as joint lead managers in connection with a Schedule B debt offering by The Export-Import Bank of Korea of €750 million in aggregate principal amount of its 4.625% notes due 2017.

The Davis Polk corporate team included partner Eugene Gregor of the Tokyo office and associates Hyun Kim and Kee Won Shin of the Hong Kong office. Partner John D. Paton and associate Brian Radigan of the London office provided tax advice.

SQUIRE SANDERS NEW PARTNER CLASS DRAWS FROM OFFICES WORLDWIDE
Global law firm Squire, Sanders & Dempsey L.L.P. drew from its offices in Asia, Europe and the United States in naming 11 new partners in the corporate, intellectual property, labor and employment, litigation, public finance and real estate practices.

“We are very pleased to announce these new partners, who join the partnership from offices across the globe and represent a wide range of key firm practices,” said R. Thomas Stanton, the firm’s chair. “These talented and energetic individuals share an important set of common traits – outstanding lawyering ability, unquestioned integrity, great institutional loyalty and an unswerving commitment to serving their clients’ needs.”

The new partners are:

* Cipriano S. Beredo III, a corporate lawyer in the Cleveland office, regularly advises public companies, privately held businesses and financial institutions on mergers and acquisitions, securities and corporate finance transactions and a wide range of corporate governance and general business matters. He has particular experience representing corporations and private equity firms in complex multijurisdictional acquisition and divestiture transactions. Beredo has significant involvement in the firm’s sports and entertainment practice, advising clients on endorsement and performance contracts and license agreements. He received his J.D., cum laude, from Indiana University in 1999, where he was associate editor of the Federal Communications Law Journal, and his B.A. from Miami University in 1994.

* Pierre H. Bergeron, a litigation lawyer in the Cincinnati office, has established himself as a premier appellate litigator as part of the firm’s federal appellate and Supreme Court practice. He recently participated in a landmark arbitration case that was decided by the US Supreme Court and will argue before the Court on another case this term. Bergeron also handles a variety of complex civil litigation matters including class action defense and arbitration enforcement. He has extensive pro bono experience. He has served as an adjunct professor of the Sixth Circuit appellate practice and frequently publishes and speaks on appellate practice issues. He received his J.D. from the University of Virginia in 1999 and his B.A., cum laude, Phi Beta Kappa, from Centre College in 1996.

* Patrick D. Cornelius, a corporate lawyer in the Columbus office, has broad experience in US and non-US transactional and business projects including mergers and acquisitions, private equity and joint venture transactions, corporate governance and board counseling matters, intellectual property commercial transactions and public-private partnerships. Cornelius handles matters for clients in a wide range of industries including manufacturing, technology and health care. He received his J.D. in 1997 from the University of Virginia, where he was a member of the Virginia Tax Review. He received his B.A., with high honors, from the University of Notre Dame in 1993.

* Radek Janecek, a corporate lawyer in the Prague office, is an experienced mergers and acquisitions and corporate finance lawyer who has also served as the lead on several complex real estate development projects. Janecek, who has been with Squire Sanders since he graduated from law school, has practiced in the United States and is a member of the New York State Bar. He received his LL.M. in 1997 from The George Washington University and his magistrate’s degree from Univerzita Karlova in 1996.

* Jill S. Kirila, a labor and employment lawyer in the Columbus and Cincinnati offices, is an experienced counselor and litigator with particular expertise in wage and hour class actions, trade secrets and covenants not to compete. She also works on complex business litigation matters and on employment issues stemming from restructurings and other transactions. Kirila received her J.D. in 1997 from Georgetown University and her B.A., summa cum laude, Phi Beta Kappa, from The Ohio State University in 1994.

* Mark Lupkowski, an intellectual property lawyer in the San Francisco and Houston offices, focuses his practice on patent prosecution in connection with chemical and life sciences technologies. A former senior research engineer, Lupkowski holds a doctorate in chemical engineering and combines approximately 10 years of academic and industrial experience with his legal expertise to represent clients in the chemical, medical device and software technology industries. He also oversees the intellectual property needs of the firm’s Japan-based clients. Lupkowski received his J.D. in 1999 from the University of Texas in Austin; his M.B.A. in 1995 from Our Lady of the Lake University; his Ph.D. in 1988 from the University of Massachusetts and his B.S. in 1984 from Cornell University.

* Christopher J. Miner, a corporate lawyer in the Phoenix office, represents investment banks and corporations in capital market and cross-border transactions including debt and equity offerings, merger and acquisitions transactions and debt restructurings. He has extensive experience with all aspects of the 1933 Securities Act registration process and 1934 Securities Exchange Act compliance requirements. In addition, he counsels clients in corporate governance and general corporate matters including bank credit and financing, employment agreements and asset purchase and sale transactions. He received his J.D., cum laude, in 1999 from Brigham Young University, where he was a senior editor of the BYU Law Review, and his B.A. in 1996, also from Brigham Young University.

* Saburo Nakao, a corporate lawyer in the Tokyo office, advises clients on various international transactions such as cross-border mergers and acquisitions, joint ventures and other strategic alliances and investments, licensing and technology transfers. Nakao applies extensive knowledge of both US and Japan law to serve the needs of clients in Japan and others with business interests there. He received his LL.M. in 1996 from New York University and his M.A. in 1995 from Doshisha University.

* Terence L. Thomas, a real estate lawyer in the Cleveland office, provides advice and counsel to clients regarding a wide range of corporate and real estate transactions. He has significant experience dealing with real estate for retail, office, multifamily, industrial (including brownfields) and hospitality uses, and provides real estate support to Squire Sanders’ corporate and public sector clients. He is active in the Real Estate Section of the Cleveland Bar Association, serving in various leadership capacities as co-chair, panel moderator and speaker at seminars sponsored by the association and the firm. He received his J.D. in 1994 from The Ohio State University and his B.S. from Cornell University.

* Harriet M. Welch, a public finance lawyer in the Los Angeles office, focuses her practice on public finance, project finance, securities and municipal bond issues. With more than 20 years of practice in California and nearly 30 years as a municipal bond attorney, she has been instrumental in developing the firm’s public finance practice in California. She represents California bond issuers, investment bankers, letter of credit banks and borrowers on tax exempt financings, and has led more than 70 significant California public finance engagements including bond counsel engagements and underwriters’ counsel representation for national and regional underwriters. She is a past president of the California Association of Bond Lawyers and a current member of the Executive Committee of the Board of the Los Angeles Economic Development Authority. Her clients include the County of Los Angeles, many of the top higher education institutions in California and the State Public Works Board of the State of California. She received her J.D. in 1978 from The Catholic University of America, where she was a member of the Catholic University Law Review, and her B.A. in 1975 from Loyola University in New Orleans.

* Andrew J. Wilkinson, a corporate lawyer in the London office, leads the Squire Sanders commercial and technology law practice in the United Kingdom. He advises UK and international businesses in a range of different sectors in relation to general commercial matters including procurement, agency and distribution agreements, joint ventures and dispute resolution. Wilkinson also advises both suppliers and users of hardware, software, systems integration services, managed services and technology consultancy services in relation to technology research and development, intellectual property rights protection and exploitation of technology and intellectual property rights including through strategic alliances, joint ventures and reseller and partnering arrangements. He completed his Law Society Finals in 1991 at the College of Law, Guildford and received his LL.B., with honors, in 1990 from University College of Wales.

Stroock Expands Tax Certiorari Practice: Glenn Borin and Joseph Giminaro Named Co-Managers of Practice
Stroock & Stroock & Lavan LLP, a national law firm with offices in New York, Los Angeles and Miami, announced today that Glenn Borin has joined the firm as Co-Manager of the firm’s Tax Certiorari Practice. Additionally, the Firm has elevated Joseph B. Giminaro to Co-Manager of its newly expanded practice, which now includes nine attorneys and four paralegals.

“We are pleased to have someone with Glenn’s high profile public sector real estate experience join our practice. It is a natural fit with our work on some of the largest real estate transactions,” said Leonard Boxer, chairman of Stroock’s Real Estate Practice and head of the Tax Certiorari Practice. “Joe has been an integral part of our department for many years. He is very skilled in handling major real estate tax cases before the NYC Tax Commission and in pre-trial settlement negotiations. I am excited to have both of them on our team.”

Mr. Borin, (52), comes to Stroock as the former Chairman of the Assessment Review Commission for Nassau County, New York, where he led reform of the County’s assessment review procedures. Prior to that, he was the Deputy Commissioner of the NYC’s Department of Finance where he managed the 400-employee Property Division. Additionally, he represented the Finance Commissioner in discussions with the State Board of Real Property Services, State Legislature, City Council and real estate industry organizations, and oversaw annual mass appraisal of 970,000 parcels, yielding $8 billion in property taxes. Mr. Borin was also the Chief of Staff and Counsel for the Tax Commission.

Mr. Giminaro, (48), has represented many large property owners and numerous high profile buildings in the City of New York. Prior to Stroock, he headed the Tax Certiorari departments at both Graubard Mollen & Miller and Shea & Gould. He successfully negotiated one of the City’s largest real property tax settlements, resulting in over $300 million in assessment reductions. In his career, he has successfully negotiated multi-million dollar assessment reductions for a wide variety of properties, including major office buildings, industrial and commercial facilities, hotels, shopping centers and malls, television studios, special franchises, and residential cooperatives and condominiums. Mr. Giminaro is also the former Chief Real Estate Tax Counsel to the NYC Department of Finance.

Stroock’s Tax Certiorari Practice represents commercial, retail, hotel and residential property owners in administrative and judicial proceedings protesting real property assessments in New York City and throughout the nation. In addition, Stroock represents owners and developers in negotiating and obtaining valuable tax incentives and exemptions, such as those emanating from the ICIP, as well as advising on the real estate tax structures in PILOT agreements for important sites such as the World Trade Center and Battery Park City. Stroock also provides tax projections for new acquisitions and development projects. Stroock is involved in cutting edge real estate tax reforms and works closely with such notable industry groups as the Real Estate Board of New York.

Stroock Expands Intellectual Property Practice Brian Rothery Joins as Partner
Stroock & Stroock & Lavan LLP, a national law firm with offices in New York, Los Angeles and Miami, announced that Brian M. Rothery has joined the firm’s Intellectual Property Practice Group as a Partner, effective today.

“Brian is an important addition to our firm. In addition to his broad IP experience he will add considerable depth to our medical device and consumer products practice,” said Steven Pokotilow, co-chair of Stroock’s Intellectual Property Practice Group.

Mr. Rothery, (41), joins Stroock from Jones Day’s New York office where he was a Partner and co-chair of the Mechanical Technologies/Medical Device Group. Prior to Jones Day, he was a Partner at Pennie & Edmonds until 2003. He has litigated federal patent and trademark and state unfair competition and business tort claims for plaintiffs and defendants. Mr. Rothery’s practice also includes counseling of clients on clearance issues and the development of international and domestic intellectual property portfolios.

Jaffe Named Commissioner of Phila. Board of Revision of Taxes
Paul Jaffe was recognized in a recent article in The Legal Intelligencer discussing a meeting of Philadelphia’s common pleas judges, who voted on two available seats for the Board of Revision of Taxes (BRT). The article, titled “Big Names Press for Board of Revision of Taxes Appointments,” explained that the Board of Revision of Taxes is the City agency whose staff is charged with establishing real property values, which serve as the basis for real estate taxes levied by the City of Philadelphia. The board consists of a seven-member panel (appointed by the judges of the first Judicial District of Pennsylvania) that hears all appeals of property valuations filed by City property owners. In addition to the panel, Philadelphia Common Pleas President Judge C. Darnell Jones II appointed interim members of the County Board of Elections. Paul was one of three retired city trial judges to be appointed as an interim commissioner.

Eric P. Stauffer Receives the MEREDA 2007 Volunteer Of The Year Award
Preti Flaherty Partner Eric P. Stauffer has been awarded the 2007 Volunteer of the Year Award by The Maine Real Estate & Development Association (MEREDA). The award was presented to Rick at MEREDA’s Annual Real Estate Forecast Conference for his “outstanding leadership in MEREDA’s Legislative Initiatives and dedication over the past year.” MEREDA’s Volunteer of the Year Award is presented to individuals who “willingly and enthusiastically volunteer their time and energy to the association’s initiatives.”

Rick is also the recipient of the Public Policy Advocacy Award in 1992 and the Founder’s Award in 2002 from the Maine Real Estate Development Association in connection with his efforts as a member of its Legislative Committee, which he has chaired or co-chaired since the early 1990's. He practices with Preti Flaherty’s Business Law and Real Estate Practice Groups and is the former Business Law Group Chair. He handles all types of commercial transactions, with emphasis on buying and selling businesses and structuring business relationships. Rick resides in Portland, Maine.

Perkins Coie Adds Partners from Mayer, Brown and Jenner & Block
Perkins Coie is pleased to announce that Michael Warnecke, Jill Sugar Factor and Teri Lindquist have joined its Chicago office. Warnecke joins the firm from Mayer, Brown, Rowe & Maw where he was the longtime head of the firm's Intellectual Property practice. Both Factor and Lindquist come from Jenner & Block and will be part of Perkins Coie's Business Law group, focusing primarily on private equity and related practices.

At Mayer Brown, Warnecke (65) focused his practice on major patent litigation cases, including international patent, technology licensing and other intellectual property matters. He has been first chair on numerous patent litigation cases in which he represented companies such as Caterpillar, Inc., Brunswick Corp., MetLife and Mitsubishi Corp. In one of the most significant cases of his career, Warnecke obtained successful damages and injunctive relief for Rockwell International on a major trade secret matter. The case was later affirmed on appeal where it garnered substantial national media attention for its innovative use of computer graphics to present evidence.

"We are delighted that Mike, Jill and Teri have joined the Firm," said Chris Wilson, Chicago office managing partner. "Jill's and Teri's practices will be a tremendous complement to our existing transactional practice, and Michael will be an asset to our strong intellectual property practice. Their experience and professionalism will further enhance the service we provide our clients."

In the 1990s, Warnecke was selected by the People's Republic of China trade delegation, led by Vice Premier Li Lanqing, to host a two-day seminar for American automotive and after-market companies, as well as the Chinese delegation on the legal aspects of doing business in China.

At the request of the Chinese government, he provided advice on the redrafting of the 1984 Patent Act. Similarly, in 1993, he provided advice on the Unfair Competition Act, which was adopted in 1994.

Warnecke earned his J.D. from George Washington University in 1967, and his B.S. in mechanical engineering from Purdue University in 1963.

"I look forward towards building Perkins Coie's Intellectual Property group to an even bigger platform worldwide," says Warnecke.

While at Jenner & Block, both Factor and Lindquist focused their practices on private equity, mergers and acquisitions, corporate finance and restructurings, and represented a wide range of clients in a broad spectrum of transactions.

"We are excited to be joining Perkins Coie," said Lindquist.

"We are impressed with the quality of their work and reputation in the market and are eager to be a part of the team," added Factor.

Factor (45) has represented several prominent private equity firms in mergers and acquisitions, capital market transactions and equity financings. Her experience includes counseling clients with respect to investments in more than 30 venture capital, private equity and other funds. She has also represented public companies, such as General Motors Corp., in a variety of strategic, capital market, financing and other transactions.

Prior to joining Jenner, Factor was executive vice president and general counsel of UNext, an Internet education company, where she was a member of the senior management team and responsible for legal affairs. She joined UNext in 1999 after being a partner in the Chicago office of Kirkland & Ellis for eight years.

Factor graduated summa cum laude from Northwestern University Law School in 1986, where she was elected to the Order of the Coif and received the John J. Stevens Award for Academic Excellence. She received an M.B.A. in 1983 from Washington University. She also earned her B.S.B.A. from Washington University in 1982, where she was a Chancellor’s Scholar and graduated with Senior High Honors.

Lindquist (47) focuses her practice on all aspects of private equity, including fund formation, fund investment, representing private equity firms in complex financing transactions in connection with leveraged mergers and acquisitions, and representing portfolio companies in workouts, DIP facilities, exit financings and distressed debt purchases and sales. She joins the firm after serving as chair of the Corporate Finance Practice at Jenner & Block. Prior to joining Jenner & Block, she was a partner at Kirkland & Ellis.

Lindquist received her J.D., from Northwestern University School of Law in 1986, and her B.A., cum laude, from the State University of New York in 1981.
