Chadbourne Represented ISA Capital of Brazil in $554 Million Bond Offering
Chadbourne & Parke LLP represented ISA Capital do Brasil, the holding company through which Group ISA acquired Companhia de Transmissao de Energia Eletrica Paulista ("CTEEP"), in a $554 million bond offering. The transaction was nine times oversubscribed.

The offering of notes, done through JP Morgan, ABN AMRO Bank NV and ABN AMRO Inc. acting as initial purchasers, consisted of two tranches: a $200 million offering of 5-year notes with a 7.875% interest rate, and a $354 million offering of 10-year notes with an 8.8% interest rate.

The deal closed on January 29, 2007.

The notes are listed on the Luxembourg Stock Exchange.

Working for Chadbourne on the deal were Washington DC partner Kenneth Hansen, Latin America counsel Carlos Albarracin in New York and associates Luis Wielewicki, Ana Domene and Aileen Gien. Additionally, New York partner Barry Dinaburg and associate Erez Tucner provided tax advice.

The proceeds of the notes will be used to repay certain interim financing arrangements entered into by ISA Capital do Brasil to finance the acquisition of CTEEP in the initial privatization process and a subsequent tender offer during 2006 and early 2007.

CTEEP is Brazil’s second-largest electricity transmission company in terms of revenues.

The notes are secured by a first priority pledge over the current and future CTEEP's shares owned by ISA Capital do Brasil, which currently represent 37.4% of the company's total capital and 89.4% of its common share capital.

Trial Practice Prevails in Appellate Case for Energy Client
Bracewell & Giuliani LLP secured an appellate win for client Crosstex Energy L.P., when the Court of Appeals, Thirteenth District of Texas affirmed the lower court's decision.

Bracewell trial partner Roberta J. Hegland successfully argued there was no evidence that Crosstex, a midstream energy services company, breached its contract or that the company made false and negligent misrepresentation claims to MPG Petroleum Inc., an oil and gas developer.

Based in the Austin office of Bracewell, Ms. Hegland is board certified in civil trial law and personal injury trial law by the Texas Board of Legal Specialization.

Firm Lends Pro Bono Support in Student Civil Rights Matter
Willkie has partnered with the American Civil Liberties Union and the American Way Foundation in a high-profile civil rights matter involving a New Jersey high school student who blew the whistle on a teacher who was proselytizing in class, a violation of the Constitutional separation of church and state. As reported widely in the press, including the February 20 New York Times, the firm is representing high school junior Matthew LaClair and his family in their effort to get the Kearny School District to implement a policy to ensure that the teacher’s classroom religious advocacy is stopped and would not be repeated, and that his erroneous statements regarding evolution and the big bang theory be corrected. Willkie partner Richard Mancino, who is handling the matter, was quoted in the New York Times, stating that he did not understand why school officials would not “standup for this student, who had the guts to raise this constitutional issue.” Instead, they appear “to have adopted a shoot-the-messenger-policy.”

Matthew brought the matter to the attention of the School Board in September 2006 and after months of inaction was forced to go public in November 2006. Since then he has been subjected to harassment and threats. On February 13, the family filed a torts claim notice, which is a necessary first step in bringing a lawsuit against the School Board.

At a recent press conference, Mr. Mancino stated, “it is clear to us that the Board and the Kearny High School administration remain disturbingly unconcerned by serious violations of the Establishment Clause of the United States Constitution and, instead, view Matthew as the problem. Because the school has failed to stand up for Matthew and support his stance against the imposition of a particular religious viewpoint in the classroom, Matthew continues to endure taunts and profanity by other students, as well as threats to his physical safety that required intervention by the police. Worse yet is the school’s failure to protect Matthew from continued harassment and retaliation.” The ACLU underscored that the school “violated the spirit and the letter of freedom of religion and the First Amendment.
