David Durfee Named Winner in Arts Competition
Phoenix-based Gallagher & Kennedy, P.A., a full service business law firm, today announced that shareholder David A. Durfee has been honored in the Arizona Attorney 2007 Creative Arts Competition.

Mr. Durfee’s three photographs, “Prickly Pear,” “Churro Sheep” and “Poblet Monastery,” were recognized and deemed winners among the largest group of submissions Arizona Attorney has considered in the last three years. His winning photographs are expected to be published in the magazine’s April 2007 issue. An avid photographer, Mr. Durfee’s work is exhibited in the Sedona Arts Center and he continues to be acknowledged for his ability to capture unique images and make them more interesting than real life.

Mr. Durfee’s practice at Gallagher & Kennedy includes land use, real estate development and real estate finance. He is also involved in all aspects of commercial, residential, and industrial real estate acquisition and development. Mr. Durfee is certified as a specialist in real estate law by the State Bar of Arizona, a contributing author of the Commercial Real Estate Transaction Manual, and was selected for “The Best Lawyers in America® 2007.”

A member of the Homebuilder’s Association of Central Arizona and the Arizona Management Society, Mr. Durfee lectures before professional and trade organizations regarding real estate transaction matters. He earned his juris doctor with honors at Arizona State University in 1978. He holds both a Master of Business Administration and a bachelor’s degree from Brigham Young University.

Davis Polk Advises Scania on Its Successful Defense of an Unsolicited Offer by MAN AG
Davis Polk & Wardwell advised Scania AB in connection with its successful defense of an unsolicited tender offer by MAN AG for 100% of Scania's outstanding share capital.

Based in Sweden, Scania AB is one of the world's leading manufacturers of trucks and buses for heavy transport applications, and of industrial and marine engines. Based in Germany, Man AG is a German commercial vehicle and industrial equipment group.

The Davis Polk team included partners Thomas J. Reid and John K. Knight of the London office and George R. Bason Jr. of the New York office, and associates Jeffrey R. O'Brien and Sapna Dutta of the London office and Loïc Henriot of the Paris office.

Waters & Kraus Announces New Partners, New Offices
Waters & Kraus, LLP, a leading plaintiffs’ firm with Apr-07 national practice in personal injury and complex civil litigation, announced today the selection of Charles E. Valles, Paul C. Cook, Gary M. Paul, and Sean P. Tracey, as partners. The partnerships became effective January 1, 2007.

Together, they represent some of the greatest legal minds in the country who have helped us achieve an exceptional level of client service and firm success. Mr. Valles, who joined the firm in 2002 and has participated in prosecuting some of the firm’s most noteworthy asbestos cases, is based at the firm’s headquarters in Dallas. Mr. Cook, who focuses his practice on toxic tort litigation and appellate work, is based at the
firm’s Los Angeles office. He joined Waters & Kraus in 2002.

Mr. Paul also is based in Los Angeles. Paul, a CAALA Trial Lawyer of the Year, noted author and presenter, and widely respected trial attorney, joined the firm last winter. Mr. Tracey, a noted Houston plantiffs’ attorney, joined the firm in February of this year, and is based in Houston. In related news, the firm also confirmed the opening of an office in Baltimore/ Washington, D.C., and another in Houston, Texas. The Baltimore/Washington, D.C., office allows the firm to better serve clients in the Northeast, while the new office in Houston provides clients in South Texas greater access to the firm’s growing product liability and personal injury practices.

“WK takes more individual mesothelioma cases to verdict than any other plantiffs’ firm in the country,” said Andy Waters, the firm’s co-founder. “Last year, we won four multimillion verdicts, two for more than $10 million. H3GM advises Central Parking Corp. in sale valued at over $900 million
H3GM advised Central Parking Corporation (NYSE:CPC) in its agreement and plan of merger with KCPC Holdings, Inc. for $22.53 per share in cash, a premium of approximately 30.8% over the company’s closing share price on November 27, 2006. Central Parking Corporation’s Board of Directors, following the unanimous recommendation of a Special Committee, approved the merger agreement and will recommend approval by its shareholders.

H3GM has represented Central Parking Corporation for more than ten years. This representation has involved general corporate law, securities, litigation, and mergers and acquisition assistance. Significant transactions include Central Parking’s 1995 initial public offering, the acquisition of Kinney System in 1998 and Allright Holdings in 2000, and its Dutch Auction Tender Offer in 2005.

Central Parking Corporation, headquartered in Nashville, Tennessee, is a leading provider of parking and transportation-related serves. The company operates more than 3100 parking facilities containing approximately 1.5 million spaces at locations in 37 states, the District of Columbia, Canada, Puerto Rico, Chile, Colombia, Peru, the United Kingdom, the Republic of Ireland, Spain, Greece, Italy and Switzerland.

Hawkins Serves as Bond Counsel to Whelan Energy Center
The Cities of Grand Island, Nebraska City and Hastings, Nebraska, have joined the Municipal Energy Agency of Nebraska and Heartland Consumers Power District (South Dakota) to form the Public Power Generation Agency (“PPGA”) to finance a new energy-generating facility, the Whelan Energy Center Unit 2. The Whelan Unit 2 facility will be a 220 MW pulverized coal-fired generating unit, along with pollution control equipment, a cooling tower, water treatment facilities, and transmission lines to connect the project with the regional grid. PPGA will be the sole owner of the facility, which is expected to be completed in 2011.

In February 2007 Hawkins Delafield & Wood LLP served as Bond Counsel to PPGA in the issuance of $504,720,000 Whelan Energy Center Unit 2 Revenue Bonds, 2007 Series A, which was the first issuance of tax-exempt debt by this issuer. Hawkins has served as either bond counsel, underwriter’s counsel or special counsel for many of the significant first-time issuers and new security structures developed by public authorities and municipal issuers in the last 30 years, and in connection with these activities created or participated in the development of enabling legislation, bond resolutions and indentures and financing and disclosure documents. The firm is ranked #1 bond counsel in public power issuance by Thomson Financial since such rankings have been maintained.

WCM Victorious in New York Second Department Appeal
Senior Partner John Mulcahy was victorious in a New York Second Department appeal. In the case of German v. STS Resort, the plaintiff, a patron at our client’s hotel, slipped and fell while playing ping pong. She suffered various physical injuries as a result.

At the close of discovery, we moved for summary judgment. We argued that since plaintiff could not articulate a reason for or cause of her fall, she was unable to make out a prima facie case of negligence. The plaintiff opposed and argued that there was a question of fact as to whether the hotel’s negligence caused the accident. The trial court agreed with our analysis and dismissed plaintiff’s complaint.

Plaintiff appealed the trial court’s decision to the Second Department. After hearing oral arguments, the Second Department unanimously affirmed the trial court’s decision.
