Novack and Macey LLP Reigns in Opposing Counsels’ Improper Deposition Tactics
Recently, while taking the deposition of a defendant in a pending action, Eric Macey was confronted with an opposing counsel who made argumentative and highly disruptive speaking objections, and engaged in other unprofessional behavior. To stop opposing counsel’s interference with future depositions, Mr. Macey and his colleague, Courtney Tedrowe, asked the Circuit Court of Cook County for a protective order regulating counsels’ conduct at depositions. In support of the Motion, Messrs. Macey and Tedrowe submitted a DVD to the Court containing the “low lights” of opposing counsel’s misconduct at the deposition. After reviewing the DVD and hearing argument, the Court -- in a victory not only for the firm’s clients, but also for attorney civility and the litigation bar generally -- granted the Motion and entered a protective order directing counsel to behave appropriately during all future depositions.

NEWMEYER & DILLION LLP NAMES SHANE COONS A PARTNER
To further its continuing growth, business and real estate law-firm Newmeyer & Dillion LLP has elected Shane E. Coons a partner in its Newport Beach headquarters office.

Previously an associate at the firm, Coons practices in the areas of business and real estate litigation and insurance law, with an emphasis on partnership, contract and real estate-related disputes. He has also represented clients in complex litigation, including mass tort and insurance issues.

“We are proud to elevate Shane to partner and look forward to his continued outstanding efforts,” said Tom Newmeyer, co-founding partner. “He has proven himself an invaluable member of our real estate practice, and we look forward to his ongoing contribution to the firm and its clients.”

Coons obtained his Juris Doctorate at Loyola (Los Angeles) Law School, where he was a Law Review Articles editor and was voted Editor of the Year. He earned his Bachelor of Arts degree in economics from Stanford University.

Now in its 22nd year and with a second office in Walnut Creek, Newmeyer & Dillion LLP employs more than 50 lawyers providing litigation and transactional services in a wide range of business, real estate and financial services matters.

NEWMEYER & DILLION LLP NAMES NEW PARTNER, ADDS 2 NEW ASSOCIATES
Business and real estate-law firm Newmeyer & Dillion LLP continues to grow, adding two new lawyers to its Newport Beach headquarters.

Joining the firm’s burgeoning transactional practice is Diana Chen, focusing on real estate and corporate law, while Shawn Ratcliff has been added to the highly regarded litigation group, where he specializes in business, construction and real estate.

“We welcome Diana and Shawn, whose expertise will further enhance our litigation and transactional practices to serve our growing list of clients,” said Tom Newmeyer, co-founding partner.

Ratcliff earned his Juris Doctorate from Columbia Law School. While there, he participated in the Jerome Michael Jury Trial Competition and volunteered with the Legal Aid Society of New York. Ratcliff is a magna cum laude graduate of Marshall University with a B.B.A. degree in economics and minor in journalism.

Diana Chen received her law degree from the University of California Hastings College of the Law, where she was a member of the Hastings Communications and Entertainment Law Journal. While in law school, Chen served as a judicial extern for the Honorable Saundra Brown Armstrong of the United States District Court, Northern District of California.

CHARLES W. HILL NAMED CHAIR OF LITIGATION DEPARTMENT AT GLANKLER BROWN, PLLC
Memphis, TN- Charles W. Hill, a member of Glankler Brown, PLLC has been named Chair of the firm’s Litigation Practice Group.

Mr. Hill consults with employers concerning employment law decisions regarding their workforce, including discipline, discharge and the implementation of specific policies to ensure compliance with existing employment law, particularly the application of federal and state discrimination statutes. Mr. Hill provides advice and consultation concerning the purchase of employment practices liability insurance including addressing potential coverage issues. Mr. Hill is panel counsel for certain national insurance carriers providing employment practices liability insurance.

Mr. Hill regularly represents employers in the defense of claims filed with the EEOC and State Human Rights Commissions. He regularly represents employers in federal and state courts in the defense of employment law claims.

He also maintains an active broker/dealer litigation practice. He regularly represents brokers/dealer and securities representatives in securities arbitration before the National Association of Securities Dealers and in securities litigation brought in the federal and state courts.

In addition, Mr. Hill has extensive experience representing clients involved in litigation over restrictive covenants, covenants against disclosure of proprietary information and the protection of trade secrets.

Mr. Hill received his J.D. from University of Memphis, having attended Millsaps College and the University of Mississippi for undergraduate studies. He is a member of the Defense Research Institute, a fellow of the American College of Trial Lawyers and serves on the Board of Directors of the Memphis Regional Chamber of Commerce. Mr. Hill is also an arbitrator for the National Association of Securities Dealers.

GLANKLER BROWN, PLLC ATTORNEY GEORGE J. NASSAR NAMED CHIEF MANAGER
Memphis, TN- Glankler Brown, PLLC is pleased to announce that member George J. Nassar, Jr. has been named Chief Manager of the firm.

Mr. Nassar has over 20 years of legal experience in the areas of estate planning, probate, tax planning and business transactions. His area of expertise includes estate planning for individuals with international holdings, and formulating sophisticated tax planning and wealth transfer techniques for clients with significant assets. He counsels clients with respect to mergers and acquisitions and regularly structures and negotiates complex business transactions. In addition, Mr. Nassar represents business clients in disputes with the Internal Revenue Service and various state revenue agencies.

Mr. Nassar frequently lectures on tax, business and estate planning topics for local and national organizations, such as the National Business Institute and various bar associations. He also serves as a Special Judge in the Probate Court of Shelby County, Tennessee. He has been elected as a Fellow of the American College of Trust and Estate Counsel and is a member of the Memphis Estate Planning Council.

Mr. Nassar has served on the Board of Directors of several charitable, educational and other non-profit organizations, including service as Chairman of the Finance Committee at St. Peter’s Catholic Church, as well as President of the University Club and a member of its Board of Directors. He also currently serves as Chairman of the Finance Committee at Glankler Brown.

Mr. Nassar received his B.B.A. degree in accounting in 1977 and his J.D. degree in 1980 from the University of Mississippi. He received his LL.M. in taxation, with honors, from Washington University in 1981.

Gide Loyrette Nouel Casablanca advised Banque Centrale Populaire, a Moroccan bank, in connection with a financing offer worth US$ 100 million:
The Gide Loyrette Nouel Casablanca office advised the Moroccan bank, Banque Centrale Populaire (BCP), in connection with a financing package worth around US$ 100 million granted by BCP and BMCE Bank (Morocco) to the Moroccan shipping company, International Maritime Transport Corporation (IMTC) for the acquisition of four 1 700 TEU container ships.

The Danish giant, Maersk, is to charter these latest generation vessels.

Hicham Naciri, partner, led the Gide Loyrette Nouel legal team acting for BCP in this deal, assisted by Thomas Urlacher and Wacef Bentaibi.

BeVocal and Nuance to Merge
Davis Polk & Wardwell is advising BeVocal, Inc. on its merger with Nuance Communications, Inc. BeVocal is a provider of self-service customer care software for the mobile communications market. Nuance is a supplier of speech and imaging software.

According to the terms of the merger agreement, total consideration is approximately $140 million in cash and stock, and includes the potential for additional cash consideration of up to $60 million in the form of an earnout, based on performance targets and payable 18 months after closing. The transaction is subject to customary closing conditions, including approval of BeVocal’s shareholders and regulatory clearances.

The Davis Polk corporate team includes partners Alan F. Denenberg and Julia K. Cowles and associates Sam Kelso and Robert J. Maynes. Partner Rachel D. Kleinberg is providing tax advice. Associate Cynthia Akard is providing employment advice. Partner Steven S. Weiner is providing intellectual property advice. All members of the Davis Polk team work in the Menlo Park office.
