Jerome Quoted in Daily Deal
John J. Jerome, a Partner in the Bankruptcy and Restructuring Department, was quoted in this article about the current status of bankruptcies being at an all-time low.

With loan default rates also at a record low, narrowing lending spreads and money pouring into high-yield debt, some are declaring that the end of corporate distress is nowhere to be seen. Others are wondering what effect the next bankruptcy cycle will have, and when it will appear.

"If we think that this can go on forever, we're not only deluding ourselves, but making it highly dangerous," Mr. Jerome said.

T&K Announces Commitment to "Community of Respect"
Thompson & Knight is the first Houston law firm to join the "Community of Respect" program of the Anti-Defamation League. The program provides tools and resources to help Houston-area organizations fight prejudice, bigotry and discrimination, and engender respect and appreciation for diversity.

By formally committing to the program, Thompson & Knight has agreed to demonstrate the value of diversity and inclusiveness through at least three specific activities this year. The local initiative is actively recruiting businesses, churches and other organizations, and Houston Mayor Bill White and Sugar Land Mayor David Wallace are serving as honorary co-chairmen for the effort.

"This is truly a dynamic, city-wide program and Thompson & Knight can be especially proud of being the first law firm to participate in this effort," says Alfred M. Meyerson, a partner in the firm and board member of the Anti-Defamation League's Southwest region. "We believe it is important to demonstrate to our employees and our clients around the world the actions we are taking to promote and respect diversity within the firm and in our community."

The Community of Respect program is organized by the Anti-Defamation League with the generous support of the Bridgeway Charitable Foundation and other contributors.

TXU Corp. to be Purchased by Private Equity Firms in Record-Breaking LBO
Shearman & Sterling's Finance Group advised on the financing of the largest leveraged buyout to date. Dallas-based energy company, TXU Corp., has agreed to be acquired by private equity firms Kohlberg Kravis Roberts & Co. and Texas Pacific Group for approximately $45 billion.

Investment banks Citigroup, Goldman Sachs, JP Morgan, Lehman Brothers and Morgan Stanley will provide financing for the deal. Two separate teams within the firm's Finance Group represented Goldman Sachs and Morgan Stanley on structuring the deal’s overall financing. A multi-disciplinary due diligence team also worked on the matter. Additionally, the firm will represent Goldman Sachs and Morgan Stanley in the bond underwriting of the financing.

The deal, which is expected to close in the second half of 2007, would top the $25.1 billion KKR purchase of RJR Nabisco as the biggest private buyout ever.

Roger Meltzer joins DLA Piper as Global Chair of the Corporate and Finance practice
DLA Piper today announced that Roger Meltzer, regarded as one of the leading corporate and securities lawyers in the country, will join the firm as Global Chair of Corporate and Finance. He will also be named a member of the firm’s Executive Committee.

In his new role, Meltzer will work closely with the leaders of the firm’s existing practices and with the firm’s joint CEOs on the continued execution of DLA Piper’s strategic plan in New York and around the world. Meltzer’s primary focus for the near term will be to attract and manage significant engagements in New York and to lead the efforts to recruit additional corporate and finance lawyers in that market.

About Roger Meltzer

Meltzer has been practicing law for his entire career at Cahill Gordon & Reindel LLP. He was a member of Cahill’s Executive Committee, Chairman of the Hiring Committee and a partner in its Corporate practice group. He was also heavily involved in the firm’s recruiting efforts and mentorship program.

Taylor joins DLA Piper’s Intellectual Property practice in San Diego
DLA Piper US LLP announced that Stacy Taylor has joined the firm’s Intellectual Property practice group as a partner in the firm’s San Diego office. She comes to DLA Piper from Foley & Lardner LLP.

Taylor focuses her practice on worldwide patent prosecution, trademark registration, licensing and litigation of administrative actions before the United States Patent and Trademark Office. She has extensive experience handling intellectual property matters in such areas as immunology, cellular therapies, gene therapy, molecular biology, drug development and medical devices. Taylor also secures, manages and enforces trademarks for pharmaceutical and consumer products companies.

“Stacy will play a key role in expanding our biotech patent capabilities both in our San Diego office and throughout the firm,” said Dan Christenbury, chair of the firm’s Patent Prosecution practice group. “She will also drive a variety of new business opportunities, pursuing both domestic and international engagements for trademark registration and enforcement, licensing and corporate work, franchise matters, FDA work and patent interference litigation.”

“Stacy is an exceptional attorney with over two decades of experience in the field,” said Lisa Haile, co-chair of the firm’s Life Sciences practice group. “Her addition will accelerate the growth of our Life Sciences practice and help build on our already strong Emerging Growth and Venture Capital practice.”

Taylor represents large academic institutions, as well as for-profit commercial enterprises, with a particular emphasis on start-up ventures. In addition, she co-founded Endicor Medical, Inc., a privately funded corporation specializing in the development and manufacture of medical devices for use in cardiac and peripheral vascular surgery.

Taylor is a member of the International Trademark Association, the Association of University Technology Managers, the Licensing Executives Society, the American Intellectual Property Law Association and the San Diego Lawyer’s Club.

She received a J.D., cum laude, from California Western School of Law, and a B.A. with honors from California Polytechnic State University in biological sciences, with a minor in chemistry.

DLA Piper’s U.S. Patent Prosecution practice group is comprised of more than 50 patent lawyers, located in the Chicago, Philadelphia, Northern Virginia, San Diego, San Francisco, Silicon Valley, Los Angeles and Washington, D.C. offices. Consoli Elected to the Board of Trustees of the Airzona-Sonora Desert Museum
Lewis and Roca is pleased to announce that Carla A. Consoli, a partner with the firm’s Phoenix office, has been elected to the board of trustees of the Arizona-Sonora Desert Museum. This is Consoli’s first year on the Board.

Consoli is a partner and head of the firm's Environmental and Natural Resources practice group. Her practice emphasizes real estate and corporate transactional due diligence, endangered species and habitat compliance, water rights and water availability analysis. Consoli works closely with clients assisting in remedial activities and natural resources evaluations. She negotiates environmental agreements and determines potential and historical environmental liabilities during the acquisition of property, existing facilities and initial development of new facilities. Consoli counsels companies of various sizes to aid their understanding of environmental, water and natural resource laws affecting their business operations. In addition, she also assists clients in acquiring water rights and resolving water law, endangered species and critical habitat issues for agricultural and commercial properties. Consoli received her J.D. from University of Notre Dame in 1991 and her B.A. from Lewis and Clark College in 1987.
