Steve W. Berman to Speak at Climate Change Conference on March 2, 2007
Steve W. Berman, managing partner at Hagens Berman Sobol Shapiro (HBSS) will be speaking at the Climate Change Conference hosted at the University of Washington's School of Law on Friday March 2, 2007.

He will be presenting on 'Climate Change and Litigation Risk' to conference attendees. The presentation parallels the deception of health risks by the tobacco companies, to current day polluters and their failure to accurately communicate the dangerous effects of their products on the environment.

Owens Corning and Saint-Gobain announce $1.8bn global joint venture
Owens Corning, the Ohio, USA-based listed building materials and composites provider, and listed French counterpart Saint-Gobain have announced that they have entered into agreements to form a global joint venture to develop, manufacture, market, sell and distribute glass reinforcements products. The new entity will be called OCV Reinforcements S.P.R.L. and will serve customers with improved technology, an expanded product range and a strengthened presence in both developing and emerging markets, including Europe, North and South America, Asia, China, India, Russia, Mexico and Brazil. Worldwide revenues of the new entity will be approximately $1.8bn (€1.5bn), with 10,000 employees.

International law firm Freshfields Bruckhaus Deringer is advising Saint-Gobain on the joint venture, fielding a team in Paris, Brussels, New York, Washington, Tokyo, Moscow and Beijing, as well as coordinating competition filings in several other jurisdictions.

Owens Corning and Saint-Gobain's worldwide glass reinforcements businesses will go into the joint venture, including plant, property and equipment, working capital, contractual arrangements, customers and intellectual property. Owens Corning will receive 60 per cent and Saint Gobain 40 per cent of the voting and economic interests in the joint venture. After a minimum of four years, Saint-Gobain will have the option to sell its stake to Owens Corning, and Owens Corning will have the option to buy Saint-Gobain's stake. It is expected that the joint venture will close some time during the second quarter of 2007. The deal is subject to antitrust approvals.

Freshfields Paris-based partner Jean-Claude Cotoni, who coordinated the global corporate aspects of the transaction, comments: 'This was a complex transaction requiring the involvement of lawyers from several practice areas and offices across our global network, with activity happening somewhere across the world virtually round-the-clock. Timothy Wilkins, for example, led the New York corporate team in successfully negotiating the novel structure required to contribute the worldwide businesses to the joint venture.'

Brussels-based partner Frank Montag, who is coordinating the global antitrust aspects, comments: 'Because the two companies have operations in so many countries, managing the regulatory issues is particularly important. The transaction requires antitrust notifications in 14 jurisdictions, including to the European Commission and the US Federal Trade Commission, as well as filings on other regulatory matters, including an Exon-Florio filing to the Committee on Foreign Investment in the U.S.'

Real Estate Expert John G. Cameron, Jr. Joins Dickinson Wright in Grand Rapids
Nationally recognized real estate and construction law expert John G. Cameron, Jr. has joined Dickinson Wright PLLC in Grand Rapids, Michigan.

"We are delighted to welcome one of the legal profession's most talented and respected real estate attorneys to Dickinson Wright's Grand Rapids office," said James A. Samborn, Chief Executive Officer. Mr. Cameron joins Dickinson Wright from Warner Norcross & Judd, where he has practiced since 1978.

As an expert in real estate transactions and construction law, Mr. Cameron has provided counsel to clients involved in virtually all aspects of the real estate development process.

"Dickinson Wright's real estate practice continues to experience significant growth, both regionally and nationally," Mr. Samborn said. "We are very enthusiastic about the level of expertise that Mr. Cameron brings to our Firm, and the impact we expect it will have on the continued expansion of this exciting area of our practice."

Mr. Cameron is active in national real estate organizations, including as an elected member of the American Law Institute and the American College of Real Estate Lawyers. He is a member of the Real Estate Board of Advisors to the ALI-ABA and previously was a member of the National Board of Editors of The Practical Real Estate Lawyer. He has been listed in The Best Lawyers in America since 1996 and was named a Top 100 Super Lawyer in the 2006 edition of Michigan Super Lawyers.

Mr. Cameron's community involvement activities include serving on the Board of Trustees of the Mary Free Bed Hospital and Rehabilitation Center, currently as Chairman. He serves as a fellow for the Michigan Bar Foundation. Mr. Cameron formerly served as a director of the Urban Institute for Contemporary Art, and also has served as an adjunct professor of real estate at Grand Valley State University and Grand Rapids Community College.

He holds a B.A. degree from Albion College and a J.D. degree, cum laude, from Wayne State University Law School. After a clerkship at the U.S. Court of Appeals for the Eighth Circuit with the Honorable William H. Webster, Mr. Cameron began his legal career in Chicago at the firm of Isham, Lincoln & Beale, after which he joined Warner Norcross & Judd in Grand Rapids.

He is a member of the State Bars of Michigan, Illinois, North Carolina and Colorado, and is a frequent speaker and author on real estate and construction law issues. His authorship of Michigan Real Property Law: Principles and Commentary (Michigan ICLE) (1st Edition 1985, 2nd Edition 1993 and 3rd Edition 2005), commonly known as "Cameron on Real Estate," contributed to his standing as one of Michigan's best-known real estate lawyers. Mr. Cameron also wrote the definitive three-volume treatise on Michigan real estate transactions entitled Michigan Real Estate: Forms and Practice (LexisNexis, 1988) and the 50-state treatise on construction law, A Practitioner's Guide to Construction Law (ALI-ABA 2000).

Mr. Samborn noted that Mr. Cameron is one of six new Members to join Dickinson Wright in Grand Rapids within the past six months. The others are Frank G. Dunten, Carl Oosterhouse, Patrick A. Miles, Norman D. Hawkins and Charles N. Ash.

Baker & Daniels Launches Diversity Law Scholarships
Beginning this fall, second-year law students at Indiana University School of Law – Bloomington, Indiana University School of Law – Indianapolis and the University of Notre Dame Law School will be eligible for two new $10,000 Diversity Scholarships offered by Baker & Daniels LLP. Scholarship recipients also will receive a place in the firm’s summer associate program.

The Diversity Scholarship program, one of the first such programs offered by a local law firm, was borne from Baker & Daniels’ ongoing demonstrated commitment to attracting, retaining and developing individuals with diverse backgrounds. The firm expects scholarship applicants to be individuals from varied ethnic, racial, cultural and lifestyle backgrounds as well as those with disabilities or unique viewpoints.

“We serve a vastly diverse group of clients who, in turn, employ diverse workforces,” said Greg Utken, chair of the firm’s diversity committee. “It only makes sense that to effectively serve and partner with our clients we enhance our efforts to make Indiana and our firm a destination for diverse and talented professionals.
