Thacher Proffitt Represented Grupo Simec in Secondary Stock Offering
Thacher Proffitt was counsel to Grupo Simec in its $217 million secondary stock offering in international and local markets, the first SEC-registered offering of equity securities by a Mexican issuer in 2007. Grupo Simec, a steel producer and processor based in Guadalajara, Mexico, is the largest supplier of SBQ ("special bar quality ") steel in North American residential, commericial, and industrial construction markets. Marc Rossell was quoted in the article, "Mexican steelmaker taps markets" in LatinLawyer's March issue: "The offering presented a number of novel issues involving the presentation of accounting information in light of the substantial growth of Grupo Simec during the past few years.

Thacher Proffitt Represented Grupo Simec in Secondary Offering
Thacher Proffitt was mentioned in the Deal Digest section of the March issue of IFLR regarding Grupo Simec's $217 million SEC-registered secondary stock offering and Mexican public offering, the first of its type by a Mexican issuer in 2007.

Lisa Yano Joins Morgan Lewis's Tokyo Office
Morgan, Lewis & Bockius LLP is pleased to announce that Lisa Yano has joined the firm as Co-Managing Partner of the Tokyo office and as Co-Managing Partner of Morgan Lewis–TMI (the firm's joint venture in Japan with TMI Associates). While practicing in Tokyo for more than 15 years, Ms. Yano has represented Japanese companies in a broad range of cross-border corporate and financing transactions and also regularly assists U.S. and other overseas companies in their activities in Japan. Her practice focuses on mergers and acquisitions, private equity transactions, joint ventures, financing, and intellectual property transactions.

"Lisa's experience will allow us to build upon our success in Japan," said Philip Werner, Managing Partner for Morgan Lewis's international and transactional practices. "She further enhances our abilities to serve clients globally by bringing her strong reputation to our Tokyo office, and to our Morgan Lewis–TMI joint venture," he continued.

Ms. Yano also serves as a visiting professor at the University of Tokyo School of Law, teaching courses on U.S. contract and intellectual property law. She graduated from Yale Law School (J.D., 1985) and from Kean College of New Jersey (B.A., summa cum laude, 1980). Ms. Yano was most recently managing partner of the Tokyo office of Paul, Weiss, Rifkind, Wharton & Garrison LLP.

Shinkle Addresses Hurricane Preparedness Symposium
"Ted Shinkle, a shareholder with the law firm of GrayRobinson, P.A. in Melbourne, recently participated on a panel at The Marina Hurricane Preparation Symposium which took place in Orlando on March 1 & 2, 2007. Shinkle's topic focused on The Legalities of Hurricane Preparation. Shinkle is a Board Certified attorney in Admiralty and Maritime Law.

Shinkle is a trial lawyer with extensive experience in state and federal trial and appellate courts. During his career he has represented insurance companies in first and third party claims, including coverage issues and declaratory actions, shipowners and their underwriters, dredging companies, cruise lines, maritime suppliers, small boat owners, salvors, international protection and indemnity associations and lending institutions in a variety of litigation matters. Ray Hartwell quoted on Leegin case in Competition Law 360
" Ray V. Hartwell, a partner in the Washington office of Hunton & Williams LIP, was quoted in the March 2007 Competition Law 360 article ""Supreme Courts Hear Landmark Antitrust Case.""

Hartwell discussed the division in the Justices' opinions, saying: ""The Supreme Court is likely to overturn the hard and fast rule that, for almost a century, has made it illegal for manufactures to set the prices at which retailers sell their products."" "" This is a ruling that could have a widespread and very visible impact on consumers, as it will make it easier for manufactures to prevent discounting of their brands, while at the same time demanding that retailers invest their improved margins in improved service and sakes efforts."" he said."

Troutman Sanders Attorney Receives Anti-Defamation League Award
Troutman Sanders LLP is pleased to announce that associate Sarah Gohl Isabel was awarded the Anti-Defamation League’s 2007 Stuart Eizenstat Young Lawyer Award. This award was presented during the Anti-Defamation League’s (ADL) Jurisprudence Luncheon on February 26th at the Four Seasons Hotel.

The award is given annually to an attorney in metro Atlanta who has gone above and beyond his/her legal practice in seeking justice and fair treatment for all citizens alike. Isabel was selected based on her many efforts in advocating for society’s most fragile members: the elderly, teens, individuals who are HIV-positive, and a variety of non-profit groups serving these and other poor and disadvantaged citizens.

“Sarah’s life is dedicated to the betterment of our community,” said Mark VanderBroek, chair of Troutman Sanders’ Atlanta Pro Bono Committee. “She firmly believes that a lawyer’s job description includes providing legal assistance to the disadvantaged and unrepresented.”

At Troutman Sanders, Isabel volunteers her time in creating non-profit, tax exempt organizations, and coordinates the firm’s pro bono programs that prepare wills and advanced directives for low-income elderly individuals and emergency services personnel. Additionally, she coordinates the firm’s Miller Trust program operated with the Atlanta Legal Aid Society, which helps seniors in protecting their Medicaid benefits. Most recently, Isabel volunteered to head up the firm’s Cancer Pro Bono Project, a joint effort with the American Cancer Society and the Atlanta Legal Aid Society. Through this alliance, the firm provides free basic estate planning services to low-income individuals with cancer in the Atlanta metropolitan area.

Isabel’s commitment to help others also extends outside of her legal profession. In the past, she has adopted families through Secret Santa programs, served on the Eureka College Board of Trustees and on the Advisory Board for The Foundation Center in Atlanta, organized food and blood drives, coordinated community service programs, and volunteered her time with the AIDS Legal Clinic at Duke University.
