Jones Day advises Venture Production plc on £585 million debt financing
Jones Day advised Venture Production plc, the Aberdeen based independent oil and gas production company, in relation to £585 million of debt financing arrangements which the company has reported will help finance the ongoing development of its existing asset base and fund potential future acquisitions.

The financing involved a novel structure of concurrently tapping the London syndicated loan markets and the US/UK institutional private placement market. The London bank financing consisted of a new medium term committed corporate debt facility of £350 million, led by Barclays Bank, which is expected to be syndicated in early autumn. The US/UK private placement, arranged by Schechter & Co. Limited, is comprised of loan notes which raised US$424 million and £25 million from US and UK institutional investors with final maturities of between 10 and 15 years. Both transactions were secured by the same pool of assets requiring complex intercreditor arrangements.

Jones Day's team on the transaction was led by London banking head, Ed Nalbantian, and included Jennifer Calver, Amy Kho and Chloë Nankivell. Ed Nalbantian commented: "The cross-border structure of the deal for this exciting energy company was cutting-edge and completing the transaction for our client was particularly satisfying given the challenging market environment."

Allen & Overy acted for Barclays Bank and Baker & Botts acted for the institutional investors.

Baker & McKenzie Strengthens Dispute Resolution Practice in Japan
Baker & McKenzie GJBJ Tokyo Aoyama Aoki Koma Law Office (Gaikokuho Joint Enterprise) is pleased to announce that two new Partners have joined the Firm to enhance its Dispute Resolution Practice.

Haig Oghigian joined the Firm as a Partner on September 1, 2007. He joins from the Tokyo office of Paul, Hastings, Janofsky & Walker LLP.

Hideyuki Kobayashi also joined the Firm as a Partner on July 1 from Anderson Mori & Tomotsune.

Mr. Oghigian is a dispute resolution professional with many years experience representing Japanese and international clients in the fields of international commercial arbitration, particularly with cross-border mergers and acquisitions, joint ventures and licensing and distribution agreements. He is ranked in Asia for Dispute Resolution by Chambers & Partners Global Guide 2007, in Japan for Dispute Resolution by Asia-Pacific Legal 500 (2007), and for Commercial Arbitration by Euromoney Expert Guides.

His arbitration practice is enriched by both his experience in government, serving as a foreign service officer at the Canadian Embassy in Japan for five years, and his extensive corporate commercial background. Fluent in English, French and Japanese, he has regularly appeared as counsel and arbitrator with International Chamber of Commerce (ICC), the Japan Commercial Arbitration Association (JCAA), American Arbitration Association (AAA), World Intellectual Property Organization (WIPO), British Columbia International Commercial Arbitration Centre (BCICAC) and the Philippine Dispute Resolution Centre. He is also the author of several articles which have appeared in Mealey’s Arbitration Journal, The Asia Dispute Review, The Journal of International Arbitration and The Journal of the Chartered Institute of Arbitration and is a contributing writer to the Simon & Schuster book, The Law of Commerce in Japan.

Mr. Oghigian lectures on international arbitration at the University of Tokyo.

Mr Kobayashi has extensive experience acting for clients in relation to international litigation, arbitration and product liability and has served as a professor at several major universities in Japan. He currently lectures at Hitotsubashi University’s Graduate School of International Corporate Strategy.

Mr. Kobayashi advises the Japanese government on financial reform as a member of the Finance Council of the Ministry of Finance. He has represented the foreign government for more than 20 years regarding litigation issues arising from Japan’s antitrust law. He is also the author of several books and articles on topics including civil procedure, international civil procedure and bankruptcy law.

“With the resurgence of the Japanese economy, there has been a dramatic growth in cross border work involving Japan – both outbound investments by Japanese companies and inbound investments by foreign companies,” said Jeremy Pitts, Managing Partner of the Tokyo office. “It is vital that we provide our clients with the full range of services necessary to manage these increasingly complex cross border relationships."

Mr. Oghigian received his BA, with honors, in 1976 and his LL.B in 1979 from McGill University in Canada. He subsequently undertook graduate studies in Japanese law at the East Asian Legal Studies program at the Harvard Law School and received a diploma in Japanese

Language Studies from the U.S. Department of State Foreign Service Institute in Yokohama,
Japan. He also holds a diploma in International Commercial Arbitration from Keble College, Oxford University.

Mr. Kobayashi received his LL.B from Tokyo University in 1974 and was a visiting scholar at Yale and Michigan Law School from 1982-1983.

Bonnefil Speaks in Diversity Inc. on Lessons Learned as a U.S. Immigrant
Pierre Georges Bonnefil, a member of the firm in the Labor and Employment practice in EBG's New York office, was a participant in a roundtable discussion in the September 2007 issue of Diversity Inc. magazine about how 10 immigrants from different countries developed their personal and professional potential by moving to the U.S. The article, “Immigrant Success: Valuable Life Lessons,” stresses the paths to corporate and entrepreneurial accomplishment that each immigrant followed. Bonnefil, who was born in Port-au-Prince, Haiti, and came to the U.S. by way of Costa Rica, discussed the challenges and opportunities encountered during his career as a lawyer.

GDF and Suez Announce $123 Billion Merger
The boards of directors of Gaz de France (GDF) and SUEZ approved the outline of their merger. The deal would create the number one buyer and seller of gas in Europe as well as the number one gas transmission and distribution network operator in Europe. The newly merged company would be named GDF Suez. The transaction is expected to close in 2008.

GDF, with headquarters in Paris, produces, transports and sells natural gas around the world. Suez, also based in Paris, is an international and industrial services group.

As part of the deal, there will be a 65% spinoff of the Environment activities to the shareholders of SUEZ. This will occur simultaneously with the merger through an initial public offering of SUEZ’s Environment activities. Upon completion, GDF Suez will continue to develop partnerships between environment and energy businesses, particularly in China and the Middle East.

Lazard and Merrill Lynch acted as financial advisors to GDF. Shearman & Sterling acted as legal advisor to Lazard and Merrill. Attorneys include partners Robert Treuhold (PA-CM/MA), Cyrille Niedzielski (PA-MA) and George Karafotias (LO-MA), of counsel Christian Guilluy (PA-MA) and associate Frederic Giancarli (PA-MA).

Oscislawski of Fox Rothschild Quoted in Physician's News Digest
Helen Oscislawski was recently quoted in the September 2007 edition of Physician's News Digest. The article, "Physician-insurer relations evolve," by Miriam Reisman, discusses a recent shift in the "traditionally stormy relations between physicians and health insurance companies."

In the article, Oscislawski explains that "she is still seeing frustration from physicians over claims turnaround despite regulations in [New Jersey] that are supposed to ensure prompt payment as long as the correct procedural steps by providers have been taken. 'Settlement agreements have actually thrown a new twist into the mix because they are actually doing what the prompt pay laws, at least in New Jersey, have been unable to do or have not been successfully doing to this point.'"

Magavern Magavern Grimm LLP has a strong commitment to the arts in Western New York. Recently, Bill Magavern and Rick Moore successfully represented the Albright-Knox Art Gallery in the dismissal of a lawsuit seeking to prevent the Gallery from carrying out a limited deaccession plan through auctions at Sotheby's. The success of the auctions drew national attention and generated significant proceeds far above expectations for the Gallery's endowment fund for the purchase of works of art. The fund will now assure the future viability of the Albright-Knox for generations to come.
