THREE NEW ASSOCIATES JOIN MURTHA CULLINA
Murtha Cullina LLP is pleased to announce that Sara A. Decatur, Tina R. Matsuoka and James F. Radke have joined the firm as associates.

Sara A. Decatur comes to Murtha Cullina from Epstein Becker & Green, P.C. in New York where her practice was focused on commercial litigation and employment law. She is a graduate of the Wake Forest University School of Law and the University of assachusetts, cum laude. She is a member of the New Jersey and New York Bar Associations (Massachusetts bar membership pending).

Tina R. Matsuoka joins the firm from the Massachusetts Attorney General's office, where she was most recently acting Chief of the Civil Rights Division. She will focus her practice primarily in labor and employment work. She is a graduate of Fordham University School of Law and the American University. She is a member of the Massachusetts Bar Association and is Vice President of the Asian American Lawyers Association of Massachusetts.

James F. Radke is a member of the firm’s Litigation Department. His practice is concentrated in general civil litigation and construction. He is a graduate of Northeastern University School of Law and Trinity College. He is a member of the Massachusetts Bar Association and a former judicial intern to the Honorable John C. Cratsley of the Massachusetts Superior Court.

Gide Loyrette Nouel Hong Kong advises Aéroports de Paris on the sale of its equity stake in Beijing airport:
the French airport operator, Aéroports de Paris (ADP), sold its entire stake in Beijing Capital International Airport Company Limited (BCIA), the Chinese company running Beijing Airport, listed on the Hong Kong stock exchange, for around US$ 255 million.

The transaction, managed by Morgan Stanley, involved the sale of all of the 253,591,346 shares owned by Aéroports de Paris via its subsidiary, Aéroports de Paris Management, by accelerated placement with institutional investors. Aéroports de Paris originally purchased these shares, representing around 6.6% of the capital of BCIA, when 35% of the company's capital was floated on the Hong Kong stock exchange in February 2000.

The Gide Loyrette Nouel Hong Kong legal team, led by Fabrice Turries, advised Aéroports de Paris on the PRC and Hong Kong aspects of transaction, working in collaboration with Herbert Smith. Cleary Gottlieb Steen & Hamilton acted as Aéroports de Paris' legal advisor in France.

GENOVESE JOBLOVE & BATTISTA, P.A. NAMED NEW SHAREHOLDER
Genovese Joblove & Battista, P.A. is pleased to announce that Allison R. Day have been named a shareholder of the firm.

Allison R. Day specializes in all areas of bankruptcy, business reorganization, and creditors' rights. Ms. Day has handled numerous Chapter 11 reorganizations and liquidations on behalf of debtors, creditors, creditor committees and trustees. Additionally, she has represented trustees and creditors in bankruptcies under Chapters 7 and 13 including the former Standing Chapter 13 Trustee for the Southern District of Florida. She also specializes in the representation of both assignors and assignees in assignment for the benefit of creditors’ proceedings and receivers in both State and District Courts receivership proceedings. She earned her Juris Doctorate in 1984 from the University of Missouri - Kansas City School of Law and her Bachelor of Arts in both Political Science and History from the University of Colorado at Boulder in 1981.

Davis Polk Advises Stockbridge Real Estate Funds on Its Joint Acquisition of Sahara Hotel & Casino With SBE Entertainment Group
Davis Polk & Wardwell is advising Stockbridge Real Estate Funds on its joint acquisition with SBE Entertainment Group, LLC of Sahara Hotel & Casino from Gordon Gaming Corporation. Originally built in 1952, the Moroccan-themed Sahara is the northern-most resort on the famed Las Vegas strip.

Founded in 2002, the Los Angeles-based SBE Entertainment Group (SBE) balances the interrelated worlds of modern hospitality, real estate development and independent film production. Stockbridge Real Estate Funds are a series of real estate investment funds capitalized by major public and private pension funds and high-net-worth individuals.

Upon the closing of the transaction, SBE will manage the hotel and its associated food and beverage operations. Sahara's casino will be operated by Larry Woolf's Navegante Group under a lease arrangement. The financial terms of the transaction were not disclosed.

The Davis Polk corporate team includes partner Thomas Patrick Dore Jr. and associate Regina Chang, both of the New York office, and partner Daniel G. Kelly Jr. and associates Robert J. Maynes and James C. O’Brien, all of the Menlo Park office. Partner Gail A. Flesher and associate Hayden Baker, both of the New York office, are providing environmental advice. Partner Rachel D. A&P and Pathmark to Merge
Davis Polk & Wardwell is advising J.P. Morgan Securities as financial adviser to The Great Atlantic & Pacific Tea Company, Inc. (A&P) in connection with A&P’s proposed acquisition of Pathmark Stores, Inc. A&P is a Montvale, New Jersey-based supermarket chain, operating 410 stores in nine states and the District of Columbia under the following trade names: A&P, Waldbaum’s, The Food Emporium, Super Foodmart, Super Fresh, Farmer Jack, Sav-A-Center and Food Basics. Pathmark, based in Carteret, New Jersey, is a regional supermarket chain currently operating 141 supermarkets in the New York, New Jersey and Philadelphia metropolitan areas.

According to the terms of the merger agreement, Pathmark shareholders will receive $9.00 in cash and 0.1296 shares of A&P stock for each share of Pathmark stock, valuing the transaction at approximately $1.3 billion, including assumed indebtedness. The transaction is expected to be completed during the second half of A&P’s fiscal 2007 year, subject to completion of shareholder and regulatory approvals, as well as other customary closing conditions.

Investor Group to Acquire TXU
Davis Polk & Wardwell is advising affiliates of Citigroup Inc. as an equity participant and as a provider of a bridge equity commitment in connection with the acquisition of TXU Corporation by an investor consortium led by Kohlberg Kravis Roberts & Co. (KKR), Texas Pacific Group (TPG) and Goldman Sachs & Co. TXU is a Dallas-based energy company that manages a portfolio of competitive and regulated energy businesses primarily in Texas.

According to the terms of the merger agreement, TXU shareholders will be offered $69.25 per share, valuing the transaction at approximately $45 billion. The consortium of investment banks providing committed financing to the investor group also includes Goldman Sachs, J.P. Morgan, Lehman Brothers and Morgan Stanley. The transaction is expected to close in the second half of 2007, subject to receipt of shareholder approval and required federal regulatory approvals, as well as satisfaction of other customary closing conditions.

Diego Garcia Speaks at American Bar Association (ABA) Meeting
Houston Office Partner Diego Garcia served as a panelist for the Environmental Issues and Insurance Coverage session of the ABA Litigation Coverage Sub-Committee meeting. During the session, entitled “Airports, Aquifers, and Algorithms: Expert Witnesses in Environmental Coverage Disputes,” the use of expert witnesses--specifically, the role of a hydrogeologist and fate and transport modeler, which has multiple implications beyond Daubert, was discussed.

Mr. Garcia gave counsel perspective on coverage issues and use of experts, based upon his extensive insurance coverage experience. In addition to learning about the issues from the standpoint of coverage counsel for policy-holders and insurers, attendees also got the expert’s perspective on how to present complex, technical evidence effectively and where the pitfalls might be for the unwary.
