Litigator Michael Schlanger Returns to Covington
Covington & Burling LLP announced today that Michael Schlanger has joined the firm as a partner in the litigation practice group. He will be resident in the firm's Washington office, where he practiced as a litigation associate in the 1970s.

Mr. Schlanger represents companies and individuals in high-risk civil litigation, both trial and appellate, often involving allegations of intentional wrongdoing against classes of customers, employees or public bodies. The cases typically include claims of fraud under federal and state statutes (e.g., RICO, securities, consumer protection), antitrust, IP infringement, ethic violations, or retaliatory personnel action for alleged "whistleblowing". For more than 30 years, Mr. Schlanger has practiced as a trial counsel before judges, juries, and arbitration panels nationwide. He also has served as appellate counsel in most federal circuits and in the United States Supreme Court.

"We are simply delighted to have Michael return home to Covington," said Stuart Stock, chair of the firm’s management committee. "He was a terrific lawyer, an esteemed colleague and a good friend throughout his first tour of duty at the firm, and we welcome him back with great enthusiasm."

Mr. Schlanger stated, "I was born and raised as a lawyer at Covington, and I have spent my career endeavoring to live by the high professional standards taught to me and many generations of young lawyers at the firm. In my heart, I never left Covington, and I am deeply honored to be invited to return home."

Mr. Schlanger is a graduate of Columbia College and The George Washington University School of Law. Since 1983, he has served as a Trustee of the Washington Lawyers Committee for Civil Rights and Urban Affairs.

Covington & Burling LLP announced today that David Bayless has joined the firm as partner. He will be resident in the firm’s San Francisco office.

Mr. Bayless was the head of the Securities and Exchange Commission’s San Francisco office from 1994 to 1999, during which time he was responsible for all enforcement and regulatory matters within that office’s multi-state jurisdiction. His practice focuses on SEC enforcement work, internal investigations, and private securities class action litigation. Mr. Bayless has extensive experience in SEC investigations involving financial reporting and accounting fraud allegations as well as insider trading. He also represents broker-dealers and investment advisers and their employees in enforcement actions by the SEC and NASD.

The arrival of Mr. Bayless further strengthens Covington’s highly respected white collar and securities litigation practices. The firm regularly represents clients in high-stakes investigatory, regulatory, derivative, criminal and civil securities actions. Six of our securities litigators are former federal prosecutors with extensive experience representing clients before the SEC, the securities and commodities exchanges, banking regulators and the United States Department of Justice.

“Covington & Burling is one of the nation’s premier corporate, regulatory and litigation firms,” said Mr. Bayless. “This is a great opportunity to join a team of lawyers of stellar reputation and unsurpassed collegiality and extend my SEC enforcement practice to a loyal client base.”

Wong & Partners Advises Kingdom Hotel Investments on its USD124 Million Acquisition of MAS Hotels & Boutiques Sdn. Bhd., the Owner of the Four Seasons Resort, Langkawi, Malaysia
Baker & McKenzie announced today that its member firm in Malaysia, Wong & Partners, represented Kingdom Hotel Investments (KHI) in its acquisition of 100% of the share capital of MAS Hotels and Boutiques Sdn. Bhd. (MHB), which owns the Four Seasons Resort, Langkawi, from Malaysian Airline System Berhad (MAS).

KHI, through its affiliate, Kingdom Langkawi B.V., and MAS entered into a conditional Share Purchase Agreement for the sale of 10 million ordinary shares of RM1.00 each, representing 100% of the entire allotted and issued share capital of MHB on 1 March 2007. The total consideration for the shares, which includes the settlement of debt owed by MHB to MAS, and is subject to certain adjustments, is RM435 million (approximately USD124 million).

This acquisition is considered a landmark transaction for Malaysia and its hotels, resorts and tourism industry due to the size of the transaction, the nature of the asset (the Four Seasons Resort, Langkawi is widely regarded as one of Malaysia’s most exclusive resort hotels) and as it marks the first significant investment in Malaysia by KHI. KHI’s founder, chairman and substantial shareholder is Prince Al-Waleed bin Talal bin AbdulAziz AlSaud of Saudi Arabia.

The transaction was led by M&A partner Munir Abdul Aziz and tax partner Adeline Wong, who were assisted by associates, Gwendoline Choy, Karen Teo and Lucy Chang. The Wong & Partners team worked primarily with Ken Kerr and Patricia Lee in KHI's Singapore office.
