Fenwick & West Represents DexCom in $60 Million Convertible Senior Notes Offering
Fenwick & West LLP represented DexCom, Inc. (NASDAQ: DXCM) in its recent Rule 144A offering of $60 million of Convertible Senior Notes due 2027 and in related issuer call spread options. DexCom, based in San Diego, CA, is a developer of glucose monitoring systems for people with diabetes.

CRAVATH RECEIVES "IN THE TRENCHES" AWARD FROM THE LAWYERS COMMITTEE AGAINST DOMESTIC VIOLENCE
Cravath received the "In the Trenches" award from the Lawyers Committee Against Domestic Violence (LCADV) in honor of its support of the LCADV. The "In the Trenches" awards recognize "indomitable courage, vision, and dedication to ending violence against women", and the presentation of the award to Cravath marks the first time an institution, rather than an individual, has received this honor. Cravath Partner Stuart W. Gold and Conference Center Manager Valerie Perry accepted the award on behalf of the Firm at a presentation during the Eleventh Annual Domestic Violence Conference at Fordham Law School.

Michael F. Copley Elected Shareholder in Buckingham, Doolittle & Burroughs, LLP Columbus Office
The law firm of Buckingham, Doolittle & Burroughs, LLP (“BDB”), is pleased to announce that Michael F. Copley has been elected Shareholder by the Firm’s Board of Managers. Mr. Copley is a member of the Real Estate & Construction Law Practice Group. He focuses his practice on construction litigation, title insurance claims and toxic mold cases.

Mr. Copley has served as a Trial Attorney in the Office of the Chief Trial Attorney of the Air Force, Wright-Patterson Air Force Base, Ohio; and as a JAG Officer in the Office of the U.S. Armed Forces Host Country Representative to The Netherlands, Soesterberg Air Base and at the Myrtle Beach Air Force Base in South Carolina. Mr. Copley is retired from the Ohio Air National Guard.

Mr. Copley earned his J.D. from Capital University Law School, Columbus, Ohio (1986). In addition, he received his B.S. from Troy State University, Montgomery, Alabama (1981). He is a member of the American, Ohio State, and Columbus bar associations. Mr. Copley is currently licensed before all courts of Ohio, the United States District Courts for both the Southern District of Ohio and Eastern District of Michigan and the United States Court of Federal Claims and has appeared pro hac vice in Florida, South Carolina and Michigan.

Mr. Copley resides in Galloway, Ohio.

Weil Gotshal Secures Dismissal of Shareholder Derivative Action Against First BanCorp
Weil, Gotshal & Manges secured a major victory in a shareholder derivative litigation against First BanCorp, a Puerto Rico financial institution, and several of its current and former officers and directors. The claims concerned alleged breaches of fiduciary duty, abuse of control, gross mismanagement, waste of corporate assets, and unjust enrichment arising out of First BanCorp’s alleged improper accounting classification of mortgage transactions with two other Puerto Rico banks. The US District Court for the District of Puerto Rico granted Weil Gotshal’s motion to dismiss all claims and in doing so, marked the first major decision outlining the contours of the demand futility requirement for derivative actions under Puerto Rico law.

The Weil Gotshal team working on this matter consisted of partners Joseph S. Allerhand and Richard W. Slack and associates Matthew L. Mustokoff and Jessica Ortiz.

Weil Gotshal Advises KIPCO in Biggest Ever Kuwaiti Deal
International law firm Weil, Gotshal & Manges has advised Kuwait Projects Company Holding KSC (KIPCO) on its agreement, as lead member of a shareholder consortium, to sell a controlling shareholding in Kuwait based National Mobile Telecommunications Company KSC (Wataniya Telecom) to Qatar Telecom QSC (Qtel). Under the terms of the agreement, KIPCO and the other consortium members will sell an aggregate of 233.6 million shares in Wataniya Telecom, representing 51% of Wataniya Telecom's share capital. The total consideration for the transaction is approximately KD 1.1 billion (£1.9 billion).

The KIPCO Group is one of the biggest diversified holding companies in the Middle East and North Africa, with assets worth more than US$18 billion under management or control. The Group has substantial ownerships interests in a portfolio of 54 companies operating across 17 countries. The company's main business sectors are financial services and media & telecommunications. We were retained by KIPCO on this transaction following our work as issuer's counsel on the proposed IPO of one of its subsidiaries, to whom we were introduced by another client of the firm.
