General Atlantic Completes Leveraged Acquisition of Network Solutions
Today our client General Atlantic LLC completed its previously announced leveraged acquisition of Network Solutions, LLC a leading provider of online solutions for small businesses, from Najafi Companies. The terms of the transaction were not disclosed. The Paul, Weiss team included corporate partners Matthew Abbott, Douglas Cifu and Dale Sarro, counsel Bruce Gruder, Didier Malaquin and Claudine Meredith-Goujon, and associates Julia Fisherman, Aviram Hazak, John Inglis, Sarah Mudho, Serena Peck, Lucy Popkin, Nate Pusey and Clint Stauffer; tax partners Jeff Samuels and Richard Bronstein, and associates Eric Lowenstein and Alexander Woods; real estate associate Yossi Subar and legal intern Michael Roberts; employee benefits partner Rob Fleder, counsel Stephen Gorell and associates Reuven Falik and Lauri Penn; and environmental law counsel Bill O'Brien.

Leading Communications and Media Lawyer Mace Rosenstein Joins Covington as Partner
Covington & Burling LLP announced today that Mace Rosenstein has joined the firm as a partner. He will be resident in the firm’s Washington office, and will serve as co-chair of the firm’s Communications and Media practice group.

Mr. Rosenstein’s practice focuses on broadcast station investments, transactions and regulation. He has experience in securing changes in FCC rules in order to facilitate creative business concepts and opportunities, both through waivers and in complex rulemaking proceedings before the FCC. He has assisted in structuring major acquisitions of broadcast properties, and has advised mutual fund managers, investment advisers, and other investors with respect to federal statutory and regulatory provisions pertaining to foreign ownership and multiple and cross-ownership of media properties.

“We are extremely pleased to have Mace join Covington,” said Stuart Stock, chair of Covington’s management committee. “He is a first-rate lawyer and his broad experience will add further strength to our already robust communications and media practice.”

Gerry Waldron, co-chair of the firm’s Communications and Media group also noted, “Mace's deep understanding of the legal and business issues surrounding broadcast television stations and emerging distribution technologies and his experience with ownership and regulatory issues affecting broadcasters will be wonderful assets to our practice.”

Covington has a leading communications and media practice, including broadband, content creation and distribution, corporate transactions, digital media and entertainment, new media, satellite, and wireless. The group recently advised The New York Times Company on the sale of its broadcast media group.

Mr. Rosenstein is a graduate of The University of Chicago Law School and Harvard College.

Wong & Partners Advises The Bank of Tokyo - Mitsubishi UFJ, Ltd. in Connection with Bumiputra-Commerce Holdings Bhd's RM1.335 Billion Share Placement
Baker & McKenzie announced today that its member firm in Malaysia, Wong & Partners, acted as transaction counsel and advisor to The Bank of Tokyo - Mitsubishi UFJ, Ltd. ("BTMU") in connection with its subscription for 117 million shares in Bumiputra-Commerce Holdings Bhd (“BCHB”), one of the largest local Banks in Malaysia, in a placement worth RM1.335 billion (US$380 million). The subscription agreement was executed recently on 21 February 2007.

Andre Gan, a Corporate and Commercial Partner with Wong and Partners commented, “This transaction is significant as upon the completion of the subscription, which is conditional upon certain regulatory approvals, BTMU will raise its holdings in BCHB from 1.1% to 4.5% of the share capital of BCHB. BTMU will also be given board representation in BCHB.” Andre was assisted by the Senior Associate, Azizul Azmi Adnan.

This transaction sees the Firm continue to act for the client. In January 2006, the Baker & McKenzie’s Hong Kong office advised on the merger in relation to the Hong Kong branches of The Bank of Tokyo-Mitsubishi, Ltd and UFJ Bank Limited, to form The Bank of Tokyo-Mitsubishi UFJ, Ltd. The merger became effective as of 1 January 2006. The merger created the world’s largest bank by assets.

PHILLIPS LYTLE LLP GROWS BUFFALO OFFICE
Phillips Lytle LLP, one of the region’s largest full service law firms, continues to grow its Buffalo office with the addition of Karla Braun-Kolbe, Craig R. Bucki and Minryu Sarah Kim as Associates with the firm.

Ms. Braun-Kolbe will concentrate her practice in corporate law. She received her J.D.,
cum laude, from University at Buffalo School of Law, and both her M.B.A., with distinction, and B.A., summa cum laude, from University at Buffalo. A member of the
New York State Bar and Women’s Bar Association of Western New York, Ms. Braun-
Kolbe resides in Amherst.

Focusing his practice in trial, Mr. Bucki holds his J.D. from Columbia University School
of Law, where he was a Harlan Fiske Stone Scholar, and received his B.A., magna cum
laude, from Yale University. A resident of East Amherst, Mr. Bucki serves on the executive committee of the Amherst Town Democratic Committee.

Andrews Kurth Adds Partner to Head White Collar Practice in NY
"AmLaw 100-ranked Andrews Kurth announced today that white collar trial attorney Edward ""Ted"" E. Groves has joined the firm as a partner and to head the firm's national Corporate Compliance, Investigations and Defense practice in the New York office. Groves will provide Andrews Kurth's clients with a broad range of assistance regarding pending and proposed state and federal criminal charges, multifaceted internal corporate investigations, document and witness inquiries, and complex tax and accounting issues.

He practiced as a trial attorney in the United States Department of Justice Tax Division, Criminal Enforcement Section in the US District Courts of Arizona, Hawaii and Western United States from 1996 to 2005. Groves also was Assistant District Attorney for the New York County District Attorney's Office (Manhattan) from 1990 to 1996.

Client Names Racehorse After Partner Ted Boutrous
The American Lawyer recently featured a story about how client Michael Shustek of Vestin Mortgage Group named a racehorse after Los Angeles partner Ted Boutrous following his handling of a successful Ninth Circuit appeal. The horse, named Boutrous, is on the watch list for this year's Kentucky Derby.
