Gurt Joins Jones Walker’s Baton Rouge Office
The law firm of Jones, Walker, Waechter, Poitevent, Carrère & Denègre, L.L.P. is pleased to announce that Jamie Ruf Gurt has joined the firm as an associate in the Real Estate Practice Group. She will practice from the firm’s Baton Rouge office.

Prior to joining Jones Walker, Ms. Gurt was an associate at Schulte Roth & Zabel LLP in New York in the firm's Real Estate Department, where her practice was concentrated in the area of commercial real estate finance. While attending law school, Ms. Gurt worked as a law clerk for the Maryland-National Capital Park and Planning Commission, an administrative agency that implements land use and zoning laws in the Maryland-Washington Regional District.

Ms. Gurt earned her Juris Doctor in 2006 from Georgetown University Law Center, where she was a member of the American Criminal Law Review and was awarded the Dean’s Certificate in recognition of special and outstanding service to the Law Center community. She graduated magna cum laude with a Bachelor of Music in Piano Performance from Louisiana State University in 2000.

Jones Walker Sponsors 2007 Justice for All Ball
Jones Walker is a sponsor of the Pro Bono Project's 2007 Justice for All Ball on October 5 at the $2,500 Benefactor Level. Jones Walker partner Mark Cunningham is serving as this year's Ball Chair for the event, which will be held at Gallier Hall. Warner Selected by Governor Napolitano to Serve on Maricopa County Superior Court
Randall H. Warner, a partner with Jones, Skelton & Hochuli, P.L.C., has been chosen by Governor Napolitano to fill a vacancy on the Maricopa County Superior Court.

Warner joined Jones, Skelton & Hochuli in 2001 where his practice has emphasized federal and state appeals and commercial litigation. He received his law degree, summa cum laude, from the University of Arizona College of Law in 1992, after which he clerked for the Hon. Thomas A. Zlaket on the Arizona Supreme Court. Warner currently serves on the State Bar of Arizona's Civil Recommended Arizona Jury Instructions Committee and sits on the Boards of a number of non-profit organizations, including the Arizona Trail Association and the University of Arizona Law College Association.

Jones Day advises Sibir on £456 million Moscow Oil and Gas deal
Jones Day is acting for AIM-listed Sibir Energy plc ("Sibir") in connection with the subscription by Central Fuel Company ("CFC") of 69,714,254 ordinary shares in Sibir in return for the transfer to Sibir of CFC's common shares in Moscow Oil and Gas Company ("MOGC") and the acquisition by Sibir of CFC's preference shares in MOGC for US$200 million. The ordinary shares in Sibir were valued for the purposes of this transaction at US$10.35 per share so that the total value of the consideration provided by Sibir in cash and shares is US$922 million (£456 million).

CFC is wholly owned by the City of Moscow and the effect of the transaction is to combine the City's and Sibir's refining and petrol retail holdings in MOGC with Sibir's upstream oil business in an enlarged Sibir in which the City will have an 18.03 per cent stake.

The transaction is conditional upon approval by the shareholders of Sibir which is expected to be granted at an Extraordinary General Meeting on 18 September 2007.

The Jones Day team was led by Max Thorneycroft (London) and also included Julian Runnicles, Sebastian Orton, Claire Singleton and Bryony Roy in London and Igor Makarov and Vitaly Yablokov in Moscow.

Max Thorneycroft commented "We are glad to have been able to advise Sibir on the latest step in its strategy of becoming a fully integrated oil company which produces oil, refines it and markets the refined product."

Former General Counsel of 3M Richard F. Ziegler Joins Jenner & Block
Richard F. Ziegler, former General Counsel of the 3M Company, has joined Jenner & Block as a partner in its New York office. A former federal prosecutor and partner in a major New York law firm, Mr. Ziegler has more than 30 years of legal and management experience.

“Richard’s tremendous achievements and extensive corporate litigation background will be an important asset to our expanding New York office and to our entire firm,” said Gregory S. Gallopoulos, Jenner & Block’s Managing Partner.

“I am delighted to join Jenner & Block. Its history of excellence, its outstanding reputation in high-stakes corporate litigation and the chance to help build its office in New York make it a great choice for me at this point in my career,” said Mr. Ziegler.

As Senior Vice President, Legal Affairs and General Counsel for 3M in St. Paul for the past four years, Mr. Ziegler was responsible for all of 3M’s legal affairs worldwide and led a department of more than 150 lawyers. He also served on the company’s senior management Operations Committee. During Mr. Ziegler’s tenure as General Counsel of 3M – part of the Dow Jones Industrial index – he oversaw changes in its corporate governance and business conduct processes, its largest-ever acquisition, and significant litigation involving intellectual property, antitrust, product liability, employment and environmental matters.

“I learned a great deal as general counsel of one of the nation’s leading companies and look forward to bringing a deeper appreciation of our clients’ circumstances as I return to the role of outside counsel,” Mr. Ziegler said. He intends to focus his practice at Jenner & Block on complex litigation and related matters, including intellectual property, corporate governance, securities and government enforcement.

Before joining 3M, Mr. Ziegler was a partner at Cleary, Gottlieb, Steen & Hamilton in New York for more than two decades, serving as the Coordinator of its New York litigation practice and a member of its Executive Committee. He also served as an Assistant United States Attorney in the Southern District of New York and law clerk for Federal Judge Milton Pollack in Manhattan. His notable victories include landmark rulings in patent law (Honeywell v. Hamilton Sundstrand in the Federal Circuit), securities law (Ceres Partners v. GEL Associates in the Second Circuit), civil RICO (Tonka v. Luthi in the Eighth Circuit) and corporate law (Arnold v. Society for Savings in the Delaware Supreme Court and NBT Bancorp v. Fleet/Norstar in the New York Court of Appeals).

Mr. Ziegler chaired the Committee on Professional Ethics of the New York State Bar Association. He has also taught a seminar on ethics and complex litigation at Columbia Law School.

Mr. Ziegler earned his law degree magna cum laude from Harvard Law School, where he served as an Editor of the Harvard Law Review. He received his B.A. from Yale College summa cum laude.

Copano Energy to Acquire Cantera Natural Gas from Metalmark Capital
Davis Polk & Wardwell is advising Metalmark Capital on its sale of Cantera Natural Gas, LLC to Copano Energy, L.L.C. Cantera is a natural gas-gathering, processing and marketing company based in Colorado. Houston-based Copano is a midstream natural gas company with natural gas-gathering, intrastate pipeline and natural gas-processing assets in Oklahoma and Texas. Metalmark Capital is an independent private equity firm.

According to the terms of the agreement, Copano will acquire Cantera for $562.5 million in cash, subject to closing adjustments, and 3,245,817 Class D units to be issued at closing. The transaction is expected to be completed in the fourth quarter of 2007, subject to customary closing conditions, including Hart-Scott-Rodino Act approval.

The Davis Polk corporate team includes partner John A. Bick and associate James E. Elworth. Partner Michael Mollerus and associate Raymond J. Holst are providing tax advice. Counsel George R. Ince Jr. is providing employment advice. Counsel Betty Moy Huber is providing environmental advice. All members of the Davis Polk team work in the New York office.

Weil Gotshal Cracks List of Top International Firms in London
In its UK 200 Annual Report, The Lawyer ranked Weil, Gotshal & Manges 8th on its list of the top 30 international firms in London by UK turnover. The publication also cited Weil Gotshal for its “growing number of roles on some of the biggest domestic deals in the market.” The firm was involved in seven of the top 40 deals in 2006 in which a US-based firm provided legal counsel. In 2007, Weil Gotshal acted as counsel in seven of the top 10 deals in the period between January and July, including advising Terra Firma on the £3.3 billion takeover of EMI. According to Mike Francies, the managing partner of Weil Gotshal’s London office, "[o]ur strategy is clear: we want to compete with the biggest UK firms for the best and biggest UK and European work. The EMI deal says, 'yes, we're doing that.' And clearly we need to be of a certain size and shape to advise on those deals."
