Leading Canadian law firm Fasken Martineau merges with elite Ottawa firm Johnston & Buchan in continued rollout of strategic expansion
Leading law firms Fasken Martineau DuMoulin LLP and Ottawa-based Johnston & Buchan LLP announced today that they have agreed to merge, creating a high profile presence in Canada's capital to better serve federally regulated and national clients.

The merger announcement comes six weeks after the creation of the first full-service integrated Canadian-UK law firm resulting from the merger of Fasken Martineau and life sciences, mining, technology and AIM finance specialist firm Stringer Saul of London. Today's news is the latest step in an expansion strategy underway at Fasken Martineau that includes growing its commitments in markets that the firm's Calgary, Johannesburg, London and Ottawa offices serve.

"Fasken Martineau has a strategic plan in place focussed on seamlessly serving our clients wherever they may be located. Merging with Johnston & Buchan allows Fasken Martineau to bring a highly respected Ottawa practice onboard that offers our clients expertise in communications and trade law and an intimate knowledge of the federal government and the regulatory environment," said David Corbett, managing partner of Fasken Martineau.

"Johnston & Buchan was identified as the best fit with our existing practice and this partnership enhances our ability to serve our federally-regulated clients in both official languages," said Corbett. "Johnston & Buchan is consistently ranked in the top tier of communications law firms in the country by leading legal publications Chambers and Lexpert. The firm has operated for 26 years and is considered by us to be a jewel among Ottawa firms."

The partnership will prominently position Fasken Martineau in Canada's capital city, enhance the firm's areas of specialization and add to a global family of more than 640 lawyers, practising as part of a business law and litigation firm with offices in Vancouver, Calgary, Toronto, Ottawa, Montréal, Québec City, London, Johannesburg and New York.

"Fasken Martineau's unique structure and entrepreneurial approach is the right cultural fit for Johnston & Buchan and our clients," said Robert Buchan, founding partner of Johnston & Buchan. "The merger presents an opportunity to better serve our clients by growing our communications, trade and regulatory practice areas, while increasing access to complementary areas of expertise such as labour, employment, finance, tax and litigation in Canada and internationally."

Johnston & Buchan will fully integrate with Fasken Martineau's existing network of five national and three international offices. The merger will come into effect on April 1, 2007, and follows an extensive due diligence process and positive approval votes from both firms' partners.

Intuit Inc. $1 Billion Investment-Grade Notes Offering
Davis Polk & Wardwell advised Citigroup Global Markets Inc. and J.P. Morgan Securities Inc. as joint book-running managers of an SEC-registered offering by Intuit Inc. of $500 million aggregate principal amount of its 5.40% senior notes due 2012 and $500 million aggregate principal amount of its 5.75% senior notes due 2017.

Intuit Inc. is a leading provider of business and financial management solutions for small and mid-sized businesses, financial institutions, including banks and credit unions, and consumers and accounting professionals.

The Davis Polk corporate team included partner Alan F. Denenberg and associates Michael Nordtvedt and Sarvenaz Madi. Partner Rachel D. Kleinberg provided tax advice. Partner Steve S. Weiner provided intellectual property advice. Karla K. Rogers was the legal assistant for the transaction. All members of the Davis Polk team are based in the Menlo Park office.

Davis Graham & Stubbs Ranks High in Giving
Davis Graham & Stubbs has been ranked #1 in giving among Denver area law firms for total employee contributions to Mile High United Way for 2006. DGS employees donated over $98,000 to the programs of Mile High United Way in the year-end fund raising campaign. The firm has consistently ranked in the top five law firm contributors for the last decade.

In addition to the Mile High United Way ranking, in late February the Colorado Supreme Court announced that Davis Graham & Stubbs was one of 34 law firms who achieved the goal of providing an average of 50 hours of pro bono legal services per lawyer for indigent persons in 2006. The Court’s pro bono commitment program was created to obtain an ongoing commitment from law firms and sole practitioners to provide free legal services to indigent persons and the organizations who represent them. In the past year, 42 law firms made the commitment, and 80% of the firms achieved the goal in 2006.

Meyer Presents at ABA Emerging Health Law Issues Conference
Jones Walker Special Counsel Conrad Meyer presented a seminar at the annual ABA Health Law Emerging Issues conference on due process rights of physicians vis-a-vis Medical Staff Bylaws and how facilities should avoid pitfalls in responding to credentialing applications. The seminar was attended by general counsel for healthcare facilities from across the country.

Meyer Presents to Lafayette Surgical Specialty Hospital General Medical Staff
Jones Walker Special Counsel Conrad Meyer presented a seminar on the importance of peer review and credentialing for healthcare facilities. Meyer presented a case study of the Poliner v. Texas Health Systems case wherein a jury awarded a $366 million judgment to a plaintiff physician alleging improper use of peer review proceedings to suspend his privileges. The entire medical staff of Lafayette Surgical Specialty Hospital, representing approximately 90 physicians of various specialties, attended the presentation.

Meyer Presents to Louisiana Hospital Association Rural/ Small/ Medium Hospital Summit
Jones Walker Special Counsel Conrad Meyer presented a seminar on JCAHO updates to Medical Staff Bylaws along with three legal case studies that detail the breakdowns and potential liability of healthcare facilities for failing to properly follow their medical staff bylaws. The seminar was well attended by executives of the rural/ small/ medium sized hospitals in Louisiana including their medical staff coordinators.

Nagle Comments on Healthcare Workers Reimbursement Issues
Robert C. Nagle, Special Counsel in the Labor, Employment and Employee Benefits Practice Group, was quoted in this article about organizing home healthcare workers unions and litigating better conditions for the workers.

Some workers are self-employed, while others work for agencies, and therefore are not public employees. However, reimbursement rates for the work they do are set by the government.

"The union is behind this litigation," Mr. Nagle said, who represents Lee's Industries, Inc., a home healthcare provider that was the subject of a class action lawsuit. "None of my client's employees have complained to management that they have been paid improperly."

"Most home health aide agencies operate on a reimbursement basis," he said. "To my understanding, the agencies are not reimbursed by the government for travel time expenses and as such, most agencies don't budget for that in employee compensation plans.
