Two Prominent French Lawyers, Georges Terrier and Christophe Perchet, Join Davis Polk
Davis Polk & Wardwell today said that it is taking a major step forward in its previously announced plan to expand its French law practice with the arrival of Georges Terrier and Christophe Perchet as partners.

Georges Terrier, who joins Davis Polk from Jeantet, a leading independent French law firm, is a prominent member of the Paris bar who has earned a market-leading reputation for his corporate advisory, M&A , corporate governance and related litigation expertise. He possesses an in-depth knowledge of the market and has developed trusted relationships with a number of senior business leaders and other leading players in the legal and financial community of Paris.

Christophe Perchet, during 10 years spent at Jeantet, has developed a combined M&A and related litigation expertise, in particular as legal adviser to large French and international companies in connection with their cross-border transactions.

The recruitment of Georges Terrier and Christophe Perchet furthers Davis Polk’s objective, announced with the hiring of Arnaud Pérès and the current team of lawyers practicing French law, of becoming a leading Paris firm in strategic advisory and transactional work for its French and international clients.

John R. Ettinger, Managing Partner of Davis Polk, said: “France is a strategic market for our firm and our clients, and we are delighted that Georges and Christophe have agreed to join our team of lawyers in Paris. We admire their professional qualities and what they have achieved already in their careers. Importantly, we share with them the same values and vision for the development of our profession, our French practice and how best to address our clients’ needs.”

He added: “This recruitment is a major step forward, which strengthens our roots in the French market. It is critical to be able to provide our French and international clients doing business in France both the resources and expertise of our international network and an in-depth knowledge of the French market.”

Georges Terrier said: “I am extremely impressed by the personal and professional qualities of the Davis Polk partners. Having spent many years with a superb French firm, it is very exciting for us to be joining Davis Polk, with its leadership position on Wall Street and, above all, to have the opportunity to build a totally integrated team of first-rate French and U.S. lawyers. The international dimension provided by Davis Polk’s network, particularly within Europe, which we will thus be able to bring our clients, is essential in order to assist them in their most important transactions.”

Christophe Perchet said: “One of the attractions of our joining Davis Polk is being able to work with people who have a strong teamwork culture. This team-oriented approach is the way Georges and I have always enjoyed working and it translates into high quality service for the client.”

Margaret Tahyar and Arnaud Pérès, partners in the Paris office, emphasized that Georges Terrier and Christophe Perchet bring a special combination of both transactional and litigation expertise. According to Ms. Tahyar: “This combination is increasingly a key part of the strategic advice that clients seek today.”

Georges Terrier, 61, is a leading corporate and litigation lawyer on the Paris scene. A partner at Jeantet since 1982, he has been managing partner of the firm since 2000. His clients include some of the largest French companies in the fields of luxury goods, industry, transport, banking and insurance. Recent corporate transactions in which he has been involved include advising Sacyr Vallehermoso, the Spanish construction group, in connection with the litigation proceedings related to its unsolicited public tender offer for the French construction group Eiffage; the Vallourec group, in connection with the acquisition of VM Tubes, one of Vallourec’s strategic industrial assets; the French nuclear group Areva in connection with the acquisition of the T & D division of Alstom and Suez, in connection with various transactions, including the sale of the French cable-operator, Noos.

Christophe Perchet, 41, is a corporate lawyer with experience in public and private mergers and acquisitions, as well as related litigation. Recent transactions in which Christophe Perchet was involved include advising the French government in connection with the re-organization of EADS corporate governance and its share capital restructuring; advising Sacyr Vallehermoso, in connection with the privatization of Sanef, the French motorway company, and in the acquisition of a 30% stake in the French construction group Eiffage; and advising the French nuclear group Areva in connection with various acquisitions in related business areas such as mining, uranium enrichment and electrical equipment. He began his legal career in 1992 as an associate of Freshfields in Paris before joining Jeantet in 1997, where he was made a partner in 2001.

Leading global law firm Weil, Gotshal & Manges announced today its plans to open an office in Hong Kong in October 2007. The Hong Kong office will provide firm clients with transactional counseling throughout Asia, broadening Weil Gotshal’s presence in Asia from its substantial office in Shanghai. The firm is also in the process of applying for a license to open an office in Beijing in the near future.

Weil Gotshal also announced its initial strategy to staff the new Hong Kong operation with deeply experienced transactional attorneys from both the firm’s New York headquarters and from Shanghai.

Akiko Mikumo, a senior corporate partner from the New York office and a member of the firm's Management Committee, will become managing partner for Asia and the head of the Hong Kong office. Ms. Mikumo has a diverse corporate and securities law practice, with a focus on mergers & acquisitions for corporate and private equity clients. She has been repeatedly recognized as a leading practitioner in her field and was named “Dealmaker of the Year” by The American Lawyer in 2004. Ms. Mikumo previously headed the US practice in the firm’s London office from 1998 to 2002.

In addition to Ms. Mikumo, two additional partners will be relocating to the Hong Kong office: Peter Feist, a corporate partner from the New York office who focuses on private equity and mergers & acquisitions, and David Meredith, a corporate partner from the Shanghai office, specializing in capital markets. Several of the firm’s highly qualified associates, initially Lindsay Germano and Roy Wiesner, will also relocate to the Hong Kong office.

About the announcement, Weil Gotshal Chairman Stephen J. Dannhauser said, “We are delighted to announce the opening of our Hong Kong office. There are considerable business opportunities in Asia and these opportunities continue to create a need for the client-driven, commercially-minded attorneys that are the hallmark of our firm. Coupled with our established presence in Shanghai, our new Hong Kong office evidences our continued commitment to the region. In line with that commitment, we are sending some of our best partners and associates to lead this effort.” Continued Dannhauser, “Hong Kong will provide the platform for Weil Gotshal’s expansion into other Asian markets, including India and Japan, and with our offices strategically located in Asia, we will have an exceptional platform to deliver the incisive, best-in-class legal advice and service clients are asking for throughout the region.”

Ms. Mikumo stated, “I am delighted to have the opportunity to lead the firm’s expansion in Asia. We will have an extremely talented team in Hong Kong made up of lawyers who are excited about our opportunities in Asia, are determined to expand our presence there and will bring sophisticated, commercially-oriented transactional skills that will serve our clients well throughout Asia. We are confident that the office will be a tremendous success. Under the leadership of Steve Xiang, we already have a hugely successful office in Shanghai, and we believe that Weil Gotshal will rapidly expand from that base to become one of the premier firms in the region.”

Steve Xiang, head of the firm’s Shanghai office, said, “Akiko is an outstanding attorney and wonderful leader, and she is bringing with her a superb team. Peter Feist is one of the rising stars of our corporate department in New York and David Meredith has already established a presence in Hong Kong for capital markets. We look forward to this broader Asian platform and the opportunity to build on our local experience and contacts.”

The new Hong Kong office is to be located in Gloucester Tower in The Landmark complex, located in the Central financial district of Hong Kong.

Baker & McKenzie Advises on the Landmark Merger of HVB Bank Ukraine with Unicredit Bank
Baker & McKenzie announced today about its role as the leading legal advisor to UniCredit Bank in connection with the landmark merger by way of accession of HVB Bank Ukraine to UniCredit Bank. Both Ukrainian banks are members of the UniCredit Group, one of the largest banking and financial services groups in Europe.

This is the first merger of major Ukrainian banks with foreign capital in the Ukrainian banking sector after adoption of the new Banking Law in 2000. As a result of this transaction HVB Bank Ukraine transfers all its rights and liabilities to UniCredit Bank and two of the Group’s banks in Ukraine will now operate under a single brand of UniCredit Bank.

The Kyiv office’s team was led by Partner Serhiy Chorny with the assistance of senior associate Ihor Olekhov and associate Vsevolod Volkov.

Baker & McKenzie advised on the whole merger process, legal and tax implications for both merging banks and assisted in receiving the necessary regulatory approvals. The merger is the second step in the integration of the banking institutions of the UniCredit Group in Ukraine after the purchase of the shares of HVB Bank Ukraine by the UniCredit Group implemented earlier this year with the help of Baker & McKenzie.

Commenting on the transaction Serhiy Chorny, partner and Head of the Banking and Finance Practice in the Kyiv office, said: “We are delighted we have assisted our strategic client in consolidation of its assets in Ukraine. By completing this merger, UniCredit Bank becomes the first foreign bank to increase its share of the Ukrainian banking market by means of a merger with another significant player.”
